About this file

This is Appendix C of a Request for Proposals document issued by the Texas Employees Retirement System (ERS) for Transmission to Information Returns Intake System (IRIS) Services. The appendix establishes the standard contract provisions and terms that will be incorporated into any resulting contract between ERS and the selected respondent. The document requires respondents to submit their Master Services Agreement, End User License Agreement, and all other necessary agreements and terms with their proposals, which ERS will incorporate into the final contract along with additional provisions it deems necessary or legally required by policy, statute, or regulation.

The contract provisions establish that ERS retains sovereign immunity and will not indemnify the contractor, that the contract shall be governed by Texas law with venue in Austin, Travis County, that the contractor must comply with the Texas Public Information Act and maintain records accordingly, and that ERS is tax-exempt with no taxes included in fees. The contractor must comply with all applicable federal and state laws including immigration verification, civil rights statutes, accessibility requirements, and AI ethical principles adopted by Texas. Additional requirements include background checks on all contractor employees and subcontractors, compliance with ERS security requirements, prohibition on data sharing arrangements, certification regarding boycotts of Israel, Iran, Sudan, and foreign terrorist organizations, firearms non-discrimination verification, and energy company non-boycott verification. The contractor must document all uses of artificial intelligence and provide sixty days' advance notice of any new AI uses, with strict prohibitions on using ERS data to train AI systems or exposing personally identifiable information through AI systems.
