About this file

This is an appendix to a Task Order Request (TOR) for Structured and Project Finance services with the U.S. Export-Import Bank (EXIM Bank). The document establishes the contractual framework and expectations for contractor engagement, emphasizing that the primary value to contractors derives from non-monetary consideration rather than substantial financial compensation. Contractors gain value through observation of and interaction with EXIM Bank processes, including export-credit agency finance operations, statutory authorities, internal review processes, interagency coordination, and transaction lifecycle activities. Additional non-monetary benefits include the opportunity to refine legal, analytical, and advisory capabilities within a specialized federal finance environment through interaction with subject-matter experts, program officials, and stakeholders supporting the agency mission.

Contractors submitting proposals must acknowledge and affirm that their proposed pricing reflects a significant voluntary concession from otherwise applicable ELS IDIQ labor rates or commercial equivalents, and that such concession is intentional, knowing, and irrevocable. The consideration provided is nominal and may be substantially discounted to reflect the substantial non-monetary benefits. Contractors represent that the agreed-upon pricing is fair and reasonable in light of total consideration received, inclusive of non-monetary value. Critically, the task order does not guarantee future work, exclusivity, or follow-on awards with EXIM Bank; any subsequent acquisition for expanded scope will be subject to applicable competition requirements and independent contracting officer determination. The scope is limited to specific access, evaluation, or pilot activities described, with no authorization for production-level use, enterprise deployment, or paid services beyond the defined scope. The document incorporates a "No Implied Commitment/No Reliance" clause specifying that the contract creates no express or implied commitment for additional work, extension of performance period, option exercise, or future legal services engagement, and that contractors bear sole risk for any costs incurred in anticipation of future work.
