Replies to Questions Submitted by “Industry Day” Webinar Participants, 7/6/11
CONTRACT-RELATED QUESTIONS
| Q1: | With regard to QIO's and COI, as I read Section H.5 it appears that not only shall QIOs be prohibited from serving in a prime or subcontract role, but H.5.b.(1) also speaks to serving in an advisory or consulting capacity to be a conflict with 10SOW activities. This appears to be in direct conflict with Jean Moody Williams comment that QIOs are encouraged to collaborate with HEC. Please expand on how QIOs are to collaborate. |
| A1: | Section H.5.b.(1) relates to standard FAR definitions in relation to Conflict of Interest and is not specific to QIOs or any other specific type of vendor. It is standard language provided in most Federal contracts. In relation to a question on QIOs and conflict with the HEC work, please note the following: |
The QIO 10th Statement of Work is a different contracting opportunity, and therefore is neither “covered by this clause” nor “stems directly from this work.”
Furthermore, page L-6 of the solicitation states “Each offeror is required to identify and potential or actual conflicts of interest based upon existing contractor work and that defined in this contract. The offeror shall not only identify and discuss the conflicts but any offeror mitigation strategy. Conflicts will be addressed only at the time of award with final decisions on conflict at the discretion of the Contracting Officer.”
Q2: The Section J that is posted is for the content developers. Can you put one up for HEC's.
A2: An updated Section J was posted on 7/8 containing the scopes for work for all Partnership for Patients activities. The scope of work for the hospital engagement contractor is section C of the posted solicitation.
| Q3: | Do you have to identify the hospitals you will work with in your contract in the application by the Aug 5 deadline? Do you need to see MOUs from hospitals or other collaborative partners with the proposal submission? |
| A3: | Yes, we ask that you identify the hospitals you plan to engage. This information is useful as we seek to avoid duplication of efforts amongst Hospital Engagement Contractors, subcontractors, and participating hospitals. After the contracts are awarded, we will conduct a post-award meeting with all awardees in order to better coordinate which hospitals will participate with which Hospital Engagement Contractors. |
| We also ask that you identify the organizations with whom you plan to subcontract for technical review, not consent. |
Offerors do not need to provide MOUs from hospitals.
| Q4: | Is already having a GSA Schedule mean we are held to that schedule pricing? |
| A4: | No. This contract is being awarded under FAR 15, not FAR 8, GSA. |
| Q5: | Is this an IDIQ where the initial 100 awardees then compete at the task order level? |
| A5: | No. |
| Q6: | Is there any prohibition of a 501 (c) (6) as a contractor? Also, does an organization have to have an approved federal indirect cost rate? |
| A6: | The full organizational requirements may be found in section L.4 of the solicitation. The solicitation does not contain a preference or requirement for non-profit status. These contracts will be awarded under a firm fixed price payment mechanism, so audited indirect cost rates are not required. |
| Q7: | We would need to hired additional staff if the grant were awarded, would the application accept job descriptions for the new staff to be hired? |
| A7: | Please note that this is not a grant opportunity, but a contract in accordance with the Federal Acquisition Regulation. It is the government’s expectation that all offerors submitting proposals will have the appropriate resources to complete the requirements of the statement of work and all other portions of the contract. Your attention is called to Section L.4 which states the offeror should indicate corporate capacity to effectively conduct this project. The proposal must show availability of and access to requisite resources and facilities, such as staff, consultants, and computer and technical equipment; L.5 further addresses this and describes how key personnel and staff meet certain minimum criteria for knowledge and experience. |
| Q8: | If a HEC develops a methodology around executive or data analysis, can the HEC retain ownership of the methodology? (We understand that CMS owns the data) |
| A8: | The FAR clauses applicable to this contract are found in Section I, incorporated by reference. |
Q9: There is no guidance as to structure for these applications, just for the NCD appliations.
Is there an advantage to partnering with Small Disadvantaged Business (such as a veteran owned 8(a) small business?
A9: Please note that the government is not requesting an application, as applicable to a grant. This is a contract in accordance with the Federal Acquisition Regulation and offerors are required to submit a proposal per the instructions in Section L of the solicitation document. The evaluation methodology is defined in Section M of the solicitation. Entities shall submit a subcontracting plan addressing the subcontract goals defined in Section G.14 if applicable (see Amendment 0001 to the solicitation).
Q10: The deadline for Technical Questions are due by 7/12, but at what time? (SECTION L - PARAGRAPH L.3)
A10: As noted in Amendment 0002 to this solicitation, the government will accept all questions received up until 11:59 pm (local Baltimore time) on July 13—an extension of one day from the the 12th . Section L is hereby amended to reflect this change. It is the Government’s expectation that interested parties will review this set of questions prior to submitting additional ones in an effort to avoid duplication. Please note, questions received at the Webinar in relation to the QIO 10th scope and the HEC will not be addressed within this document; those responses are forthcoming.
Q11: How does the 4 month timeline mentioned correspond to the task list under section F2
A11: The full schedule of deliverables and the applicable dates may be found in F2 of the solicitation.
Q12: In section G re subcontracting goals, What if there are no expected or only "single source" vendors, how will those goals apply?
A12: Entities shall submit a subcontracting plan addressing the subcontract goals defined in Section G.14 if applicable in accordance with the Federal Acquisition Regulation (see Amendment 0001 to the solicitation).
| Q13: | Related Budgetary Questions: |
| Does an approved federal indirect cost rate factor into fixed price contracts? | |
| Can backfill for training participants be included in budgets? | |
| Please discuss budget development. | |
| How much money is being directed to the HEC contractors? |
What is the range of the funding available per contract?
Any opportunity to share what a ballpark annual budget would be?
| What is the range of funding that can be requested for each HEC? |
| How much of the $500million CMS Innovation center funds will be put towards this rfp? |
Can you help us understand how the dollars with be divided among the five contracts?
A13: Offerors are advised to develop a business proposal that meets the technical solution offered under the HEC requirement. As such, no ballpark can be provided since the solution is offeror-specific. Furthermore, in a competitive, firm fixed price environment, the Government will not offer any budgetary information as that is deemed procurement sensitive and internal to the Government. Please note that since this is a firm fixed price effort, vendors are not required to have an accounting system with previously accepted rates. Finally, this set of questions relates only to the instant procurement, the HEC; therefore, there will be no discussion of budgets on the other PfP contracting efforts.
Q14: Are there any direct cms financial incentives for the hospitals themselves to participate in this engagement
A14: No.
| Q15: | Can an organization apply for more than one of the contracts? |
| A15: | An offeror may submit a proposal for all solicitations for which they are eligible in any Federal contracting environment; however, please note that the related PfP efforts referenced in both the Webinar and Section J of the HEC solicitation are already out for proposals with a defined contracting strategy and set of vendors. Provided below is a complete set of the small research pool of vendors engaging being engaged for PfP Activities C and D : |

Q16: Are the "awards" under this initiative considered federal grants or are the recipients considered to be federal contractors? This is an important question for potential applicants because if recipients are considered federal contractors they will have to comply with the OFCCP Affirmative Action obligations which are applicable to federal contractors but are not applicable to grantees.
| A16: | These are NOT grants, but contracts that will be awarded in accordance with the Federal Acquisition Regulation. |
| Q17: | Is this a one time opportunity to apply as an HEC or will there be any future solicitations? |
| A17: | This is the only hospital engagement solicitation planned. |
| Q:18: | Considering that several entities that want to do this but have not contracted with CMS in the past, I request that you consider pushing the due date out further than Aug. 5 Thank you. |
| A18: | No extension to the proposal due date will be granted at this time. |
| Q19: | Will there be any opportunities for an individual hospital sytem less than 25 hospitals to obtain any other contracts other than Prime & Subcontracting? |
| A19: | Offerors are encouraged to enter into subcontracting arrangements in order to satisfy the requirements of this solicitation. |
| Q20: | If we registered for notice of changes on this solicitation will we be notified when contracts are let for the OTHER roles attached to this work, e.g. NCD. |
| A20: | Registration under this FBO notice is only in relation to the instant procurement, the HEC. |
SUBCONTRACT-RELATED QUESTIONS
| Q21: | Can you please explain how a small hospital system might subcontract or obtain funding for patient safety initiatives? |
| A21: | The full eligibility requirements are described in Section L of the solicitation but subcontracting opportunities are at the discretion of each individual offeror based upon the offeror’s technical solution. |
| Q22: | In section G re subcontracting goals, What if there are no expected or only "single source" vendors, how will those goals apply? |
| A22: | In accordance with FAR, subcontracting plans are required for work anticipated above $550,000. If an offeror finds its proposed solution is at or exceeds this dollar value, then, per Amendment 0001, the subcontract plan in J must be completed. It is recommended that offerors consider the goals for subcontracting as provided in Section G when completing the plan, if required. |
| Q23: | Can potential subcontractors be teamed with multiple prime contractors? |
| A23: | Yes. However, the government will consider the risk of successful performance in its evaluation of an offeror’s submission based upon the availability of its subcontractors (i.e., are they spread too thin across multiple contracts?) |
| Q24: | Would subcontracting with a QIO but recruiting providers not in the 10th SOW be allowable? |
| A24: | An offeror should make appropriate business decisions regarding subcontracts considering technical merit, cost/price, overall responsibility of the subcontractor and conflicts as examples of factors in making a decision. QIOs are business entities outside of the particular QIO contracts under Section 1153 of the Social Security Act and, as such, are eligible for consideration as prime and subcontractors under any contract for which they can meet the mandatory requirements. |
| Q25: | Can hospitals partner with more than one subcontractor? Can potential subcontractors be teamed with multiple prime contractors? Is it possible to serve as a sub-contractor to hospitals, if one is focused (experts) on mainly on only of the (10) focus areas? How can my hospital subcontract with a prime contractor or otherwise receive funding in this initiative? |
| A25: | Hospitals that choose to participate in the Partnership for Patients may be able to engage and work with more than one prime contractor or subcontractor if there is a compelling reason to do so but we seek to avoid duplication of effort. After the contracts are awarded, we will conduct a post-award meeting with all awardees in order to better coordinate which hospitals will participate with which Hospital Engagement Contractors. Potential subcontractors are allowed to team with multiple prime contractors. However, the government will consider the risk of successful performance in its evaluation of an offeror’s submission based upon the availability of its subcontracts (i.e., are they spread too thin across multiple contracts?) |
Yes, it is possible to serve as a subcontractor to the prime contractor if one is focused on only certain focus areas. It is the business decision of an offeror the number of subcontracts it finds necessary to meet the requirements of the SOW.
Note that no contracting directly with hospitals will occur. Rather, the offeror (and any subcontractors contracted with that offeror) will be engaging hospitals in the work described in Section C of the solicitation.
Q26: How can we find out an organization who is a prime contractor that we can contact in order to be a subcontractor with them?
A26: CMS does not collect a list of interested parties since registration for this instant procurement is at the FBO website. However, the response to Q15, does provide a list of the CMS pool of vendors solicited for related PfP activities C and D (SOWs provided in Section J of this solicitation). Nothing in this solicitation prohibits others from publicly declaring their interest in submitting a proposal or seeking the participation of subcontractors.
| Q27: | Does CMS have to approve the subcontractor specifically? |
| A27: | In accordance with FAR Part 44, while the Government will evaluate subcontracts under the technical evaluation, consent is not required under a firm fixed price contract. However, the government is required to approve the subcontract plan (in consideration of the subcontract goals), if applicable. |
| Q28: | Our association has a subsidiary corporation which is a federally certified Patient Safety Organization. If we want to involve the PSO as part of our application, would they have to be identified as a subcontractor? Are we required to subcontract the work? Does the prime contractor have to do the data collection/monitoring, or can that piece be sub-contracted? |
| A28: | The government will not be addressing the manner in which any particular offeror chooses to submit a proposal as long as it means the requirements as defined in all sections of the solicitation. |
| Q29: | Can you give us some details about sub-contracting, since we are an organization of 12 hospitals? |
| A29: | Offerors are referred to Sections G and H of the RFP as well as the FAR Part 19 and 44 regarding subcontracting. |
| Q 30: | Can a prime contractor use the past performance of a sub-contractor in their proposal? |
| A30: | Yes. |
| Q31: | Could a state hospital association engage with the state nursing home associations and work to prevent unnecessary nursing home admissions. I would assume the hospital association would need to be the prime.... |
| A31: | The HEC effort targets the hospital setting; the government may address the nursing home setting through a separate procurement in FY 2012. |
| Q32: | Being certain there are MANY potential sub-contractors who can bring value-added experiences to this endeavor, will CMS breate a LinkedIn group to to cultivate and quickly harness more talent for this very rushed and monumental endeavor? |
| A32: | The government does not plan to create a LinkedIn group for this purpose. |
| Q33: | The RFP says that the prime contractor must be able to demonstrate that it can carry out all of the functions of the HEC. This would seem to be barrier to prime ornganizations entering into beneficial subcontracting arrangements to carryout certain functions. Is this what was intended by CMS? |
| A33: | While the prime contractor is ultimately responsible for performance under a federal contract, the entity may find it beneficial to subcontract in order to meet all terms and conditions of the contract. That is a business decision on the part of the offeror. |
| Q34: | Will individual hospitals subcontract with the hospital engagement contractor and will this be subject to a later solicitation from FBO/CMMI? |
| A34: | The HEC offerors will not subcontract with individual hospitals. They will be required to demonstrate hospital participation as a part of their proposal submission for this procurement. |
ELIGIBILITY QUESTIONS
Q35: So the bullet points in L.4 for eligibility criteria will have "or" inserted between them per Carol's remarks during the Webinar?
A35: Yes.
Q36: I am still confused regarding the second group you mentioned, i.e., "national affinity groups" Can you provide some examples of such a group?
A36: As stated in section L4, [a] national affinity organization [is one] that represent[s] hospitals which address specific patient and/or regional health issues identified through an organizational charter or agreement and a governing body that represents affiliated members. For example, affinity groups may represent hospitals focused on patient or regional health issues germane to hospital location (e.g., rural, urban, academic medical center), population served (e.g., children, safety net), hospital size, etc. (These examples are not meant to be all-inclusive, and the inclusion or exclusion of a particular patient or regional health issue does not indicate a preference or priority.)
| Q37: | With regard to eligibility, you state "affinity" and "associations". Are you using the legal definition of "Association" or can the "association" be one that is developed by a number of collaborators who want to work together an enter into an MOU or loosely affiliation partnership? | |
| A37: | Please see the answer directly above and note that the full organizational requirements, including the identification of an organizational charter or agreement, may be found in section L.4 of the solicitation. | |
| Q38: | Are other healthcare facilities such as long term care facilities, outpatient clinics, nursing homes can be added to come up with the number 25 needed, in addition to the 12 hospitals in our organization to meet the criteria? | |
| A38: | The support that the government is seeking to supply through the Partnership for Patients is intended for hospitals. Therefore, no other health care facilities (e.g., outpatient clinics, nursing homes, etc.) may be considered as counting towards the eligibility requirements as stipulated in Section L.4 in the solicitation. However, we encourage prime contractors and subcontractors to engage and work with other care settings to the end that it improves the work of reducing readmissions in hospitals and contributes to useful improvement knowledge. | |
| Q39: | According to Section L4 of the solicitation, the model approved for the implementation of this activity calls for direct contracting with hospitals and organizations that fulfill the organizational described therein. | |
| A39: | The amendment which addresses these responses deletes the word hospital from L.4. | |
| Q40: | Does the term affinity groups include medical societies like the ACP and Society of Hospital Medicine? Could HECs be associations of the professionals (MDs, RNs, etc.) who work in hospitals? Are state public health departments eligible for this grant? Are health plans eligible partners. | |
| A40: | Please note that this activity is not a grant, but a contract in accordance with the Federal Acquisition Regulation. Any entity that can meet the terms and conditions of the solicitation may be eligible to submit a proposal. While the scientific expertise and improvement knowledge from all segments of the public health, health professional, and payer communities and other stakeholders is encouraged in all work of the Partnership for Patients Initiative, only organizations meeting the criteria in L4 of the solicitation may participate as prime contractors. However, subcontractors need not meet these eligibility requirements. | |
| Q41: | Are there any restrictions to utilizing primes or subcontractors outside of the U.S.? | |
| A41: | Your attention is directed to Section H.8 as applicable to both prime and all tier subcontractors. | |
| Q42: | Our system has a total of 25 hospitals with various levels of ownership and operational control. What is exactly is the requirement for the 25 hospitals? | |
| A42: | The government has defined that organizations that hold corporate ownership and operational control of a hospital chain of at least 25 hospitals are eligible applicants under this solicitation. The degree of ownership and control is not specified in the solicitation. | |
| Q43: | Can a for-profit corporation who convenes a group of hospital or health system clients as a council or collaborative with a patient safety or quality charter be considered eligible as an affinity organization? | |
| A43: | The full organizational requirements may be found in section L.4 of the solicitation. The solicitation does not contain a preference or requirement for non-profit status, provided the organization has an eligible charter or agreement and otherwise meets the specified criteria. | |
| Q44: | Do HEC have to be associations of hospitals per se or could they be associations of the professionals (MDs, RNs, etc.) who work in hospitals? | Can AHRQ approved PSOs allowed to apply? Will AHRQ & CMS work together or separately? |
Does a group of hospitals currently using a common EHR for quality reporting be considered any Affinity group?
Are Joint-Ventures permitted to participate? These hospitals are not owned by a particular entity. Also, there are only ten hospitals, five home health agencies, and four nursing homes. Would this qualify???
Where are the eligibility requirements posted? Can a for-profit corporation who convenes a group of hospital or health system clients as a council or collaborative with a patient safety or quality charter be considered eligible as an affinity organization?
Can a state hospital association (primary) partner with a QIO (subcontractor) to apply for these funds?
Do Nursing Homes or Home Health Agencies qualify?
May a pediatric specialty care hospital apply for a community care grant to work on preventing readmissions etc under the Medicaid program (ie not Medicare)?
In your survey you listed three types of organizations. Are those the only types of organizations that are eligible to respond to this RFP? If so, where is that indicated in the RFP? Thank you.
| A44: | The full organizational requirements may be found in section L.4 of the solicitation. |
| Q45: | Is an agreement among hospitals with a content expert under a MOU or like agreement without a governing board accepted? |
| A45: | No. The full organizational requirements may be found in section L.4 of the solicitation. Though the solicitation does not specify the organizational structure or scope of agreement necessary to submit a proposal, a governing body that represents affiliated members is required. |
| Q46: | Do HEC have to be associations of hospitals per se or could they be associations of the professionals (MDs, RNs, etc.) who work in hospitals? |
| A46: | Please see Q40 above. |
| Q47: | Are health plans eligible partners? |
| A47: | Entities that can meet the requirements of this solicitation are eligible to submit a proposal. |
| Q48: | Can a new entity of affinity group formed for this RFP be eligible? |
| A48: | While based upon the limited timing for proposal submission, August 5, 2011, this may be impractical, the Government will consider and evaluate all proposals received that meet the eligibility requirements defined in L.4 of the solicitation. |
| Q49: | Would a system of 28 Long term care hospitals be an appropriate applicant? |
| A49: | Please note that this is not a grant and no application is required. This is a contract in accordance with the Federal Acquisition Regulation. Any entity that can meet the requirements and all terms and conditions of the solicitation is invited to propose. |
| Q50: | Could an organization that focuses on hospital-based clinicians be qualified? The language suggests that the hospital is the level of membership when for some organzations the clinicians hold the membership even though activities engage hospitals around quality improvement. Would professional associations such as the American Geriatrics Society be eligible? |
| A50: | Entities that meet the eligibility requirements of the solicitation and can meet all the terms and conditions are invited to submit a proposal. |
| Q51: | If you are applying for a CMS demonstration grant can you also apply for this? Sounds like the answer is yes since this is not a grant but a contract but I have a hospital that wants to know for sure. |
| A51: | Offerors submitting a proposal in response to this HEC effort are required to submit information on any real or perceived conflicts of interest, as well as a mitigation strategy. Should a business entity believe that a grant effort for CMS or any other entity would raise a real or perceived conflict; the offeror must address such in its business proposal. |
| Q52: | We have a CCR contract with a DUNS number. Are considered an approved vendor for this initiative? |
| A52: | A DUNS number and registration in the CCR are prerequisites for all Federal contracts; however, an offeror must demonstrate its ability to meet all terms and conditions of this solicitation to be eligible for an award under the HEC. |
PARTICIPATION AND HEC-IMPLEMENTATION QUESTIONS
| Q53: | Will all 100 awardees be working simultaneously on the 7 to 10 adverse events? |
| A53: | The Government expects to award all HECs in the same timeframe, by the end of this fiscal year. |
| Q54: | Is all the transparent data being submitted for the HACs and readmissions separate from any regulatory surveillance or usage? |
| A54: | Yes. Data collected and submitted for the purposes of the Partnership for Patients Initiative will not be used for any regulatory or payment-associated purpose. |
| Q55: | Will there be standardized templates for quarterly and other reporting? Should organization anticipate an escalation in other ad hoc reporting or measures over time? |
| A55: | The minimum requirements for a quarterly report are described in the Scope of Work in Section C of the solicitation. |
| Q56: | With regard to readmissions, can we focus on specific diagnoses, such as congestive heart failure, COPD, or is it all readmissions? |
| A56: | The Hospital Engagement Contractor is required to address all readmissions. However, the method for meeting the requirements of the solicitation is specific to each offeror. Therefore, proposals may explain their strategy for how they intend to focus on different diagnoses and causes for readmissions at different times. |
| Q57: | How can rural hospitals fit into this initiative? |
| A57: | Entities that can meet the eligibility requirements will be considered; you attention is called to Amendment 0001 which does address settings in Section M of the evaluation methodology in relation to the assessment of overall best value. |
| Q58: | Do you have a targeted number or estimate of HECs that would be focused on pediatric issues? |
| A58: | No. |
| Q59: | Does every participating hospital have to participate in all trainings offered? |
| A59: | The HEC is responsible for ensuring successful performance and the means in which the HEC engages the hospitals and ensures participation is individually determined based upon the HEC’s technical approach. |
LETTER OF INTENT QUESTIONS
| Q60: | Is a letter of intent required? And if so what is the timeframe for that submission? |
| A60: | See Section L.3.b. |
| Q61: | Do hospitals need to submit letter of committment in time for the proposal submission? |
| A61: | The manner in which an offeror addresses the commitment on the part of its hospitals to meet the requirements of the RFP is individually based upon the technical solution proposed by a vendor. The government will evaluate each technical submission per Section M of the RFP. |
Q62: Once Q&A posted, is it 5 working days or calendar days to submit Letter of Intent?
A62: Yes.
File details come from the government source that posted it. Updated .
