SECTION B - SUPPLIES OR SERVICES AND PRICES/COSTS
B.1
BRIEF DESCRIPTION OF SERVICES
Section 1860D-2(b)(4)(D) of the Social Security Act (the Act) authorizes the Secretary to establish procedures for determining whether costs for Part D eligible individuals are being reimbursed through insurance or otherwise, a group health plan, or other third party arrangement and for alerting the Part D plans in which such individual are enrolled about the other prescription drug coverage. Section 1860D-23 of the Act requires Part D plan sponsors to coordinate benefits with State Pharmaceutical Assistance Programs (SPAPs) and other providers of prescription drug coverage. When a Medicare Part D beneficiary has other prescription drug coverage, coordination of benefits (COB) permits the plans that provide coverage for the same beneficiary to determine each of their payment responsibilities. This process is necessary in order to avoid duplication of payment and prevent Medicare from paying primary when it is the secondary payer.
Section 1860D-2 of the Act provides beneficiaries with protection against high out-of-pocket expenditures by requiring Part D sponsors to track beneficiary “true out-of-pocket” (TrOOP) expenditures. Costs for covered Part D drugs are treated as “incurred” only if they were paid by the individual (or by another person, such as a family member, on behalf of the individual), paid on behalf of a low-income subsidy-eligible individual under the Section 1860D–14 provisions, or paid under an SPAP. Costs do not count as “incurred” when no benefits are provided because of the application of either formulary or Medicare Secondary Payer (MSP) rules, or when costs are reimbursed by a third party. Therefore, only certain costs not paid for by the Part D Plan count toward TrOOP. In Part D, COB also serves the function of providing a mechanism supporting the tracking and calculating to beneficiaries’ TrOOP.

FINAL INDIRECT COST RATE PROPOSAL (CLIN 3)
Pursuant to the provisions of FAR 52.216-7 entitled "Allowable Cost & Payment" in Section I of this contract, final annual indirect cost rates and the appropriate bases shall be established in accordance with Subpart 42.7 of the Federal Acquisition Regulation (FAR) in effect for the period covered by the indirect cost rate proposal.
The Contractor shall submit an adequate final indirect cost rate proposal to the Contracting Officer (or cognizant Federal agency official) and cognizant Government auditor within the 6-month period following the expiration of each of its fiscal years. Reasonable extensions, for exceptional circumstances only, may be requested in writing by the Contractor and granted in writing by the Contracting Officer. The Contractor shall support its proposal with adequate supporting data.

The Contractor and the appropriate Government representative shall execute a written understanding setting forth the final indirect cost rates. The understanding is incorporated into this contract upon execution. Failure by the parties to agree on a final annual indirect cost rate shall be a dispute within the meaning of the Disputes clause.
Within 120 days (or longer period if approved in writing by the Contracting Officer) after settlement of the final annual indirect cost rates for all years of a physically complete contract, the Contractor shall submit a completion invoice or voucher to reflect the settled amounts and rates.
If the Contractor fails to submit a completion invoice or voucher within the time specified in paragraph (d)(5) of this clause, the Contracting Officer may:
(A) Determine the amounts due to the Contractor under the contract; and
(B) Record this determination in a unilateral modification to the contract.
