About this file

This document is a Justification and Approval (J&A) for the use of other than full and open competition for a Firm-Fixed-Price (FFP) contract. The contract is for a calibration software program that will upgrade the Foreign Military Service (FMS) System Calibration (SYSCAL) for the VIPER/T AN/USM-717(v)4 system. The upgrade will convert the existing legacy software from Microsoft VB6 to VB.NET, remove obsolete controls, and target a WIN10 build machine. The contract also includes two complete sets of calibration instruments and a standard rack mount to calibrate the VIPER/T system. The statutory authority cited is 10 U.S.C. 3204(a)(1) as Astronics Test Systems, Inc. is the sole designer of the FMS SYSCAL software, which is the only solution that can meet the Marine Corps' and Saudi Arabian National Guard's requirements. The Contracting Officer has determined the anticipated cost to be fair and reasonable. No plans to compete future contracts for these services have been identified.

J&A No. 15007

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Marine Corps Logistics Command, (MARCORLOGCOM) Contracts Department Albany, GA

2. Description of the Action Being Approved.

This is a Justification & Approval (J&A) for the use of other than full and open competition due to the items being only available through one responsible source. The approval of this justification will result in a Firm-Fixed-Price (FFP) contract.

3. Description of the Supplies/Services.

This is a calibration software program that will calibrate the VIPER/T AN/USM-717(v)4. Foreign

Military Service (FMS) System Calibration (SYSCAL) Upgrade, Calibration Instruments and

Standard Rack Mount. FMS SYSCAL Software Upgrade will convert the current legacy system calibration software from Microsoft VB6 to current VB.NET, remove all legacy Sheridan Controls

(ActiveX) and Visual Base Power Pack controls (no longer supported in Visual Studio), target

WIN10 Build Machine, modify software so that obsolete instruments are replaced with currently available calibration standards. Preference will be given to instrumentation already listed on

UCMS stock list SL-3-1350A, but Astronics Test Systems, Inc. may select different instrumentation based on availability. The two (2) complete set of calibration instruments needed to calibrate a VIPER/T AN/USM-717(v)4. The standard mount rack will contain calibration instruments.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1); Only one responsible source and no other supplies or services will satisfy agency requirements

5. Rationale Justifying Use of Cited Statutory Authority.

The use of 10 U.S.C. 3204(a)(1) is based on results from market research which concluded with Astronics Test Systems, Inc being the sole designer of the FMS SYSCAL software. The software-based calibration procedure used to verify the accuracy of the VIPER/T AN/USM-717(v)4. In which, the Marine Corps and the Saudi Arabian National Guard (SANG) are the sole users.

Astronics Test Systems, Inc. owns the source code for development/update of the current calibration system. Therefore, no other company can provide the required calibration upgrade for the VIPER/T AN/USM-717(v)4.

In addition, if the Government does not utilize this sole source, it will likely need to solicit and compete for the design, testing, and production of an item that meets the requirements as stated above. That estimate cost will far exceeds the pricing obtain from the sole source.

6. Description of Efforts Made to Solicit Offers from as Man Offerors as Practicable.

In accordance with FAR Part 10, market research conducted through the mandatory and suggested sources of supplies, resulted in a non-availability of vendors capable to supply the required items. A Notice of Intent was published to the Federal requirements posting site, betaSAM.gov on 23 May 2024. No response or interest were received by the closing date of 30 May 2024. At this time, it is not anticipated that additional market research will be conducted because it is not practical for the reasons discussed in paragraph 5 above, for any company other than Astronics Test Systems, Inc. for the SYSCAL Calibration Upgrade Software, Calibration

Instruments and Standard Rack Mount of the VIPER/T AN/USM-717(v)4.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For reasons set forth in Paragraph 5, the MARCORLOGCOM has no plans at this time to compete future contracts for the types of services covered by this document.
