About this file
This document is a Justification and Approval (J&A) for the use of other than full and open competition for a sole-source bridge contract for logistics services to manage, support, and operate the United States Marine Corps (USMC) Consolidated Storage Program's (CSP) Individual Issue Facilities (IIF) and Unit Issue Facilities (UIF).
The contract will be awarded to the incumbent contractor, Cherokee Nation Management and Consulting, L.L.C. (CNMC), for a six-month base period and up to six one-month option periods, for a total potential contract duration of one year. The estimated value of the contract is $38,892,817.58, with funding from FY24 Operations and Maintenance, Marine Corps (O&M, MC) appropriations. The J&A cites 10 U.S.C. 3204(a)(1) and FAR 6.302-1 as the statutory authority, stating that CNMC is the only responsible source that can immediately provide the highly specialized services without unacceptable delays. The follow-on competitive contract is currently being solicited under the SeaPort-NxG contract vehicle.

J&A No.15011
JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Marine Corps Logistics Command (MARCORLOGCOM), Contracts Department, Albany, GA.
2. Description of the Action Being Approved.
Award of a sole-source bridge contract to the current contractor, Cherokee Nation Management and Consulting, L.L.C. (CNMC), for logistics services to manage, support, and operate the United States Marine Corps (USMC) Consolidated Storage Program’s (CSP) Individual Issue Facilities (IIF) and Unit Issue Facilities (UIF).
3. Description of Supplies/Services.
This sole-source bridge contract is required to ensure continued provision of mission critical logistics services to manage, support, and operate the USMC CSP IIF and UIF. The services include operation and management for the Marine Corps CSP worldwide network of over 57 Government-owned, Contractor-operated (GOCO) facilities at approximately 21 geographic locations worldwide. The requirement also includes support services to the USMC for operational management and equipment readiness for the Marines at both individual and unit level.
Period of Performance: The period of performance for this sole-source action is 22 September 2024 – 21 September 2025, which includes a six-month base period and six one-month option periods. If all options are exercised, the total period of performance will be one year. The estimated dollar value of the contract is $38,892,817.58 and FY24 Operations and Maintenance, Marine Corps (O&M, MC) funding will be used for this requirement.
4. Statutory Authority Permitting Other Than Full and Open Competition.
The statutory authority permitting other than full and open competition is 10 U.S.C. 3204(a)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.
The rationale for this justification is 10 U.S.C. 3204(b)(B), as implemented by the FAR 6.302- 1(a)(2)(iii)(B), “services may be deemed to be available only from the original source in the case of the follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in unacceptable delays in fulfilling the agency’s requirement.”
The United States Marine Corps (USMC) requires operation and management services for its CSP in order to execute its Title 10 mission. The CSP provides the USMC with operational management and equipment readiness for Infantry Combat Equipment; Chemical, Biological, Radiological, and Nuclear Defense Equipment; Special Training Allowance Pool Equipment; and Soft-Walled Shelters and Camouflage Netting. The primary objective of the CSP is to ensure that Marines worldwide can receive individual and unit clothing and equipment so that the Marine Expeditionary Forces (MEF) are able to deploy combat-ready Marines. The requirement is for operation and management services for the Marine Corps CSP worldwide network of over 57 GOCO facilities at approximately 21 geographic locations worldwide. This includes providing total asset visibility of a $2.7 billion dollar inventory using GOCO Information Technology systems (i.e., Defense Property Accountability System- Warehouse Module, Marine Forces Special Operations Command Special Operations Forces Sustainment, Asset Visibility, and Information Exchange, and Global Combat Support System – Marine Corps (GCSS-MC). These services are critical to the Marine Corps’ ability to execute its Title 10 mission and it is imperative that these supplies remain combat ready and available at the IIF and UIF for immediate operational tasking.
The services are currently being provided under a sole-source bridge contract M67004-24-P-4002, which is set to expire on 21 September 2024. The follow-on requirement is currently being solicited under the SeaPort NxG contract vehicle on a competitive basis and will result in a competitive award. However, the follow-on competitive procurement has experienced significant delays during the proposal evaluation phase, including the resolution of a significant potential Organizational Conflict of Interest (COI) from one of the Offerors. These delays have created the need for a second bridge contract.
Consequently, CNMC is the only responsible source that can immediately execute the required highly specialized services without resulting in unacceptable delays in fulfilling the agency’s requirement. The services provided by the existing contract involve highly specialized training and qualifications. The 21 geographic locations worldwide that these services support require continuity of operations in order to ensure continuation of providing individual and unit clothing and equipment so that the MEF are able to deploy combat-ready Marines. CNMC possesses the necessary qualifications, training, and security clearances, which no other company can provide in a timely manner. As CNMC is the incumbent that is currently performing these highly specialized and mission critical services since 21 January 2021, they are in the position to continue performance without a break in services prior to the follow-on contract award.
Based on the aforementioned delays and the impacts of a gap in services described herein, a six-month bridge extension with six one-month option periods is needed to continue mission critical services until a new competitive contract is awarded and any required phase-in is completed. A break in service would impact all 57 facilities across the 21 geographic locations worldwide, affecting the combat readiness at I, II, and III MEF; Training and Education Command; School of Infantry-East; National Capital Region; and Marine Corps Forces Special Operations Command.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
The contracting activity is currently working on a follow-on competitive contract for these services via full and open competition procedures. As stated above, there are no other known sources that can immediately provide the required services without resulting in unacceptable delays in fulfilling the agency’s requirements. The ADC, I&L (Contracts) issued a blanket waiver of the requirement at DFARS PGI
206.302-1(d) for bridge contracts on 23 December 2020 (SUBJ: Blanket Waiver of DFARS PGI 206.302- 1(d) for Bridge Contracts). This memorandum applies to this action and waives the requirement to issue a request for information or sources sought notice when utilizing the authority at FAR 6.302-1. The Government intends to provide notice of the sole source contract action, approved herein, by publishing a synopsis of the action in accordance with FAR 5.203.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined that the anticipated cost to the Government of the services covered by this Justification will be fair and reasonable. The fair and reasonableness of the prices will be based on an analysis of the contractor’s price proposal using the price analysis techniques pursuant to FAR 15.404- 1(b)(2)(ii) comparison of the proposed prices to historical prices paid and FAR 15.404-1(b)(2)(v) comparison of proposed prices with independent Government cost estimates. In addition, other than certified cost and pricing data will be requested from the contractor in order to ascertain fair and reasonable pricing in a sole source environment. It is also anticipated that the analysis will be conducted using one or more experienced technical representatives and contract specialists.
8. Actions to Remove Barriers to Future Competition.
The follow-on requirement is being competitively solicited under the SeaPort-NxG contract vehicle and will result in a competitive award. The time requested for this bridge contract is expected to be adequate time for the follow-on source selection to be completed and for an award to be made without a break in service.
Additionally, sufficient time will be built into the acquisition process for future requirements to avoid the need for future bridge contracts.
