About this file

This is Amendment 1 to a Solicitation for an Invitation for Bid issued by the South Carolina Department of Transportation (SCDOT) for on-call fence repair services in Greenville County. The amendment modifies Section VII Terms and Conditions - A. General, with specific revisions to the Organizational Conflict of Interest provision effective April 2023. Offers must be submitted online at http://www.procurement.sc.gov by October 2, 2023 at 2:30 PM. Questions from offerors must be received by September 6, 2023 at 12:00 PM. No pre-bid conference or site visit is required. Award will be posted on October 25, 2023. Offerors must hold their offers open for a minimum of thirty calendar days following the opening date and submit a signed copy of the solicitation form with their bid.

The amendment adds language requiring contractors to immediately disclose any actual or potential organizational conflicts of interest discovered after award and to describe actions taken or proposed to avoid, mitigate, or neutralize such conflicts in consultation with the Procurement Officer. The State reserves the right to terminate the contract for convenience if necessary to avoid organizational conflicts of interest. Failure to disclose a known or discoverable organizational conflict of interest prior to award, or discovery of an undisclosed conflict after award, constitutes grounds for contract termination for default. Procurement Officer Tamika Thomas can be contacted at 864-241-1010 Extension 6027 or ThomasTS@scdot.org for additional information.

TEXT IS ADDED TO THE ORIGINAL PROVISON.

ORGANIZATIONAL CONFLICT OF INTEREST (APR 2023)

(a) The Contractor agrees to immediately advise the Procurement Officer if an actual or potential organizational conflict of interest is discovered after award, and to make a full written disclosure promptly thereafter to the Procurement Officer. This disclosure shall include a description of actions which the Contractor has taken or proposes to take, after consultation with the Procurement Officer, to avoid, mitigate, or neutralize the actual or potential conflict. (b) The State may terminate this contract for convenience, in whole or in part, if it deems such termination necessary to avoid an organizational conflict of interest. Contractor’s failure to include an appropriate termination for convenience clause in any subcontract shall not increase the obligation of the State beyond what it would have been if the subcontract had contained such a clause. (c) The disclosure required by paragraph (a) of this provision is a material obligation of the contract. If the Contractor knew or should have known of an organizational conflict of interest prior to award, or discovers an actual or potential conflict after award, and does not disclose, or misrepresents, relevant information to the Procurement Officer, the State may terminate the contract for default.
