About this file
This document is an Amendment #1 to a Class Justification and Approval (J&A) for Other than Full and Open Competition for the Defense Logistics Agency (DLA) Aviation's Captains of Industry (COI) Long Term Contract SPE4AX22D9000. The amendment expands the existing contract with Lockheed Martin to include Sikorsky (cage 78286), which is owned by Lockheed Martin and supports various military rotary aircraft systems including H-60 Blackhawk Helicopters, CH-53 King Stallion Helicopter, and MH-60 R/S Seahawk. Sikorsky is identified as the sole Original Equipment Manufacturer (OEM) capable of repairing its unique Depot Level Repairable (DLR) items due to proprietary data, test equipment, experienced technicians, and embedded software.
The amendment incorporates two existing Sikorsky long-term contracts expiring on 30 June 2025 and requires increasing the current J&A dollar value threshold to ensure a 10-year (5-year base and 5-year option) contract term renewal. The forecasted renewal cost was calculated using the current 10-year forecast with a 5% annual escalation. The document indicates that adding Sikorsky to the COI will provide greater sustainment of supported platforms, and the Contracting Officer has determined that the anticipated costs will be fair and reasonable in accordance with federal acquisition regulations.

MEMORANDUM FOR RECORD
SUBJECT:
Amendment #1 to the Class Justification and Approval (J&A) for Other than Full and Open
Competition, Contract SPE4AX22D9000.
Defense Logistics Agency (DLA) Aviation currently acquires sole source consumable and depot level repairable parts manufactured by Lockheed Martin under the Captains of Industry (COI), Long Term Contract SPE4AX22D9000.
Statutory Authority: 10 U.S.C. 2304(c)(1). Regulatory Authority: FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. This amendment relies upon the statutory and regulatory authority cited in the original J&A and the purchase is sole source for the reasons stated therein.
This amendment expands the scope of the COI contract with Lockheed Martin to include Sikorsky cage 78286. Sikorsky is owned by Lockheed Martin Corporation and is aligned under Lockheed Martin’s Rotary and Mission Systems (RMS) Business area (see attachment 1). Sikorsky supports Army, Navy, and Air Force Systems with rotary aircraft such as H-60 Blackhawk Helicopters, Marine Corps systems supporting the CH-53 King Stallion Helicopter, Global Commercial and Military Systems, MH-60 R/S Seahawk, Future Vertical Lift S-97 Raider, and others. Sikorsky cage 78286 is the Original Equipment Manufacturer (OEM) and is the only qualified source capable of repairing unique Depot Level Repairable (DLR) items that it manufactures. Sikorsky is the only manufacturer with the data, test equipment, experienced technicians, and software capable to test, repair, and overhaul its unique DLR items. The DLR items manufactured by Sikorsky contain embedded software that is critical to the operation of the devices, which is owned and controlled only by the OEM. Adding Sikorsky to the COI this will provide greater sustainment of supported platforms. In addition, there are two current Sikorsky long term contracts that are forecasted to be renewed under this COI contract. See below:
SPE4AX-15-D-9002 (Customer Direct) – Expires 30 June 2025 SPEA4AX-15-D-9415 (Depot Direct) – Expires 30 June 2025
The forecasted renewal cost of these contracts for a 10-yr term (5-yr base and 5-yr option) is . This figure was calculated using the current 10-yr forecast of with a 5% escalation added for each year for anticipated 10-yr follow-on efforts.
Based on the rate of current obligations and the expansion of adding future Sikorsky contract requirements, the current J&A dollar value threshold will need to be increased to ensure a 10-yr (5-yr base and 5-yr option) contract term renewal. The estimated increase of will be added to the current threshold of for a new J&A value of .
