The contractor must achieve Substantial Completion of all work within 90 calendar days from the Notice to Proceed commencement date for the Base Bid and Bid Alternate 2, or 120 calendar days if Bid Alternate 1 is selected. The contract includes a Base Bid with two unit price allowances for concrete deck repair and wood blocking replacement, plus two bid alternates: Alternate No. 1 for insulated metal panel vertical gaskets and sealant repair, and Alternate No. 2 for ballasted guardrail fall protection. Bidders must submit a bid security equal to 5% of the proposal amount in the form of cash, certified check, or bid bond. Performance and Labor and Material Payment bonds of 100% of the contract price are required, along with insurance certificates and endorsements with specific coverage requirements. The Small Business Program goal is set at 6% of total contract participation, which bidders must either meet or demonstrate sufficient good faith efforts to achieve through submission of completed SB Forms (Appendices 1A through 6). Retainage of 5% applies to progress payments prior to Substantial Completion, with reduction to 0.5% upon achievement of 50% satisfactory completion. The Authority reserves the right to reject any or all bids and to award based on lowest responsible bidder, lowest cost, or other considerations including standardization and ultimate economy. All contractors must comply with North Carolina General Statutes Chapter 87, Article 1, and federal and state contractor licensing requirements.

It is the policy of the Raleigh-Durham Airport Authority (the “Authority”) that neither the

Authority nor its contractors, construction managers, consultants, service providers, subcontractors, subconsultants and vendors shall discriminate on the basis of race, color, religion, national origin, or gender in the award and performance of contracts, subcontracts and purchases. It is also the Authority’s policy to remove barriers which may exist for small businesses to compete for contracts, subcontracts and procurement awarded by the Authority.

The Authority has determined that it is necessary to establish and maintain a Small Business

Program (Program or SB Program) to encourage equal opportunity for small businesses (SBs) to compete for employment as contractors, subcontractors, suppliers and service providers.

The Authority awards contracts without regard to race, religion, color, creed, national origin, gender, age or handicapping condition. The Authority’s contracts are subject to the requirements of North Carolina law, and this contract will be awarded in accord therewith.

The SB Goal for SB participation on this contract represent the total dollars that will be spent with SBs as a percentage of the total contract amount, including any task orders and amendments. In accordance with the SB Program, the Authority will require that the selected firm must either meet the SB goal or demonstrate that the firm has made sufficient good faith efforts to meet the SB goal.

The Authority has set the following goal for Small Business (SB) participation in the Contract:

6% Small Business (SB).

A SB Workshop and Pre-Bid Conference is scheduled for September 22, 2026 at 10:00

Payment to the

Contractor will be made only for the actual quantities or work performed or materials furnished in accordance with the Plans and Specifications. It is understood that the quantities may be increased or decreased without in any way invalidating the unit bid prices.

6. SMALL BUSINESS (SB) PROGRAM

A. Introduction

It is the policy of the Raleigh-Durham Airport Authority (the “Authority”) that neither the Authority, its contractors, service providers, subcontractors nor vendors, shall discriminate on the basis of race, color, religion, national origin, or gender in the award and performance of contracts, subcontracts and purchases. The Authority has established a Small Business Program (SB Program) to encourage equal opportunity for small businesses (SBs) to compete for business opportunities with the Authority. For more information about Small Business Program requirements, see the Small Business Program Requirements Exhibit.

The Authority awards contracts without regard to race, religion, color, creed, national origin, gender, age or handicapping condition. The Authority’s contracts

ITB-4

are subject to the requirements of North Carolina law, and this contract will be awarded in accord therewith.

B. Small Business (SB)

In order to credit the participation of SBs on Authority procurements towards the

Authority’s SB Goals, the Authority requires that small businesses be certified as such. Firms may pursue either of the following two options for obtaining SB certification for Authority projects:

(1) Documentation of Compliance with Authority Size Standard. Firms must submit documentation verifying that the firm’s average annual gross receipts over the preceding five years do not exceed $3,000,000. Documentation mut include the firm’s prior five years of federal business tax returns (or all prior federal business tax returns, if the firm has existed for less than five years).

(2) NCDOT SBE Firms. Firms that are currently certified as Small Business

Enterprises by the North Carolina Department of Transportation may obtain

SB certification for Authority projects by submitting documentation of their current NCDOT SBE certification along with a copy of the firm’s most recent federal business tax return.

For both of the above options, the firm must submit the required documentation along with a completed certification application. The Authority may, in its sole discretion, request additional supplemental documentation (as determined by the Authority) including but not limited to articles of incorporation. The Authority retains the right and ability to review a SB’s certification qualifications and to reject certification of any SB on all Authority procurements and contracts.

C. SB Goal

The SB Goal for SB participation in this contract represents the total dollars that will be spent with SBs as a percentage of the total contract amount, including any change orders.

SB Goal: The goal for Small Business participation is Six Percent (6%)

In accordance with the SB Program, a bidder must either meet the SB Goal or demonstrate that the bidder has made sufficient good faith efforts to meet the SB

Goal. If the bidder does not meet the SB Goals, it shall nevertheless be eligible for award of the contract if it can demonstrate to the Authority that it has made good faith efforts to meet the SB Goal.

D. SB Program Provisions

All bidders shall agree by the submission of a bid for this project that SBs have the maximum opportunity to participate in the performance of contracts and subcontracts.

All bidders are hereby notified that failure to carry out the obligations of the SB

Program will constitute a breach of good faith in dealing with the Authority, and the

Authority will take any and all actions permitted by law to ensure compliance by all

ITB-5

Contractors1 engaged by it. Failure to meet or exceed the SB Goal or to make a good faith effort to meet the SB Goal and to adequately document such efforts to the

Authority will be grounds for disqualifying a bid as non-responsive. Bidders specifically agree to comply with all applicable provisions of the SB Program and any amendments thereto.

E. Required Documentation – Bid Submission

Each proposer must submit for all solicitations or proposals, completed SB Program forms as outlined below.

1. Appendix 1A: Schedule of Small Business Subcontractors

a. Must be submitted at the time of proposal submission

b. Must list each SB submitted towards SB Goal credit

2. Appendix 1B: SB Certification Status

a. Must be submitted at the time of proposal submission

b. Must list each SB submitted towards SB Goal credit

3. Appendix 2: Good Faith Effort Checklist

a. Must be submitted at the time of proposal submission

4. Appendix 3: Statement of Intent to Perform Work Without

Subcontracting

a. Must be submitted at the time of proposal submission, if bidder is proposing to self-perform

b. If SB Goal is not met, requires supplemental documentation

5. Appendix 4: Intent to Perform as a Subcontractor

a. Signed and executed form for each SB subcontractor identified on

Appendix 1A and 1B

b. Submitted within 3 business days of the proposal opening

6. Appendix 5: Intent to Perform as a Supplier

a. Signed and executed form for each SB subcontractor identified on

Appendix 1A and 1B

b. Submitted within 3 business days of the proposal opening

F. Good Faith Effort Requirements

Each bidder shall submit documentation which demonstrates that it made good faith efforts to meet the SB goal. The requirement to submit documentation that the goal has been met or good faith documentation in the manner prescribed by the Authority is considered a matter of responsiveness. Further, bidders who do not meet the SB

Goal may be required to provide additional evidence of its good faith effort. Efforts that are merely pro-forma are not good faith efforts to meet the requirements of the

SB Program.

The Authority shall be the sole arbiter to determine if a bidder has made a reasonable good faith effort toward SB participation in its bid. The Authority will also consider

1 Contractor - A firm that enters into a Contract with the Authority. The term “Contractor” includes consultants, architects, engineers, suppliers and providers of tangible goods and services.

ITB-6

if, given all relevant circumstances, the bidder’s efforts could reasonably be expected to produce a level of SB participation sufficient to meet the goal. The Authority will consider the quality, quantity and intensity of the different kinds of efforts a bidder has made. In evaluating a bidder’s good faith efforts submission, the Authority will only consider those documented efforts that occurred prior to the good faith effort submission. The Authority reserves the right to reject any and all bids submitted and to reject the bid of any bidder who fails to make a good faith effort and submit timely, satisfactory evidence of its good faith effort. If good faith effort documentation is requested, it shall include a specific response and supplementary documents regarding the bidder’s efforts regarding the following:

1. Selecting portions of the work to be performed by SBs in order to increase the likelihood that the SB goals will be achieved.

2. Negotiating in good faith with interested SBs. Evidence of such negotiation includes the names, addresses, and telephone numbers of SBs that were considered; a description of the information provided regarding the plans and specifications for the work selected for subcontracting; and evidence as to why additional agreements could not be reached for SBs to perform the work. The ability or desire of a prime contractor to perform the work of a contract with its own organization does not relieve the bidder of the responsibility to make good faith efforts. Bidding contractors are not, however, required to accept higher quotes from SBs.

3. Not rejecting SBs as being unqualified without sound reasons based on a thorough investigation of their capabilities.

4. Any other evidence that the bidder submits which shows that the bidder has made reasonable good faith efforts to meet the SB goal.

Appendix 2 of the bid documentation requires specific responses to the following:

1. Did bidder attend the pre-bid or pre-proposal conference?

2. Did bidder advertise contractual opportunities in general circulation, trade association, or small business-focused media concerning opportunities? Was advertising specific to the project in question?

3. Did the bidder provide satisfactory written solicitations requesting participation of SBs that reasonably could have been expected to submit a quote that were known to the Contractor or available on state or local government maintained lists no later than 10 days prior to the bid opening?

4. Did the bidder provide SBs with:

5. adequate description of all work to be contracted?

6. adequate information about the location of the plans, specifications, and requirements of the contact?

7. date the quotation was due to the bidder?

8. Did the bidder follow-up initial solicitations of interest either electronically, in person or by telephone to determine if the SB was interested in participation?

ITB-7

9. Did bidder break down or combine elements of work to be performed by SBs into economically feasible units in order to facilitate small business participation?

10. Did bidder make available or provide prospective SBs with plans, specifications, and requirements for the work to be subcontracted at least 10 days before bids or bids were due?

11. Did the bidder negotiate in good faith with SBs?

12. Did the bidder offer assistance to interested SBs in obtaining bonding or insurance required by the Authority or by the bidder?

13. Did the bidder work with small business trade, community or contractor organizations identified by the Authority, NC HUB Office or the NC

Department of Transportation or included in the bid documents that provide assistance in the recruitment and placement of SBs?

14. Did bidder provide assistance to otherwise qualified SBs in need of equipment, loan capital, lines of credit, or joint pay agreements to secure loans, supplies or letters of credit, including waiving credit that is ordinarily required, or assist

SBs in obtaining the same unit pricing with bidder’s suppliers in order to help

SBs in establishing credit?

G. Self-Performance

Self-performance does not exempt bidders from SB Program requirements.

Notwithstanding the fact that a bidder may have the capability to complete a total project with its own work force, and without the use of subcontractors/subconsultants, all Authority contractors are required to demonstrate sufficient good faith efforts to subcontract with and/or procure supplies/services with SBs in its subcontractor/ subconsultant or supplier service area. Bidders that do not meet the SB Goal and desire to self-perform the entire contract must comply with each of the following Good Faith Effort provisions.

Failure to do so shall constitute grounds for rejection of the Bid or Proposal:

1. It is a normal and necessary practice of the Proposer to perform all elements of this type of contract with its own workforce and without the use of subcontractors. The bidder has substantiated this by providing documentation of at least three (3) other projects within the last two (2) years on which they have done so.

2. The bidder was unable to locate SBs which could provide significant goods or materials for use in conjunction with this contract. The bidder has substantiated this by providing documentation.

3. The bidder has a valid business reason for self-performing all work on the contract as opposed to subcontracting with a SB. The bid must describe the valid business reason for self-performing and submit with its bid documentation sufficient to demonstrate to the Authority reasonable satisfaction the validity of such assertions.

ITB-8

4. The bidder will provide equal opportunity to SBs to participate in significant material supplier opportunities available under the prime contract and to document good faith efforts as required herein.

5. If it should become necessary to subcontract some portion of the work at a later date, the bidder will notify the Authority and institute good faith efforts to comply with all requirements of the SB program in providing equal opportunities to SBs to subcontract the work.

H. Counting SB Participation

1. SB Prime Contractors and Consultants - If an SB is the Prime Contractor, the participation of the SB Prime which is not subcontracted to another firm (or firm) is counted towards the SB commitment. Prime Contractors (including SB

Prime Contractors) are responsible for meeting the SB commitment.

2. Subcontractor/ Subconsultant – If the Contractor, consultant or service provider utilizes an SB as a subcontractor or subconsultant to perform services, the

Authority counts 100% of the value of the Commercially Useful Function2 the

SB performs toward satisfaction of the SB Commitment3. The Authority will allow the Contractor to count only the value of the work actually performed by the SB toward SB Commitment. This amount should include the cost of supplies and materials obtained by the SB for the work of the contract, including supplies purchased or equipment leased by the SB (except supplies and equipment the SB Subcontractor purchases or leases from the Contractor).

3. SB suppliers – In service, construction and construction-related professional service contracts, a Contractor may count 60% of its expenditures to SB suppliers that are not manufacturers toward achievement of the contract goals, provided that the SB Supplier performs a Commercially Useful Function in the supply process.

4. SB manufacturers – The Contractor may count 100% of all expenditures for materials, supplies and equipment obtained from an SB manufacturer toward the SB Goal. A SB manufacturer is a supplier that produces goods from raw materials or substantially alters them before resale.

I. SB Program Requirements

1. Agreements between a bidder and an SB in which the SB promises not to provide subcontracting quotations to other bidders are prohibited.

2. Bidders shall provide identifying information for all SB subcontractors and suppliers who it proposes to engage in carrying out and completing the work called for by this bid. Following the opening of the bids, no change shall be made in any of the SB subcontractors proposed to be engaged by the bidder

2 Commercially Useful Function - A function performed by a firm when it is responsible for supplying goods or executing a distinct element of the work of a contract and carrying out its responsibilities by actually performing, managing and supervising the work involved 3 SB Commitment - SB utilization that a contractor/consultant commits to achieve for a contract at contract award.

ITB-9

without the prior written consent and approval of the Authority. If the

Contractor proposes to terminate or substitute a SB subcontractor or supplier after submitting a bid, the Contractor must make good faith efforts to find a substitute SB subcontractor for the original SB to meet its SB commitment. Its good faith efforts shall be directed at finding another SB to perform or provide at least the same amount of work, material or service under the contract as the original SB to the extent necessary to meet its SB commitment. The Contractor must give the SB notice in writing, with a copy to Authority, of its intent to request to terminate and/or substitute, and the detailed reasons for the request.

All substitutions shall be coordinated with and approved by the Authority prior to being made.

3. The Contractor has a continuing obligation to meet the SB utilization to which it committed at contract award, inclusive of change orders, amendments, and modifications.

4. The Contractor shall maintain records and submit monthly reports of SB payments, concurrent with the Contractor’s submission of payment requests with each invoice. The report shall include a certification by the Contractor regarding payment to each SB subcontractor for the prior month’s work. These reports will be certified as true and correct by an appropriate company official.

To ensure that the Contractor meets all its SB commitment, the Authority will review the Contractor's SB utilization throughout the term of the contract, including any term extensions of the original contract period.

5. Upon the Authority’s request, the Contractor shall provide Authority access to books, records, accounts and personnel needed for SB compliance review.

Such access will be used for, among other purposes, determining SB participation and compliance with the SB Program. Determination(s) regarding Contractor’s compliance with the SB Program may be considered and have a bearing on consideration of the Contractor for award of future contracts.

J. Required Documentation –SB Program Compliance

As referenced above, the Contractor must maintain compliance with the SB

Program provisions throughout the contract. To ensure that the Contractor meets its SB commitment, the Authority will review the Contractor's SB participation throughout the term of the Contract, including any term extensions from the original

Contract period. The SB participation is determined by the total SB participation in relation to the total dollar value of contract as paid to the Prime Contractor. If a

Contract includes an SB commitment, the Contractor must report all SB payments using the Authority’s Small Business Contract Compliance System (CCS) and submit verifying information as outlined below, concurrent with the Contractor’s submission of each payment request.

1. Contractors are required to report all payments using the Authority’s

Small Business Contract Compliance System.

2. A Contractor cannot terminate, substitute or otherwise change the terms of its

Final Schedule of Subcontractors prior to or after Contract award without the

ITB-10

prior written consent of the Authority. This includes, but is not limited to, instances in which the Contractor seeks to perform work originally designated for an SB subcontractor with its own forces or those of an affiliate, a non-SB or another SB. This request must be made using the Authority’s Small

Business Contract Compliance System. Contractors must obtain prior approval through the CCS.

Questions concerning the SB Program can be addressed to the Authority’s Director of Small Business Programs, Ms. Thiané Carter, via e-mail at thiane.carter@rdu.com.

7. EXAMINATION OF PLANS, SPECIFICATIONS, CONTRACT, AND SITE

OF WORK

The Bidder shall carefully examine the site of the work contemplated, the plans and specifications, and the Bid and contract forms therefor. The submission of a bid shall be conclusive evidence that the Bidder has investigated and is satisfied as to the conditions to be encountered; as to the character, quality, and scope of work to be performed; the quantities of materials to be furnished; and as to the conditions and requirements of the Bid form, plans, specifications, and contract under which his bid is offered.

A Bidder or Contractor is cautioned to make such independent investigation and examination as he deems necessary to satisfy himself as to conditions to be encountered in the performance of the work with respect to possible local material sources, the quality and quantity of material available from such property, and the type and extent of processing that may be required in order to produce material conforming to the requirements of the specifications.

If the work is located in controlled-access (non-public) areas of the airport. A site visit will directly follow the Prebid conference as discussed in Section 8. No other site visits will be permitted.

8. PREBID CONFERENCE, EXAMINATION OF CONDITIONS AND

MINORITY OR WOMEN-OWNED SMALL BUSINESSES WORKSHOP

A Pre-bid Conference and SB Workshop will be held on September 22, 2026 at

10:00 AM. A site visit will directly follow the meeting. The Pre-bid Conference will be held in Conference Room 100 of the Authority’s Administration Building, RDU

Center, 1000 Trade Drive, RDU Airport, NC. The purpose of the conference is to give all Bidders an opportunity to ask questions concerning the Plans, Specifications, and

Contract Documents. The purpose of the SB Workshop is to give all Bidders and subcontractors an opportunity to ask questions concerning the SB Program.

The award of the contract will be made to the lowest responsible Bidder as soon as practicable; provided that in the selection of equipment or materials or contract time, a contract may be awarded to a responsible Bidder other than the lowest in the interest of standardization, ultimate economy or time of commencement and completion if the advantage of such standardization, ultimate economy or time of commencement and completion is clearly evident. The Owner reserves the right to waive informalities and minor irregularities. The Owner may require the apparent low Bidder to qualify himself/herself to be a responsible Bidder by furnishing financial statements, evidence of experience in completion of similar projects, the names of holders of trade licenses and similar information.

The Authority may award on the basis of the base bid and any alternates the

Authority chooses. The Authority reserves the right to award any combination of items listed in the base bid schedule and any alternates in order to stay within the Authority’s budget.

If the initially successful Bidder defaults or otherwise is unable to enter into a contract with the Owner, then the Owner reserves the right to award a contract to the next lowest responsible and responsive Bidder.

The Owner reserves the right to reject any and all bids, in whole or in part: by deeming the offer unsatisfactory as to quality or quantity, delivery, or price offered; for non-compliance with the requirements or intent of this solicitation; for lack of competitiveness; for error(s) in specifications or indications that revision would be advantageous to the Owner; as a result of the cancellation of, or other changes in, the intended project; as a result of a determination that the proposed requirement is no longer needed; for lack of available funds; because of circumstances that prevent determination of the best offer; or by any other determination that rejection would be in the best interest of the Owner. The Owner reserves the right to reject any bid as non-responsive if the bid fails to include any of the required information on the required forms in the specified order. If all bids are rejected, the Owner will send an email or letter to all Bidders informing them that all bids were rejected.

ITB-12

12. CANCELLATION OF AWARD

The Owner reserves the right to cancel the award without liability to the Bidder, except return of proposal guaranty, at any time before a contract has been fully executed by all parties and Notice to Proceed has been issued and approved by the Owner.

13. CORRECTION OF BID ERRORS

The provisions of this article shall apply to irregularities and correcting apparent clerical errors and omissions in the “unit bid price” and “amount bid” for bid items.

A. Omitted Unit Bid Price--Amount Bid Completed--Quantity Bid on Is One

Unit:

In the case of a bid item for which the “amount bid” is completed, but the “unit bid price” is omitted and the “quantity” shown in the Bid for the bid item is only one unit, the “unit bid price” shall be deemed to be the same as the amount bid for that item and shall constitute the “contract unit price” for that bid item.

B. Omitted Unit Bid Price--Amount Bid Completed--Quantity Bid on Is More

Than One Unit:

In the case of a bid item for which the “amount bid” is completed (extension of the “unit bid price” by the quantity), but the “unit bid price” is omitted and the “quantity” shown in the proposal for the bid item is more than one unit, the “unit bid price” shall be deemed to be the amount derived by dividing the

“amount bid” for that item by the quantity shown in the proposal for that item and shall constitute the “contract unit price” for that bid item.

C. Discrepancy in the “Unit Bid Price” and “Amount Bid”:

In the case of a bid item in which there is a discrepancy between the “unit bid price” and the extension for the bid item (“amount bid”), the “unit bid price” shall govern. As an exception to the above, the extension for the bid item

(“amount bid”) shall govern when the discrepancy consists of an obvious clerical mistake in the “unit bid price” consisting of the misplacement of a decimal point. The correction to the “unit price bid” will be made when the following two conditions are met:

1. The corrected “unit bid price” multiplied by the quantity equals the

“amount bid” for the bid item.

2. The corrected “unit bid price” is closer to the engineer’s estimate and the individual bids for the contract item than the uncorrected “unit bid price”.

ITB-13

14. PERFORMANCE AND LABOR AND MATERIALS PAYMENT BONDS

The Contractor shall furnish surety bonds in the form indicated in the contract documents executed by a surety company authorized to do business in North Carolina.

Each such bond shall be in an amount equal to one hundred percent (100%) of the contract price. A separate security shall be provided each for the faithful performance of the contract and for the payment of all persons performing labor and furnishing materials in connection therewith.

15. INSURANCE

The Bidder’s attention is called to the Insurance Requirements of the Form of

Agreement. The Bidder shall advise his/her insurer on the particulars of the contract insurance requirements in the Agreement and make certain that the insurer is able and willing to completely fulfill these requirements. Prior to execution of a contract, it will be necessary for the Contractor to provide an insurance certificate with the appropriate language required and the endorsements as specified, including an endorsement clearly stating that the Contractor’s insurance is primary, non-contributing.

Accordingly, the Bidder is required to submit with his/her bid the Insurer’s Letter of

Commitment, completed and signed by the Bidder and its proposed insurer. The form for the Insurer’s Letter of Commitment is included in the Bid Form.
