(a) Definitions. As used in this clause—

“Contract”, as defined in FAR 2.101, means a mutually binding legal relationship obligating the seller to furnish the supplies or services (including construction) and the buyer to pay for them. It includes all types of commitments that obligate the Government to an expenditure of appropriated funds and that, except as otherwise authorized, are in writing. In addition to bilateral instruments, contracts include (but are not limited to) awards and notices of awards; job orders or task letters issued under basic ordering agreements; letter contracts; orders, such as purchase orders, under which the contract becomes effective by written acceptance or performance; and bilateral contract modifications. Contracts do not include grants and cooperative agreements covered by 31 U.S.C. 6301, et seq. For discussion of various types of contracts, see FAR Part 16.

“First-tier subcontract” means a subcontract awarded directly by a Federal Government prime contractor whose contract is funded by the Recovery Act.

“Jobs created” means an estimate of those new positions created and filled, or previously existing unfilled positions that are filled, as a result of funding by the American Recovery and Reinvestment Act of 2009 (Recovery Act). This definition covers only prime contractor positions established in the United States and outlying areas (see definition in FAR 2.101). The number shall be expressed as “full-time equivalent” (FTE), calculated cumulatively as all hours worked divided by the total number of hours in a full-time schedule, as defined by the contractor. For instance, two full-time employees and one part-time employee working half days would be reported as 2.5 FTE in each calendar quarter.

“Jobs retained” means an estimate of those previously existing filled positions that are retained as a result of funding by the American Recovery and Reinvestment Act of 2009 (Recovery Act).

“Total compensation” means the cash and noncash dollar value earned by the executive during the contractor’s past fiscal year of the following (for more information see 17 CFR 229.402(c)(2)):

(1) Salary and bonus.

(2) Awards of stock, stock options, and stock appreciation rights. Use the dollar amount recognized for financial statement reporting purposes with respect to the fiscal year in accordance with the Statement of Financial Accounting Standards No. 123 (Revised 2004) (FAS 123R), Shared Based Payments.

(3) Earnings for services under non-equity incentive plans. Does not include group life, health, hospitalization or medical reimbursement plans that do not discriminate in favor of executives, and are available generally to all salaried employees.

(4) Change in pension value. This is the change in present value of defined benefit and actuarial pension plans.

(5) Above-market earnings on deferred compensation which is not tax-qualified.

(6) Other compensation. For example, severance, termination payments, value of life insurance paid on behalf of the employee, perquisites or property if the value for the executive exceeds $10,000.

(b) This contract requires the contractor to provide products and/or services that are funded under the American Recovery and Reinvestment Act of 2009 (Recovery Act). Section 1512(c) of the Recovery Act requires each contractor to report on its use of Recovery Act funds under this contract. These reports will be made available to the public.

(c) Reports from contractors for all work funded, in whole or in part, by the Recovery Act, and for which an invoice is submitted prior to June 30, 2009, are due no later than July 10, 2009. Thereafter, reports shall be submitted no later than the 10th day after the end of each calendar quarter.

(d) The Contractor shall report the following information, using the online reporting tool available at www.FederalReporting.gov.

(2) The amount of Recovery Act funds invoiced by the contractor for the reporting period. A cumulative amount from all the reports submitted for this action will be maintained by the government’s on-line reporting tool.

(4) Program or project title, if any.

(5) A description of the overall purpose and expected outcomes or results of the contract, including significant deliverables and, if appropriate, associated units of measure.

(6) An assessment of the contractor’s progress towards the completion of the overall purpose and expected outcomes or results of the contract (i.e., not started, less than 50 percent completed, completed 50 percent or more, or fully completed). This covers the contract (or portion thereof) funded by the Recovery Act.

(7) A narrative description of the employment impact of work funded by the Recovery Act. This narrative should be cumulative for each calendar quarter and only address the impact on the contractor’s workforce. At a minimum, the contractor shall provide—

(i) A brief description of the types of jobs created and jobs retained in the United States and outlying areas (see definition in FAR 2.101). This description may rely on job titles, broader labor categories, or the contractor’s existing practice for describing jobs as long as the terms used are widely understood and describe the general nature of the work; and

(ii) An estimate of the number of jobs created and jobs retained by the prime contractor, in the United States and outlying areas. A job cannot be reported as both created and retained.

(8) Names and total compensation of each of the five most highly compensated officers of the Contractor for the calendar year in which the contract is awarded if—

(9) For subcontracts valued at less than $25,000 or any subcontracts awarded to an individual, or subcontracts awarded to a subcontractor that in the previous tax year had gross income under $300,000, the Contractor shall only report the aggregate number of such first tier subcontracts awarded in the quarter and their aggregate total dollar amount.

(10) For any first-tier subcontract funded in whole or in part under the Recovery Act, that is over $25,000 and not subject to reporting under paragraph 9, the contractor shall require the subcontractor to provide the information described in (i), (ix), (x), and (xi) below to the contractor for the purposes of the quarterly report. The contractor shall advise the subcontractor that the information will be made available to the public as required by section 1512 of the Recovery Act. The contractor shall provide detailed information on these first-tier subcontracts as follows:

Other Information

Bidders will submit bid proposal outlining cleaning and inspection costs per reservoir based on an assumed sediment depth of two inches. Sediment depth is calculated as an average sediment depth across the reservoir floor. This item is listed on the Schedule of Items as “Clean and Inspect” for each reservoir. This item includes cleaning of all underwater surfaces and inspection procedures as explained herein.

Bidder shall assume that all water tanks listed on the Schedule of Items are accessible by a four-wheel-drive vehicle pulling a trailer. Bidder shall also assume that all tanks listed on the Schedule of Items have a minimum 18”x18” entry access unless noted otherwise. If, after award, it is determined by the Contracting Officer and winning bidder that any tank is inaccessible by a four-wheel-drive vehicle pulling a trailer or that the entry is smaller than 18”, a contract modification may be negotiated or the tank will be removed from the contract.

SECTION C--DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK

TECHNICAL SPECIFICATIONS

C.1.

Scope of Contract Provide all materials, labor, and equipment necessary for the inspection, cleaning, and repair of potable water storage tanks on National Forest land.

C.2.

Work Description The major work for this project is to provide a comprehensive tank inspection and interior cleaning to tanks of varying size and construction (list and site directions attached) on the Cleveland National Forest. The tank will be cleaned and inspected while full of potable water. The Contractor shall provide all necessary staffing, equipment, and materials to complete the work. Based upon specific tank deferred maintenance needs, the selected Contractor may be asked to perform small-scale repairs at a negotiated labor rate designated on the Schedule of Items. Following inspection and cleaning, the Contractor shall submit a written inspection report, an inspection video, and sufficient still color photographs to provide reasonable documentation of the condition of the reservoir interior.

C.3.

General Under no circumstances shall the Contractor allow any employee or person into the water tanks who is not certified in Confined Space Entry.

No camping will be permitted.

Contractor shall cleanup work site immediately following work and shall remove all project generated debris and containers off of National Forest land.

There is water, but not electricity at the project sites. Sanitation facilities are the responsibility of the Contractor.

C.4.

Days/Hours Of Operation and Schedules The Contractor's hours of operation shall be restricted to 7:00 am to 6:00 pm, Monday through Friday. In addition the work shall be shut down during the following periods. Work shall be shut down on Saturdays, Sundays and all Federally listed Holidays. Contract time has been adjusted to reflect these periods of shutdown.

The Contractor shall provide the Government with a complete work schedule describing the different work activities and when they will be initiated and completed at the Pre-work Conference. The Contractor will be expected to follow this schedule during the course of the contract or shall submit a revised schedule within 48 hours of any unforeseen delays or changes.

C.5.

Regulations, Requirements, Standards, and Procedures All work performed shall comply with Health, Safety and Fire Codes, NSF, ANSI (ANSI/ACDE-01-2009), AWWA (Including but not limited to Standard C652, Disinfection of Water-Storage Facilities; Standard D101-53, Inspecting and Repairing Steel Water Tanks, …, Reservoirs and Elevated Tanks, for water storage) OSHA regulations and/or applicable regulations established by local, County and State codes and ordinances.

As a minimum, any dive team used for this contract will comply with all Federal, State, and local laws and regulations.

Divers’ air supply must be sufficient to support the divers for the duration of the planned dives. A full second external air supply shall be available for back up in the event the primary air source fails.

Divers will have full time voice communication capability with surface personnel.

All equipment and diver (external gear) must be disinfected with a 200+ ppm chlorine solution immediately prior to entering potable water. Chlorine used shall be NSF certified for potable water uses.

Divers will use full dry suits in good repair dedicated for use in potable water. Neoprene or shell dry suits are not suitable for disinfection. Divers that cannot demonstrate to the satisfaction of the Contracting Officer that their suits are used exclusively in potable water applications will be required to use vulcanized rubber suits. The dive suit shall completely encapsulate the diver with no bare skin exposed, including hands. There shall be no contact of the mouth or head with the water during inspection.

Dive team will consist of a minimum of three (3) persons. If two (2) divers are submerged at the same time, a minimum of a five-person dive team is required. All members shall be properly trained in commercial diving and confined space entry. All divers are to meet or exceed ANSI/ACDE 01-2009 minimum training requirements. The Contractor shall submit commercial diving licenses and proof of confined space training for all members of the dive team prior to tank entry.

Contractor is responsible to adhere to all Federal and State of California safety and environmental laws applicable to this work. The Contractor will be held directly responsible for any violations of these laws and resulting fines.

Sodium Hypochlorite shall be NSF certified for potable water uses.

C.6.

Cleaning Cleaning procedures must combine adequate brushing of surfaces cleaned in addition to removing material from the tank by water suction. The non-chlorinated discharge water may be directed in the general direction of overflow drainage or into the overflow catch basin if available. Contractor shall monitor discharge flow rates in outfall structure. At no time shall the discharge flow rate be so great as to cause soil erosion to occur at or around the outfall of the discharge pipe. No chlorine or chlorinated water should ever be allowed to discharge or released onto the ground or into any nearby drainage or waterway. Contractor shall cleanup any unacceptable discharges of toxic or hazardous materials released onto the ground at their own expense.

The potable reservoir will be in service during cleaning. The cleaning procedures shall not create any visible turbidity in the water column. In addition to cleaning all sediment and other materials from the walls and floor of the reservoir, the diver will ensure that all sediment is removed from all floor or floor-to-wall seams, support column bases, plumbing fixtures and supports, man entries, or any other areas where the vacuum does not reach during normal floor cleaning. Brushing shall be done in conjunction with vacuuming to remove potentially hazardous biofilm. A stationary or fixed brush inside a vacuum head will be considered, provided that the Contractor’s methodology is thoroughly described and demonstrated to remove biofilm. Hydraulic jetting will not be considered. Sediment removal will be considered complete only when an unobstructed view of the tank bottom is achieved. The Contractor will provide sufficient photo or video evidence to demonstrate compliance.

Diving Contractor will have the ability to clean the vertical wall surfaces with similar equipment and procedures as used in cleaning the floor. Cleaning procedures must combine adequate brushing of surfaces cleaned in addition to removing materials from the reservoir by vacuum or water suction, and must be done in such a manner that does not create turbidity inside the reservoir. Wall cleaning will be performed during same dive as floor cleaning. Following tank cleaning, each tank shall receive a chlorine dose of 2 parts per million.

C.7.

Inspection Inspection will be performed according to NACE and ASNT standards. The Contracting Officer will approve or amend the comprehensive inspection checklist required with the original proposal as necessary. Amended inspection lists will be sent to the awarded contractor for approval prior to the Notice to Proceed. The Inspector shall note the overall condition of the tank, its appurtenances, items in need of repair, safety and wear concerns, and suggested upgrades.

C.8.

Inspection Reports and Videos Contractor shall provide inspection reports for each tank that will include high resolution still color digital photographs of all problem areas; detailed notes of the diver’s observations and comments corresponding to each photograph; a summary of tank conditions; a summary of tank recommendations; and a schematic diagram of each reservoir showing location of each image with a time stamp showing where the image may be found on the inspection video.

A high resolution color video with real time imprint and time log indicating where each feature or problem area may be found shall also be provided for each tank. Video will be narrated live by the divers, contractor’s on-site support personnel or government personnel at the time the video is recorded.

The report submittal for each tank shall include a digital copy of the written inspection report on CD, a bound hard copy of the written inspection report, and a copy of the inspection video on DVD.

C.9.

Repairs and Other Services The Contractor will be required to address a wide variety of tank maintenance and inspection needs. Repairs will be at the discretion of the Contracting Officer. The rates specified in Item 20 will apply to these repairs.

C.10.

Project Location Maps and Tank List The included Project Location Maps, Drawings and Tank Site Directions provide locations and information for each tank, including tank material, tank and hatch dimensions if available, and other information.
