(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

INTENT AND LOCATION OF CONTRACT

The intent of this solicitation is to award a single-award, firm fixed price contract for road maintenance services (tailgate speeding) on U.S. Forest Service roads for the Nantahala Ranger District in North Carolina.

WAGE RATES

Attachment 1 reflects the current North Carolina Department of Labor Service Wage Determination Rates, Services, to be used in the resultant contract.

INVOICING

Invoices will be processed via Invoice Processing Platform (IPP). A copy of the actual invoice must be attached to the electronic invoice in IPP in order to process payment. Invoices will be approved for all work completed, inspected and accepted by the COR.

Payment – The Contractor will submit a monthly invoice through IPP at the end of each service month. Payments shall be made through IPP with approval of invoice on a calendar month (30 days) basis in arrears. Invoices will be submitted no more than monthly and be shall accompanied by weight tickets showing all gravel which has been spread in performance of the contract. Upon receipt of Contractor’s IPP invoice, payments will be made 30 calendar days from the acceptance date in accordance with the Prompt Payment Act.

The “Submit Invoice-to” address for USDA Orders is the Department of Treasury’s Invoice Processing Platform (IPP). The Contractor must follow the instructions on how to register and submit invoices via IPP as prescribed on the IPP website. All invoices are to be submitted via the electronic Invoice Processing platform. PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of quotes, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separately sections, Part I – Technical, Part II – Past Performance, and Part III -Price.

B.

The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the Contracting Officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

A. Submittal and Inquiries.

If Government responses to technical questions that affect the SOW requirements, an amendment to solicitation will be issued.

Specific Instructions:

1. PART I – TECHNICAL SUBMISSION

Offers must provide the following information in order to demonstrate an acceptable level of understanding of the Government's requirements and an acceptable plan of execution.

Written submittals must address the following elements:

a) Site Visitation: Any information that indicates the extent to which the site for this project was visited, or the methodology by which site information was obtained, and the results concluded from the site visit or information gathering.

b) Safety Plan: Safety plan specific to the sites where work shall take place.

c) Work Plan: The work plan shall include an operation plan, proposed schedule or estimated production rates, a list of resources (personnel and equipment) which are planned for use on the project, and a statement regarding the realism of the work plan.

d) Scheduling with other concurrent projects. The Offeror must address how all work will be accomplished within the performance schedule, given other current projects, as well as those currently being proposed on by the offeror in the event they are awarded those additional contracts.

2. PART II – PAST PERFORMANCE SUBMISSION

Limited to no more than 2 pages per contract listed in Section 5 of the Experience Questionnaire (Attachment 4). No more than 5 projects within the last 3 years of the solicitation issuance date. Only references for same or similar type contracts are desired. Information provided should assist in determining relevancy to the current solicitation.

3. PART III – PRICE SUBMISSION

(a) Complete blocks 13, 15, 16, 17 and 18 of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation.

(b) Insert proposed unit and extended prices in the Bid Schedule at Attachment 5, including all option periods.

i. The offeror shall ensure the units prices are represented in two decimal positions only (example: $0.27, not $0.27458).

ii. The offeror may provide background information, other than the pricing data that is required, concerning its pricing methodology. This information might include details of the methodology applicable to your offer. The data, if submitted, would be used by the government to better understand their pricing.

iii. Offerors shall enter unit prices and amounts for contract line items as indicated in the schedule.

iv. In the event there is a difference between a unit price and the extended total amount, the unit price will be held to be the intended bid and the total of the contract line item will be recomputed accordingly. If the bidder provides a total amount for a contract line item but fails to enter the unit price, the total amount divided by the contract line item quantity will be held to be the intended unit price.

v. Quantities depicted throughout this contract represent the Government's best estimate of the quantity of work for the period of performance. After contract award, situations may arise which impact upon the Government's requirements and necessitate changes to this contract. Should this occur, the Contracting Officer will modify the contract in accordance with the provisions and limitations specified herein. The quantities are estimates of the amount of work that will be ordered.

(c) Complete the necessary fill-ins for all representations and certifications, unless completed within the online System for Award Management (SAM).

52.212-2 Evaluation—Commercial Items. (OCT 2014) (a.)

This is a competitive best value acquisition utilizing simplified acquisition procedures. By submission of its offer, unless specifically addressed in the Offeror’s quote, it will be assumed that the offeror accedes to all solicitation requirements, including all terms and conditions. Failure to meet a solicitation requirement, as well as assumptions and/or exceptions indicated in the Offeror’s quote, may result in an offer being determined technically unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions, they will also need to submit their complete accompanying rationale. The government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

· TECHNICAL

Offers will be evaluated for on an acceptable/unacceptable basis to ensure an acceptable level of Understanding of the Government's Requirements and an acceptable plan of execution.

Written submittals will be evaluated for the following elements:

a) Site Visitation: Demonstrates that the offeror has obtained adequate information regarding the work to be performed, condition of the roads, accessibility, etc…to ensure successful execution of all contract requirements at the proposed price.

b) Safety Plan: Safety plan will be evaluated to ensure site specific safety hazards have been considered and adequate mitigation plans are in-place.

c) Work Plan: The work plan will be evaluated to ensure that the work plan is realistic to include scheduling, production rates, and resources (personnel and equipment).

d) Scheduling with other concurrent projects. Planning for all known and potential additional projects/ concurrent contractor obligations, will be evaluated to ensure successful completion of this project will not be jeopardized.

· PAST PERFORMANCE

Relevant performance includes performances of efforts that are similar or greater in scope, magnitude and complexity than the effort described in this solicitation.

Performance submitted, that the Government is unable to validate, will not be considered.

The Contracting officer reserves the right to use the following additional sources of past performance:

- The Contracting Officer’s knowledge of and previous experience with the supply or service being acquired;

- Customer surveys, and past performance questionnaire replies;

- The Governmentwide Past Performance Information Retrieval System (PPIRS) at www.ppirs.gov; or

- Any other reasonable basis.

The purpose of the past performance evaluation is to allow the government to assess the offeror’s ability to perform the effort described in this solicitation, based on the offeror’s demonstrated present and past performance. The assessment process will result in an overall performance confidence assessment of High Confidence, Significant Confidence, Satisfactory Confidence, Unknown Confidence, Little Confidence, or No Confidence, as defined below:

High Confidence: Based on the offeror’s performance record, the government has high confidence the offeror will successfully perform the required effort.

Significant Confidence: Based on the offeror’s performance record, the government has significant confidence the offeror will successfully perform the required effort.

Satisfactory Confidence: Based on the offeror’s performance record, the government has confidence the offeror will successfully perform the required effort.

Unknown Confidence: No performance record is identifiable.

Little Confidence: Based on the offeror’s performance record, substantial doubt exists that the offeror will successfully perform the required effort.

No Confidence: Based on the offeror’s performance record, extreme doubt exists that the offeror will successfully perform the required effort.

Offerors with no relevant past or present performance history shall receive the rating "Unknown Confidence," meaning the rating is treated neither favorably nor unfavorably..

AGAR 452.237-71 Pre-Bid/Pre-Proposal Conference (FEB 1988)

(a) The Government is planning a pre-bid/pre-proposal conference, during which potential offerors may obtain a better understanding of the work required.

(b) Offerors are encouraged to submit all questions in writing at least five (5) days prior to the conference. Questions will be considered at any time prior to or during the conference; however, offerors will be asked to confirm verbal questions in writing. Subsequent to the conference, an amendment to the solicitation containing an abstract of the questions and answers, and a list of attendees, will be disseminated.

52.212-3 Offeror Representations and Certifications -- Commercial Items (Dec 2016) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (t) of this provision.

(a) Definitions. As used in this provision—

“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law.
