GENERAL INFORMATION
OFFERORS SHALL BE REGISTERED IN THE SYSTEM FOR AWARD MANAGEMENT (SAM) (www.sam.gov) and
SHALL ENTER THEIR REPRESENTATIONS AND CERTIFICATIONS ONLINE TO RECEIVE AN AWARD.
OFFERS THAT DO NOT INCLUDE A TECHNICAL AND BUSINESS PROPOSAL WILL NOT BE CONSIDERED FOR AWARD. Refer to AGAR 452.215-71 INSTRUCTIONS FOR THE PREPARATION OF TECHNICAL AND BUSINESS PROPOSALS (SEP 1999), Page 46.
SCOPE
The National Forests in Mississippi is soliciting contractors to perform heritage program services on National Forest land. For this requirement, the Contractor shall provide all personnel, supervision, equipment, tools, supplies, materials, transportation, facilities, expertise, and incidentals necessary to perform a range of heritage program activities on the National Forests in Mississippi.
Archaeological survey, site delineation and evaluation, and report preparation are expected to be the primary tasks. Additional/related tasks may be ordered depending on Forest need.
This is a request for proposals which will result in award of multiple firm fixed price, performance-based, indefinite-delivery, indefinite-quantity contracts for a basic period of performance from the date of award through December 31, 2016, plus four (4) one-year option periods. Submission of an offer for the basic contract period constitutes an offer to perform in the option period(s), if exercised. The government anticipates making award to multiple offerors as a result of the solicitation. This project is set-aside 100% for small businesses. Award will be made based on the best value to the government and can be made on initial offers.
SITE VISIT - An organized site visit is not scheduled. Offerors are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.
SPECIAL CONTRACT REQUIREMENTS
SCR1 ORDERING PROCEDURES FOR COMPETITIVE TASK ORDERS.
SCR1.1 Authorized Ordering Officials: All warranted COs of the USDA Forest Service are authorized to place orders under this contract. The amount of any order shall not exceed the maximum order limitation shown elsewhere in this contract.
SCR1.2 Task Order Competition: Following contract award, task orders will be competed among awarded contractors.
Contractors will be given a fair opportunity to submit a proposal on projects unless the Contracting Officer determines:
• An urgent need exists, and seeking competition would result in unacceptable delay
• Only one Contractor is capable at the level of quality required because the requirement is unique or highly specialized
• A sole source is in the interest of economy and efficiency as a logical follow-on to an order already competed (e.g. site adapt a competed design)
• To satisfy contract minimum award obligations.
In the event it becomes necessary to negotiate with one firm on a sole-source basis, the procedures in accordance with FAR 16.505(b)(2)shall be used.
SCR1.3 Task Order Announcement: When a task is identified for award under this contract, the sequence of events will generally be as follows:
SCR1.3.1 The CO will notify contractors via email only.
SCR1.3.2 The contractors must respond to the CO with their price and ability to accept and complete the order. The price breakdown shall address all the items listed in the task order, or be presented as a lump sum if that is requested. The http://www.sam.gov/

Government's payment for the items listed in the Schedule of Items of individual task orders shall constitute full compensation to the Contractor for- (1) Furnishing all labor, equipment, services, materials and expertise; and (2) Performing all operations required to complete the work in conformity with the requirements. The Contractor shall include in the prices for the items listed in the Pricing Schedule all costs for work in the specifications, whether or not specifically listed in the Pricing Schedule. The Contractor may offer the Contracting Officer a voluntary price reduction at any time during the contract period.
SCR1.3.3 Evaluation Method and Procedures. The primary technical and price criteria will vary depending on the unique requirements for each task order. The Contracting Officer may develop evaluation criteria which reflect the instant requirement and contracting environment. Examples of these criteria are past performance on prior task orders under the contract, which includes quality and timeliness, special expertise or other factors the Contracting Officer determines are relevant to award of a particular task order and the unit’s status of achieving small business goals/targets. In making decisions in award of any individual task order, the Government intends to select the most advantageous, responsive, and responsible proposal, price and other factors considered. Each RFQ notice will describe the criteria to be utilized in evaluating task order proposals.
SCR1.3.4 IDIQ contractors are expected to provide good faith proposals in response to task orders issued during the contract’s life. If a contractor is unable to respond due to conflicting commitments or lack of capacity, the ordering official may excuse the contractor from a competition upon specific written request (e-mail is acceptable). Repeated failure to provide a good faith proposal will result in the contract not being renewed and will release the Government from the minimum guarantee obligation.
SCR1.3.5 Proposed preparation costs are at the expense of the offeror and will not be reimbursed.
SCR1.3.6 Award Decision. Whenever possible, award will be made without discussions. If discussions are required, each contractor will be requested to provide a final proposal revision, unless eliminated from discussions through the establishment of a competitive range. Task Order award will be made based on either the best value to the Government or the lowest price, technically acceptable proposal as described in the RFQ notice. The awarded Task Order will be firm fixed-price with a specific number of calendar days. When optional line items are included in the Schedule, the Task Order will specify the number of days after award for exercising the Options.
SCR1.3.7 Task Order Issuance. Task Orders will be issued on an Optional Form 347 and will be submitted by mail, facsimile or electronic commerce; however, the preferred method will be use of email. The Task Order becomes binding when the Contracting Officer signs the order.
SCR1.3.8 Protests. In accordance with FAR 16.505(a)(7), no protest under FAR Subpart 33.1 is authorized in connection with the issuance or proposed issuance of an order under a Task Order Contract except for a protest on the grounds that the order increases the scope, period, or maximum value of the contract.
SCR1.3.9 Ombudsman. If the Contractor believes it was not fairly considered for a particular task order, the Contractor may present the matter to the Contracting Officer. The Contractor may appeal the explanation or decision of the Contracting Officer to the Ombudsman, who is the Head of the Contracting Activity. The Ombudsman will review the Contractor's complaint, and in coordination with the Contracting Officer, ensure that the Contractor was afforded a fair opportunity to be considered for the Task Order.
SCR2 Following completion of the first option year, the Government reserves the right to solicit for a limited number of additional contractors to be included in this multiple-award contract. The solicitation, terms and conditions, and source solicitation will be the same as under this original solicitation. Any new awardees will compete with the existing or remaining contractors for all subsequent task orders. The period of performance will not exceed the overall maximum term of the original IDIQ contract, including options.
SCR3 Performance of Similar Work By The Government: Nothing in this contract restricts the Government from performing any of the work with its own organization and workforce.
SCR4 Contractor Access: If the contractor must unlock a gate, the Contractor is required to relock the gate upon entry and egress.
SCR5 Cleaning Up: The Contractor shall at all times keep the work area, including storage areas, free from accumulations of waste materials. Before completing the work, the Contractor shall remove from the work and premises any rubbish, tools, equipment, and materials that are not the property of the Government. Upon completing the work, the Contractor shall leave the work area in a clean, neat, and orderly condition satisfactory to the Contracting Officer or their designee.

SCR6 Performance Time: All task orders issued will include contract delivery or performance schedule in terms of specific calendar dates or contract time for completion. To facilitate timely inspections, the contractor shall provide the Government of their proposed operation schedule. The contractor shall notify the Government of schedule changes.
All work shall be performed during the time period of one-half hour after sunrise to one-half hour before sunset, Monday through Friday, unless time changes are approved by the COR or Inspector.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. AGAR 452.209 – 71 Assurance Regarding Felony Conviction or Tax Delinquent Status For Corporate Applicants, Alternate 1 (Feb 2012)
(a) This award is subject to the provisions contained in the Consolidated Appropriations Act, 2012 (P.L. No. 112-74), Division E, Sections 433 and 434 regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –
(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and
(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.
(b) If the awardee fails to comply with these provisions, the Forest Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 433 or 434.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail.
Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.
AUTHORIZED ORDERING OFFICIALS
All warranted Contracting Officers of the USDA Forest Service are authorized to place orders under this contract. The amount of any order shall not exceed the maximum order limitation shown elsewhere in this contract.
52.216-19 ORDER LIMITATIONS (OCT 95)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,500.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of $1,000,000 or;
(2) Any order for a combination of items in excess of $1,000,000 or;
(3) A series of orders from the same ordering office within 60 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within ten (10) days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
FAR 52.216-22 Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule.
The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including
PBSC for Heritage Program Services PAGE 11 of 46 the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after December 31, 2021.
AGAR 452.216-73 MINIMUM AND MAXIMUM CONTRACT AMOUNTS (FEB 1988)
During the period specified in FAR clause 52.216-18, ORDERING, the Government shall place orders totaling a minimum of $2,500.00, but not in excess of $2,000,000, over the life of the contract.
FAR 52.217-8 Option to Extend Services (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the period specified in the Schedule.
