STATEMENT OF OBJECTIVE
BLANKET PURCHASE AGREEMENT FOR
REVERSE AUCTION SERVICES
1. Background The U. S. Department of Agriculture (USDA) and U.S. Forest Service (USFS) through Region 6 Acquisitions Management requires the services of an enterprise wide electronic commerce web based system for support in executing Reverse Auction solicitations for purchasing supplies and some services from the general public, agency contractor pools, and off existing contracts such as GSA Schedules, GWACS, etc.
The USDA, USFS and R6 AQM seeks to streamline the acquisition process by taking advantage of innovative e-procurement technologies that will assist in leveraging limited resources, reducing administrative tasks and associated labor costs that would result in costs savings, while ensuring acquisition regulatory compliance, procurement integrity, maintain high levels of competition, obtain reasonable prices, and meet socioeconomic goals.
2. Specific Requirements Professional web-based reverse auctioning services that allow buyers to post specific requirements to obtain offers for commodities and services from various suppliers within the Reverse Auction Service Provider’s system. Buyers shall have the ability to set a target price, specify the successful winning price must be equal to or lower than the target price, optionally set the criteria for selecting the winner(s), include agency terms and conditions, and set a specified start and end date of each auction. Bidders or suppliers shall be able to submit a successively lower bid than the target price or leading bid to anonymously compete for a requirement. Bidders shall not have knowledge of the other bids posted or bidders actively participating in auction. At the end of the auction, the buyer shall have the ability to execute award documentation outside the system.
3. Description of Agreement The contractor shall provide user-friendly web-enabled capabilities to purchase commodities and services through a reverse auction mechanism that does not require the download or installation of any software by the Government nor the interested bidders. Interested bidder shall not be required to pay a fee to be registered, nor for receiving notices of and participation in auctions.
This web-enabled reverse auctioning interface shall permit agency personnel to conduct real-time competed auctions for different contract vehicles by posting online reverse auction formatted solicitations, utilize best value award criteria, and establish auction start/end times. The system shall be versatile to allow buyers to have complete control of the bidding process to post auctions, cancel auctions at any time, make award to any vendor within the bid pool utilizing agency software/procedures for award. The contractor shall work with the agency to develop additional reverse auctioning system capabilities and features as mutually agreed. The system must have the ability to publish notices to the Federal Business Opportunities website, agency/office specific notices, through automated means.
Other support that contractor is expected to provide in the performance of reverse auctioning services include, but are not limited to, the following:
• Train users
• Set up accounts
• Provide technical/user support (help desk) to troubleshoot problems with the system
• Provide a list of suppliers
• Recruit and train new sellers to expand the supplier pool
• Allow agency to provide and create agency supplier groups
• Allow for solicitations limited to agency contract holders
• Notify vendors of any new postings

• Allow Suppliers/bidders to bid down prices and submit multiple bids
• Withhold the identity of bidders so they are unknown to each other
• When necessary, the contractor shall serve proxy to post and cancel bids
• Provide expert reverse auctioning advice when necessary (i.e. timeframe of bids, cancellation and reposting of bids, etc.)
• Provide necessary online access to the following information about each activity/bid o Summary of all bids submitted per event o Details of each bid submitted per event o Vendor’s specific information (i.e. Company name, address, point of contact, poc’s phone number
& e-mail address, company’s tax ID number, company’s DUNs number, etc.)
4. Extent of Obligation The Government is only obligated to the extent of authorized calls actually placed against this BPA by authorized personnel, against authorized line items.
5. Security and Privacy All information must be held in confidence and may not be shared with anyone outside of the agency initiating the auction.
6. Pricing The Government is only obligated to the extent of authorized calls actually placed against this BPA by authorized personnel, against authorized line items.
Upon bidder prices falling below the Independent Government Cost Estimate (IGCE)/Target Price, the contractor will earn a Fee. The price the Government views in the system for the “Lead” bidder will include the contractor’s fee. At no time will the contractor’s fee for the service cause the total of the transaction to exceed the IGCE/Target Price.
Upon award of a contract/purchase by the Government to the successful bidder, the contractor may directly bill the bidder for their fee. Should the Government not make an award the contractor will not receive a fee.

Note – Authorized users of this agreement (para 9 below) may negotiate call specific rates with the contractor or utilize the rates established in this table.
7. Purchase Limitation The limitation for each individual purchase under this BPA shall not exceed the Simplified Acquisition Threshold or the established Fee Ceiling, whichever is lower.

8. Reports Upon request or an agreed to routing schedule, the Contractor shall make available a report summarizing and detailing all procurement activities for a represented timeframe (monthly, quarterly, yearly) including but not limited to all posted, awarded, and canceled procurements with the date of action, total dollar amount, name of buyer including region, name of vendor, business size, contract vehicle utilized, percentage savings based on a total target price set by the buyer, and the fee obtained by the contractor for this service.
9. Individuals Authorized to Purchase Under this BPA Any office within the US Department of Agriculture, US Forest Service and Service First Agencies (http://www.fs.fed.us/servicefirst/) may utilize this agreement for the service. The contractor is authorized to “market” services under this BPA to interested parties identified in the section in an unobtrusive and professional manner.
10. Placement of Calls Orders/calls against this BPA are initiated at the time a Reverse Auction is posted for bidding by an authorized user listed in paragraph 9..
11. Completion Date of Calls The completion date for calls shall be established at the time of acceptance/award of a bid unless the auction is cancelled.
12. Payment and Acceptance Upon successful execution of an award/contract/order from bids received from the Reverse Auction, the contractor will receive payment from the government specified successful bidder. The Government serves no role, responsibility nor liability in regards to the contractor receiving third party payment.
13. Cancellation of BPA The United States government reserves the unilateral right to cancel this BPA by providing written notification to the contractor.

15. Place of Performance The reverse auctioning site shall be hosted at the contractors secure data center facility. Contractor is expected to provide offsite direct support team for training, help desk, sourcing, and technical support. These individuals are expected to work closely with agency personnel to provide ongoing buyer support in order to ensure successful implementation and ongoing utilization of the reverse auctioning tool.
16. System Availability Contractor is expected to provide online access for these services 24 hours a day, 7 days a week, and 365 days per year (24x7x365), except for scheduled maintenance time after hours. Technical and customer service support shall be available Monday through Friday, except Federal holidays, between the hours of 8:00 AM and 5:00 PM (EST).

17. Period of Performance
The agreement shall be reviewed annually before the anniversary of its effective date and revised as necessary to conform to the requirements of the Federal Acquisition Regulation. The BPA will not run longer than 12/31/2027.
18. Modifying the BPA
This Blanket Purchase Agreement shall be changed only by modifying the agreement itself and not by individual orders issued under it. Only the Contracting Officer, or their designated successor, identified in paragraph 14 may modify this BPA.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

(a) General. (1) Except as provided in paragraph (a)(2) of this clause, the Contractor agrees to accept payments due under this contract, through payment by a third party in lieu of payment directly from the Government, in accordance with the terms of this clause. The third party and, if applicable, the particular Governmentwide commercial purchase card to be used are identified elsewhere in this contract.
(2) The Governmentwide commercial purchase card is not authorized as a method of payment during any period the System for Award Management (SAM) indicates that the Contractor has delinquent debt that is subject to collection under the Treasury Offset Program (TOP). Information on TOP is available at http://fms.treas.gov/debt/index.html. If the SAM subsequently indicates that the Contractor no longer has delinquent debt, the Contractor may request the Contracting Officer to authorize payment by Governmentwide commercial purchase card.
(b) Contractor payment request. (1) Except as provided in paragraph (b)(2) of this clause, the Contractor shall make payment requests through a charge to the Government account with the third party, at the time and for the amount
