ADDITIONAL INFORMATION AND INSTRUCTIONS
1. Contractor Remittance Address: All payments by the government to the contractor under this contract will be made in accordance with Electronic Funds Transfer (EFT) methods referenced in this solicitation. All required information must be in the Central Contractor Registration (CCR) at www.ccr.gov. To check on payments once a contract has been awarded, contact the Miscellaneous Payments Section of National Finance Center at 1-800-421-0323.
2. Invoices: Invoices shall be submitted after delivery; no advance payments will be authorized. If the work performance period in the individual Delivery Order is 30 days or less, the contractor shall submit an invoice to the government at the end of the performance period. No partial payments will be authorized for less than a 30 day period of performance. If the work performance period cited in the individual Delivery Order is greater than 30 days, partial payments may be authorized on a monthly basis and upon completion of the ordered work.
3. Payments: In accordance with the Prompt Payment Act, payment will be due 30 days after receipt of supplies/services or receipt of proper invoice; whichever is later. If payment is not received within 5 working days following the due date, notify the Contracting Officer’s Representative or Contracting Officer.
Preference during the award process may be given to Contractors who will accept payment via the Government Visa Purchase Card, due to the reduced administrative burden it creates. Ability to accept the Government Visa Purchase Card will also facilitate payment to the Contractor in advance of the 30 day Prompt Payment Act period.
Upon award of a contract, Contractor will be given a list of the individuals who are authorized to place orders against that contract, with ordering limitations and payment methods authorized specified.
Contractors are encouraged to contact PAYMENT INQUIRY at the National Finance Center (800) 421-0323 concerning status of past due invoices. Contractors are encouraged to subscribe to the US Treasury website for Payment Advice Internet Delivery (PAID) at https://fmsapps.treas.gov/paid/. This service is free and provides vendors with advance notification of payments processed through
EFT.

Awards may be made to more than one offeror. Contractors are not required to furnish pricing for all line items; however, they should provide pricing for all sub-items within an item for the location for which they are seeking a contract.
Awards made from this solicitation will be Indefinite Delivery-Indefinite Quantity (IDIQ) contracts to be in effect for one calendar year (365 days) from the date of award. Delivery orders will be issued on an as-needed basis, and will contain details such as stone type(s) being ordered, quantities, delivery date and place.

SECTION C – DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
Scope of Work:
The Forest Service (FS) has a requirement to establish an Indefinite Delivery, Indefinite Quantity contract for the purchase and delivery of stone and aggregate throughout the George Washington & Jefferson National Forests consisting of eight (8) Ranger Districts. Multiple awards of fixed-price contracts are anticipated. The contractor shall provide all labor, materials, equipment, tools, supplies, transportation, and incidentals necessary to supply stone and aggregate to the Forest Service at the locations and under the conditions specified in this contract for which the desired outcome is in strict accordance with the standards of each delivery order.
The terms “Contractor” and “Vendor” used in the specifications and contract are interchangeable.
The George Washington & Jefferson National Forests have approximately 1,250 miles of single lane (including turnouts/turnarounds) aggregate, improved native and native surfaced roads; 100 miles of two lane aggregate, improved native and native-surfaced roads and 100 bridge structures. Typical roads contain an average of 35 culverts or drainage dips per mile, and approximately 4 sign posts per mile. Typical roads also have some roadside ditches the full length of each mile of road. Most roads are located in forested areas with heavy vegetation beside and overhead of roads.
Delivery:
Performance of individual deliveries will be accomplished by the issuance of Delivery Orders against the IDIQ contract. The awarded contract and delivery orders shall constitute the entire agreement including all terms and conditions applicable to the contract.
The FS may purchase aggregate and stone via:
Direct delivery, loaded into Forest Service trucks, or
FOB Origin with delivery to any site located within the George Washington & Jefferson National Forests. Delivery to be made at the designated project site in a manner directed by the COR. This may include tailgate spreading, directly onto a roadway, or dumping the aggregate into a stockpile. Deliveries made to designated points will be accomplished using the most suitable route from the Vendor’s aggregate storage site to the midpoint of the project as determined by the COR and used to compute the haul distance for the purpose of computing ton-miles.
Vendor shall have the capacity to deliver a minimum quantity of 250 tons per day to any designated site when directed by a Delivery or Task Order.
Location:
Work shall be accomplished within the counties which are located in 8 Ranger Districts throughout the George Washington & Jefferson National Forests as follows:
Clinch Ranger District, 9416 Coeburn Mountain Road, Wise, VA 24293
Virginia: Dickenson, Lee, Scott, Wise Kentucky: Letcher, Pike

Virginia: Bath, Highland
Quantities
The quantity of one (1) listed in the Schedule of Items is being used for evaluation purposes only. Quantities of one (1) have been used because estimated needs can not be established at this time. Award of a fixed unit-price contract will not result in an obligation by the Government to purchase any quantities in excess of the guaranteed minimum order amount per contract. The total value of the contract shall consist of the quantities actually ordered for delivery during the term of the contract.
Unit prices for material and for hauling shall be used as the basis for all subsequent delivery orders issued against the awarded contract. Awarded delivery orders will be paid at the unit prices offered in response to this solicitation.
Minimum and Maximum Quantities
Total amount of aggregate ordered as a result of this solicitation will not exceed $1,000,000. Actual amounts ordered per individual contract may be for significantly less that the amounts stipulated above. Minimum quantity ordered per District will be a total of $2,500.00 for the life of the contract. If multiple contracts are awarded per District, the minimum quantity for each contract awarded will be determined by dividing the minimum quantity (1) above by the number of contracts awarded. The Government may choose to not award a contract to the lowest-priced offeror for a particular line item or group of line items if the Government does not believe it will have a requirement for those items totaling at least $2,500.
The maximum quantities that can be ordered per District for the total performance period of this contract (one calendar year from date of award) are as follows:
Clinch Ranger District: $100,000 Eastern Divide Ranger District: $200,000 Glenwood/Pedlar Ranger District: $150,000 James River Ranger District: $75,000 Lee Ranger District: $100,000 Mount Rogers NRA: $100,000 North River Ranger District: $200,000 Warm Springs Ranger District: $75,000
The Government may award multiple contracts for individual items described in the Schedule of Items per each District. If such awards are made, delivery orders will be awarded on the basis of a price comparison of the value of the material being hauled and the per ton-mile hauling price from the quarry to the work site. Delivery orders will be awarded based on the resulting best price to the Government. In general, no further competition will be obtained prior to placement of orders.
The Government reserves the right to obtain further competition when a need arises for an unusually large quantity of material for which it may be able to obtain a significantly discounted price. The threshold where this is likely to occur is for requirements in excess of 1,000 tons of material. These requirements may be advertised for competition at the Government-wide point of entry, Federal Business Opportunities (http://www.fbo.gov).
Material Specifications
All stone shall comply with the applicable current Virginia or West Virginia Division of Highways Specifications for Roads and Bridges.
Hauling Aggregate to FS Projects by Contractor
The contractor shall deposit aggregates at the project site at the locations and in a manner directed by the FS. This may include tailgating the aggregate onto a roadway, or dumping the aggregate into a stockpile.
The Contractor shall offer:
Price per ton for aggregate and riprap; and price per ton-mile for each location for which they are interested in hauling.
It is not mandatory to quote on all locations.
Weighing of Materials
Material delivered by truck shall be weighed in accordance with current Virginia and West Virginia Division of Highways Specifications for Roads and Bridges. Moisture required for Stone and Crushed Aggregate shall be added after loaded trucks have been weighed. Copies of weight tickets shall be provided to the COR upon delivery of materials.
Sampling and Testing
Sampling and Testing for quality of all items furnished in this contract will be the responsibility of the Contractor. The government retains the right to perform acceptance testing. The Vendor will be responsible for providing test results attesting to the gradation of materials delivered. Contractor is responsible for providing necessary sampling and testing for applicable sections shown in the current applicable Virginia and West Virginia Division of Highways Specifications for Roads and Bridges.
Acceptance Plan
Material failing to comply with the quality requirements will not be accepted.
Vendor’s Invoices
Vendor’s invoices must be submitted in original and contain the following:
All weigh ticket numbers for material delivered during the invoicing period.
FS Contract Number and Delivery Order designations.
Total Quantity and unit price with the total cost of each type of material furnished. (Total quantity invoiced shall be scale weights – supported by weigh tickets.)
The Contractor shall exercise caution and care while pursuing the work to prevent unnecessary conflict with, or potential hazards to road users. Whenever possible, the road shall remain passable to traffic while work is being performed. The Contractor shall be held liable for any damage caused by his personnel or equipment to any existing structures such as bridges, culverts, signs, guardrails, or any other Government infrastructure or property. Repair or replacement to these structures shall be at the Contractor’s expense. The Government shall not be liable to loss, damage, or destruction of equipment furnished by the Contractor.

52.204-7 Central Contractor Registration (APR 2008)
(a) Definitions. As used in this clause—
“Central Contractor Registration (CCR) database” means the primary Government repository for Contractor information required for the conduct of business with the Government.
“Data Universal Numbering System (DUNS) number” means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities.
“Data Universal Numbering System +4 (DUNS+4) number” means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional CCR records for identifying alternative Electronic Funds
Transfer (EFT) accounts (see the FAR at Subpart 32.11) for the same concern.
“Registered in the CCR database” means that—
(1) The Contractor has entered all mandatory information, including the DUNS number or the DUNS+4 number, into the CCR database; and
(2) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS), and has marked the record “Active”. The Contractor will be required to provide consent for
TIN validation to the Government as a part of the CCR registration process.
(b)(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the
CCR database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.
(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or
“DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror’s name and address exactly as stated in the offer.
The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the CCR database.
(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.
(1) An offeror may obtain a DUNS number—
(i) Via the Internet at http://fedgov.dnb.com/webform or if the offeror does not have internet access, it may call Dun and
Bradstreet at 1-866-705-5711 if located within the United States; or
(ii) If located outside the United States, by contacting the local Dun and Bradstreet office. The offeror should indicate that it is an offeror for a U.S. Government contract when contacting the local Dun and Bradstreet office.
(2) The offeror should be prepared to provide the following information:
(i) Company legal business.
(ii) Tradestyle, doing business, or other name by which your entity is commonly recognized.
(iii) Company Physical Street Address, City, State, and ZIP Code.
(iv) Company Mailing Address, City, State and ZIP Code (if separate from physical).
(v) Company Telephone Number.
(vi) Date the company was started.
(vii) Number of employees at your location.
(viii) Chief executive officer/key manager.
(ix) Line of business (industry).
(x) Company Headquarters name and address (reporting relationship within your entity).
(d) If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the
Contracting Officer will proceed to award to the next otherwise successful registered Offeror.
(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering. Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.
(f) The Contractor is responsible for the accuracy and completeness of the data within the CCR database, and for any liability resulting from the Government’s reliance on inaccurate or incomplete data. To remain registered in the CCR database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the CCR database to ensure it is current, accurate and complete. Updating information in the CCR does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(g)
(1)
(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to (A) change the name in the CCR database; (B) comply with the requirements of Subpart 42.12 of the FAR; and (C) agree in writing to the timeline and procedures specified by the responsible
Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.
(ii) If the Contractor fails to comply with the requirements of paragraph (g)(1)(i) of this clause, or fails to perform the agreement at paragraph (g)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the CCR information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.
(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the CCR record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the CCR database. Information provided to the Contractor’s CCR record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of payment” paragraph of the EFT clause of this contract.
(h) Offerors and Contractors may obtain information on registration and annual confirmation requirements via the internet at http://www.ccr.gov or by calling 1-888-227-2423, or 269-961-5757.

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through 365 days from date of award.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.
52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,500.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of 1000 tons of material;
(2) Any order for a combination of items in excess of 1000 tons of material; or

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 Indefinite Quantity (Oct 1995)

The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 365 days after date of contract award.

Funds are not presently available for performance under this contract beyond September 30, 2009. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond September 30, 2009, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.
FAR 52.236-7 Permits and Responsibilities (NOV 1991)
