About this file
This is a federal procurement evaluation clause (FAR 52.212-2) applicable to commercial products and commercial services solicitations, issued with Deviation 2026-O0038 and effective February 2026.
The clause establishes a two-factor evaluation framework for awarding contracts to the responsible offeror whose conforming offer is most advantageous to the Government. All responses undergo initial screening for completeness and conformance with RFQ instructions, with incomplete responses deemed non-awardable. Factor 1—Price requires all-inclusive, complete, and reasonable pricing with applicable taxes included; offers with significantly unbalanced prices may be deemed unacceptable. Factor 2—Technical Capability requires offerors to submit products meeting or exceeding specifications in the attached Statement of Need (SON), provide specification sheets for quoted items, and quote the entire requirement; partial quotes are unacceptable. Offerors receive an "Acceptable" rating if they quote all requested items conforming to technical specifications, or an "Unacceptable" rating if they fail to quote conforming items. For solicitations with options, the Government evaluates total pricing by combining basic requirement and option prices; significantly unbalanced option pricing may render an offer unacceptable. Award is formalized through written notice of award or offer acceptance within the timeframe specified in the offer, creating a binding contract. The Government may accept offers before expiration unless a written withdrawal notice is received prior to award.

FAR 52.212-2 - Evaluation-Commercial Products and Commercial Services (Feb 2026) (Deviation 2026-O0038)
(a) Evaluation factors. The Government will award a contract resulting from this solicitation to the Offeror responsible whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:
All responses will be subjected to an initial screening for completeness and conformance with RFQ instructions before being evaluated. A response that is incomplete will not be considered for award. The following factors shall be used to evaluate offers (Factors other than price when combined are approximately equal when compared to price):
FACTOR 1 - Price
- Submitted pricing must be all inclusive.
- Proposed prices shall be evaluated for completeness, and reasonableness.
The Government may determine that an offer is unacceptable if the prices are significantly unbalanced.
- Please include applicable taxes with your quote.
FACTOR 2 - Technical capability of items offered to meet the Government requirement.
- Offeror(s) shall offer products that meet or exceed the specifications included in the attached Statement of Need (SON).
- Offeror(s) shall provide specification sheet for quoted items.
- Offerors must attempt to quote the requirement in its entirety, offers for partial portions of the requirement will be considered unacceptable.
Based upon the Government’s evaluation of offeror provided information, one of the following adjectival ratings will be assigned.
Adjectival Rating Description Acceptable Offeror quoted all requested items and all items conform to required technical specifications.
Unacceptable Offeror did not quote conforming items, quote is not awardable
(b) Options (if applicable). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The evaluation of options does not obligate the Government to exercise the option(s).
(c) Notice of award. A written notice of award or acceptance of an offer furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
