About this file

This is an Addendum One document issued by the California Department of Transportation (Caltrans) for RFP No. 74A0881 regarding a Regional Intelligent Transportation System (ITS) Master Plan, dated May 16, 2016. The project involves developing an ITS Master Plan through cooperation with Caltrans, Federal Highway Administration (FHWA), and transportation planning agencies across 16 specific counties in the North State Super Region. Key dates include a Written Question Submittal deadline of May 11, 2016, and a Final Proposal Submission deadline of May 25, 2016 at 1:00 PM. The contractor will not be required to perform field data collection, as stakeholder agencies will provide data on existing field elements.

The budgeted amount for this agreement is $220,000.00. The addendum clarifies several questions regarding the scope, including confirmation that stakeholder agencies will provide data on existing field elements and infrastructure. The addendum also addresses a request to modify indemnity provisions (GTC 610), which Caltrans declined. A Sample Reference Form (Attachment 2B) is mentioned as being attached to this addendum, though it is not visible in the provided document.

ADDENDUM ONE

REQUEST FOR PROPOSAL

RFP NO. 74A0881

Regional Intelligent Transportation System (ITS) Master Plan

Your attention is directed to the following information for above-noted Request for Proposal:

QUESTIONS AND ANSWERS

Q1: What is the due date for the “Written Question Submittal” and due date for the “Final Date for Proposal

Submission”? Page 2 of 15 has contradictory due dates. The table in Section 1. Time Schedule states that the Final Date for Proposal Submission is 05/25/2016, but the Section 2. Questions and Answers says that written questions are due on May 25, 2016.

A1: The Written Question Submittal due date is May 11, 2016. The Final Date for Proposal Submission is May 25, 2016 at 1:00 PM.

Q2: Section 4(A) Cost Proposal Requirements appears to have a typo for the budgeted amount, adding an additional “0” to the budget. Please clarify that the budget is $220,000.00 and not $220,0000.00 (which could be mis-interpreted as $2,200,000).

A2: The budgeted amount for this agreement is $220,000.00

Q3: The RFP describes an Attachment 2B Reference Form, but that attachment is not provided in the RFP packet. Will you be providing a reference form?

A3: The Sample Reference Form, Attachment 2B is attached to this Addendum One.

Q4: Task 2.2 states that the “Contractor shall capture and report upon existing field elements, communication infrastructure, and central systems for transportation management.” Will this information be provided by the stakeholder agencies, or will field data collection be required to capture these existing field elements?

A4: Stakeholder agencies will provide data on existing field elements to the Contractor. The Contractor will not be required to perform field data collection.

Q5: Task 4.1 states that the “Contractor shall prepare the Regional ITS Master Plan for each Caltrans District in the North State Super Region”. The Super Region includes some counties within Caltrans District 3 (Butte, Colusa, Glenn, Nevada, and Sierra), but not others (El Dorado, Placer, Sacramento, Sutter, Yolo, and Yuba). Is the contractor expected to produce a District 3 ITS Master Plan that includes all District 3 counties, or just for those counties within the Super Region?

A5: The Contractor shall develop the ITS Master Plan through a cooperative effort with the California Department of Transportation (Caltrans), the Federal Highway Administration (FHWA), and the Super Region’s transportation planning and operating agencies in the following counties: Butte County, Colusa County, Del Norte County, Glenn County, Humboldt County, Lake County, Lassen County, Mendocino County, Modoc County, Nevada County, Plumas County, Shasta County, Sierra County, Siskiyou County, Tehama County, and Trinity County.

Q6: We respectfully request that Caltrans modify the indemnity provisions for the contract in order to make it insurable and allow the Consultant to comply with the insurance requirements. We request the addition of Caltrans standard Exhibit C, as attached and outlined below, that we have seen used and have agreed to in many contracts with Caltrans.

EXHIBIT C

GENERAL TERMS AND CONDITIONS

NOTE: In this Exhibit C – GTC 610, the General Terms and Conditions are included in this Agreement by reference and made part of this Agreement as if attached hereto. See http://www.dgs.ca.gov/ols/Resources/StandardContractLanguage.aspx.

The following language is to be included in lieu of the Standard Indemnification Clauses used in DGS GTC – 610 General Terms and Conditions.

Indemnification The Consultant agrees to indemnify, defend, and hold harmless Caltrans, its officers, agents, and employees from any and all claims, demands, costs, or liability arising from or connected with the services provided hereunder due to negligent or intentional acts, errors, or omissions of the Consultant.

The Consultant will reimburse Caltrans for any expenditure, including reasonable attorney fees, incurred by Caltrans in defending against claims ultimately determined to be due to negligent or intentional acts, errors, or omissions of the Consultant.

A6: Caltrans is unable to modify the GTC 610.

ALL OTHER TERMS AND CONDITIONS SET FORTH IN THE REQUEST FOR PROPOSAL

REMAINS IN FULL FORCE AND EFFECT.

REMINDER: Final date for submission of proposals is on May 25, 2016.

Sincerely, Rachel Ortegon Rachel Ortegon Contract Analyst
