About this file

Addendum No. 2 is issued by the City of Miami Beach Procurement Department for Invitation to Bid (ITB) No. 2022-214-WG for Public-Private Partnerships (P3) Consulting Services. The addendum, dated March 17, 2022, provides clarifications and responses to prospective proposers' questions about the solicitation. The City is seeking to establish a pool of prequalified consulting firms to assist with potential P3 projects, with no specific project pipeline currently identified. Firms will be invited to submit proposals when the City determines outside consultant assistance is needed for an unsolicited proposal or P3 project.

Key clarifications in the addendum include: joint ventures are not allowed, and while sub-contractors may be included in proposals, they must be under the direction of the prime prequalified firm. The City has no predetermined budget for these services and will seek proposals from the prequalified pool on a project-by-project basis. Firms are not mandatory to bid on all Service Orders, and the initial application deadline was March 16, 2022, with the option to continue receiving and prequalifying additional consultants. The City also specified that references and experience should be specific to the proposed Main Account Representative, and they will not modify their standard terms and conditions regarding liability limitations.

1 ADDENDUM NO. 2

INVITATION TO BID NO. 2022-214-WG

FOR PUBLIC-PRIVATE PARTNERSHIPS (P3) CONSULTING SERVICES

ADDENDUM NO. 2

FOR PUBLIC-PRIVATE PARTNERSHIPS (P3) CONSULTING SERVICES

March 17, 2022

This Addendum to the above-referenced ITB is issued in response to questions from prospective proposers, or other clarifications and revisions issued by the City. The ITB is amended in the following particulars only (deletions are shown by strikethrough and additions are underlined).

I. RESPONSES TO QUESTIONS RECEIVED:

Q1: Under point "10. Binding Agreement" of "Section 0100: General Information & Scope of Work" (pg.9), the contract order of precedence (copied below) does not contain a “Fourth” item. In addition, the section does not mention the City’s Standard Terms and Conditions and the General Terms and Conditions (both of which are referenced in this ITB).

First, the Purchase Order issued by the City; then, Second, the signed Service Order; then, Third, the Invitation to Quote (ITQ) awarded to the vendor; then, Fifth the ITB, including all documents released in connection with the ITB, including but not limited to all appendixes, exhibits, attachments, and addenda, whether included herein or released under separate cover.

Can you please confirm if there's a fourth item? and if so what is it? Can you also confirm that the City's and the General T&Cs will form part of the binding agreement??

A1: There is a scrivener’s error Paragraph 10 Binding Agreement. Please revise as follows:

Delete Fifth and replace with Fourth. The City’s Standard Terms and Conditions are considered part of the Invitation to Bid (ITB) document and therefore are included by reference.

Q2: Does the City have an overall budget allocated to the services to be delivered by the pool?

A2: Not at this time. As noted in the solicitation, if and when the City needs assistance with a P3 project, the City will seek proposals from the prequalified firms for the specific project.

Q3: Would the City be open to engaging a provider under this pool on a brokerage basis to represent you in the developer market to solicit competitive proposals following receipt of an unsolicited proposal?

A3: The scope of work under this ITB is included in Section 0100, General Information & Scope of Work, Paragraph 2.

Q4: A) Part 4 on Attachment A states “4. Main Account Representative. Attach any other references that demonstrate the applicant’s experience” – Is the City requesting that we designate a Main Account Representative at this time? B) If so, is experience provided in response to this question meant to be tied specifically to the Main Account Representative we would propose for this assignment or should this

2 ADDENDUM NO. 2

category be used for experience that further represents the team’s ability to perform this contract for the City of Miami Beach?

A4: A) Yes. The main account representative is the individual that will be primarily responsible for any communications with the City and the management of any assigned work.

B) Yes. References provided in this section are specific to the Main Account Representative.

Q5: Section 3 of the Prequalification Application Instructions says “There is no deadline for the submittal of applications,” but Bidsync and elsewhere in the document indicate March 16, 2022. Can you please clarify?

A5: Only applications received by the March 16, 2022 will be considered for the initial prequalified pool. After the initial pool of firms is established, the City reserves the right to continue to receive prequalification applications and prequalify additional consultants.

Q6: Is the ITB the result of any specific unsolicited offer the City has received?

A6: No.

Q7: Is there visibility on the pipeline of projects that will be reviewed as part of the P3 (i.e. Social Infrastructure, Roads, District Energy etc.)?

A7: There is no pipeline of projects at this time. This prequalification is in anticipation of future needs.

Q8: Is it mandatory for the consulting firms in the P3 Consultant Pool to submit a proposal for all Service Orders presented, or is there a Right Not to Bid?

A8: No.

Q9: For Section 8: Limitation of City’s Liability of the General Terms and Conditions, may we respectfully request to include reciprocity with a maximum amount equal to the Service Order associated with the work?

A9: No. This is not acceptable.

Q10: If a team of two or more firms wishes to submit to solicitation 2022-214-WG, does the City have a preference as to the form of the team structure?

A10: Joint ventures are not allowed. The goal of the solicitation is to prequalify firms that can assist the City with unsolicited proposals and P3 projects if and when any is received by the City and the City determines outside consultant assistance is required. If and when the City receives an unsolicited proposal or P3 proposal and the City has determined that outside consultant assistance is required, the City will invite all prequalified firms (in good standing) to submit a specific proposal for assistance with the identified unsolicited proposal or P3 project. At that time, depending on the scope of work required, any prequalified firm may

include sub-contractors or sub-consultants in its proposal to the City. However, any sub-contractor or sub-consultant shall be included under the direction and responsibility of the prime prequalified firm selected for a specific project. The figure below illustrates the process for selecting a firm.

Q11: Specifically, in the case of a submission by a multimember team, would the use of any of the following be acceptable or not: (1) Prime/Sub Contractor Relationship; or (2) Joint Venture?

A11: Please refer to the response for Question 10 above.

Q12: In the submission of proposals, should a submitting team endeavor to include information for all members on the application pages (e.g. list all team member names under “FIRM NAME”, etc.) or to include information for the subcontractors in the additional pages of the submission which are authorized pursuant to Section 2 of the Prequalification Application Instructions?

A12: Please refer to the response for Question 10 above.

Q13: In reference to the bid’s section on qualifying applicant’s proof of past experience – rather than submitting the minimum requirement of two Owners’ Advisory projects in Florida, are we able to instead demonstrate similar successful experience elsewhere?

A13: Please refer to the response for Question 10 above.

Q14: In Appendix A, Question 4: Main Account Representative under section "Part A - General Bidder Information", can you please clarify what is the expectation in terms of submission? Should the applicant submit further references related to the firm or references related to team members (as main account representatives).

A14: Please refer to the response for Question 10 above.
