About this file
This document is an Addendum to Invitation to Bid No. ITB FFS 23 24 35 issued by the Florida Department of Agriculture and Consumer Services (FDACS). The Addendum provides answers to vendor questions regarding the requirement for an Opinion of Attorney letter from vendors located outside of Florida. The Addendum clarifies that the General Counsel who writes the letter is not required to be licensed within the vendor's home jurisdiction of Alberta, Canada, as long as the General Counsel is US-based and licensed in another state, such as Tennessee in this case.
The underlying contract opportunity is for the outright purchase and delivery of four (4) medium lift Eagle Single Engine (Bell 212) (Type II) helicopters for FDACS. The contract is open to vendors across multiple jurisdictions in Florida, including Leon County and Tampa City.

Question / Answer
1. As a vendor outside of the State of Florida we are required to submit to you, an
Opinion of Attorney letter. Our location of operations and business office is in Calgary, Alberta, Canada. Our General Counsel who has been representing our company for a long time (15+ years) is US based, licensed in Tennessee, but not licensed within Alberta, Canada. Does the general counsel who writes the letter, must be licensed within Alberta specifically, or can this letter be written by our general counsel who is US based and still meet the “must” requirement of the letter?
