About this file
This is Addendum No. 1 to Invitation to Bid (ITB) DES-26-38001 issued by the Town of Culpeper, Virginia Procurement Office on May 28, 2026, regarding Annual Water and Wastewater Chemical Bids. The addendum provides clarifications to bidder inquiries and constitutes a formal modification to the original bid solicitation. Bidders are required to acknowledge receipt of this addendum on the Vendor Information Form; failure to do so may result in bid rejection as non-responsive. The addendum addresses inquiries regarding current pricing and supplier information, previous bid tabulation results, and tote pickup procedures.
The addendum confirms current supplier pricing for four chemical products: Sodium Permanganate at $19.77 per gallon (tote delivery) from Shannon Chemical Corp., 12% Hypochlorite at $0.235 per pound from Univar Solutions USA Inc., Corrosion Inhibitor at $1.24 per pound from Univar Solutions USA Inc., and Caustic Soda 25% at $0.49 per pound from Univar Solutions USA Inc. Regarding tote pickup procedures, the Town clarified that eight totes may be picked up at a time, with this being the maximum allowable quantity. One bidder requested removal of the Anti-Trust Language provision (Assignment of Rights) on Page 17 of the contract, citing company policy concerns regarding loss of control over anti-trust claims and potential litigation risks. The Town declined this request, maintaining that the Anti-Trust Language clause will remain in the standard town contract. All other general terms, conditions, and specifications remain unchanged from the original bid solicitation.

Original bid tabulation
For tote pickup, do you require them to be picked up after each delivery, or would it be acceptable to pick up eight at a time?
It is acceptable to pick up eight at a time. It cannot exceed this amount.
We formally request the removal of the Anti-Trust Language (Page 17 – F. Assignment of Rights) - . It is against our policy to assign anti-trust claims for several reasons. First, the assignment of anti-trust claims means we would lose control over the pursuit of anti-trust claims involving our company and any corresponding litigation involving the company. Second, the assignment of anti-trust claims puts the company at risk because it could jeopardize its defense to a related anti-trust claim against the company.
Assignment of Rights
1) Antitrust: By entering into a contract, the Contractor conveys, sells, assigns, and transfers to the Town all rights, title and interest in and to all causes of the action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by the Town under said contract.
The town is not willing to remove the Anti-Trust Language in the standard town contract.
All other general terms, conditions and specifications shall remain the same.
Lisa Wortman, Procurement Officer
