About this file
This Addendum 1 to RFP 46-DNCR-26-2147 modifies the North Carolina Department of Natural and Cultural Resources' solicitation for water taxi passenger services at the USS North Carolina Battleship Memorial in Wilmington. The primary modification changes the license fee calculation from net sales to gross sales for concession sales, special event sales, educational program revenue, dock management, and kayak launch operations. The addendum addresses 17 vendor questions regarding operational expectations, facility provisions, and revenue structures. Key clarifications include that the vendor must provide water taxi service with minimum operating hours of 8:00 AM to 5:30 PM with evening service as needed for special events, that the Battleship Memorial will maintain dock repairs and structural maintenance while the vendor is responsible for daily cleaning and trash removal, and that the kayak launch must remain accessible to the public. The vendor is permitted to install customer improvements such as kiosks and signage subject to approval from the Memorial's contract manager. Historical visitation data for 2024 and 2025 is provided in Exhibit A, showing daily adult ticket admissions by month, with peaks generally occurring midday and seasonal variation evident across the calendar year.
The license fee structure requires payment of the greater of $500 per month or eight percent of gross sales from specified revenue sources, with the vendor also responsible for a docking fee based on their bid submission. The Battleship Memorial does not currently have existing concession facilities, utilities, or infrastructure to provide and has no budget for construction; however, vendors may provide facilities with approval. The Memorial has no existing docking agreements with downtown Wilmington locations and grants vendors freedom to negotiate multiple docking sites as desired. Marketing support from the Memorial includes website listings, visitor center promotion, social media mentions, on-site signage (vendor-provided), and potential cooperative advertising opportunities. The contract does not provide bundled ticket sales through the Memorial's point-of-sale system; instead, a manual ticket-swapping system is currently employed pending potential innovation discussions. Service interruptions due to weather, river conditions, Coast Guard restrictions, or safety concerns are permitted and not considered contract violations. The solicitation opening date remains July 20, 2026, at 2:00 PM ET.

Please provide historical visitation data for the Battleship by month, day of week, and time of day for at least the previous two years. If available, please include attendance during special events and any information identifying peak periods when water taxi demand is expected to be highest.
Daily adult visitation numbers for 2024 and 2025 – see attached Exhibit A. The Memorial does not have a breakdown by time of day, but they generally notice a bell curve with the peak around midday.
Please note that these numbers reflect ticket admissions only. The Memorial tracks Friends’ events, evening rentals, school groups and other attendance differently, so there are a higher number of people visiting the Memorial during the day.

Please clarify the definition of "net sales" used in calculating the License Fee.
Specifically, what deductions, if any, are permitted when calculating net sales (refunds, discounts, credit card processing fees, etc.)?
Please use gross sales when calculating for License Fee.
Section 4.1 B has been modified to reflect gross sales, see modification table above.
Section
4.1
Please clarify which revenue sources are included in the required 8% License Fee calculation.
Specifically, does this percentage apply only to revenues generated from activities conducted on Battleship property, or does it include all contractor revenues regardless of where those services are sold or operated?
Also, what kinds of revenue sources are considered concession sales? Is it only revenue that is generated in direct business generated with Battleship NC as a commission type arrangement or all business we conduct from the Battleship NC property?
The Memorial prefers to use the total gross sales of the vendor for taxi service on the river.
Section 4.12(C)
If a vendor requests exclusive use of the dock, what vessels or organizations would retain access to the dock during the contract period?
Exclusive dock access means that the Vendor holds the sole, unrestricted rights to use the dock. The Vendor will have sole rights to manage the Piedmont Natural Gas Marine Trail Dock to include; Operations of a concession/kiosk stand and charge incoming and outgoing commercial vessels, with a split of fees charged to commercial vessels negotiated with the Memorial.
