About this file

This document is an addendum to three requests for proposals (RFPs) issued by the Needham Public Schools in Massachusetts for online registration and payment services. The three RFPs are for online payment services for the Nutrition Services department, catalog-based programs, and general fee-based programs of the Needham Public Schools. The contract period is one year, beginning July 1, 2021, with the option to extend for up to two additional years through June 30, 2024.

The addendum responds to questions raised by potential bidders. It clarifies that companies organized as LLCs do not need to complete the "Certificate of Corporate Vote" bid form. It also provides guidance on the "merchant of record" requirement, stating that the bidder's company name must be displayed as associated with the transaction, though the district is open to solutions that do not list service fees/convenience fees as separate transactions on the payer's bank statement, as long as the descriptor meets the requirements.

ADDENDUM #1

The following is provided in response to questions raised by potential bidders.

Question 1:

If a company is an LLC and is not organized as a corporation with a board of directors and corporate seal, do they need to complete bid form V “Certificate of Corporative Vote”?

Answer 1:

No, you do not need to complete Bid Form V.

Question 2:

22. The Needham Public Schools will be identified as the “merchant of record” on all payments transactions. The bidder must be identified as the “merchant of record” on all convenience fee transactions.

29. The proposer must provide both merchant services and gateway services as part of their proposal. Two bank accounts are associated with this RFP, although this number is subject to change. The bidder agrees to a split settlement agreement in which Needham Public Schools is the merchant of record for all fee payment transactions, and the bidder is the merchant of record for transaction fee/convenience fee transactions.

Will Needham Public Schools consider solutions that clearly identify the bidder as the merchant of record during the checkout process and on all transaction receipts but do not list service fees/convenience fees as separate transactions on the payer’s bank statement to satisfy the above requirements? If not, can the district please elaborate on how the “merchant of record” needs to be displayed and what the district constitutes as a merchant of record with respect to these requirements? Card Brand Regulations (Visa, MasterCard, and Discover) do not define the term “merchant of record” strictly.

Answer 2:

The descriptor has to include the company name and has to indicate that it is associated with the transaction.
