Without limiting any provision of law, Vendor warrants that it has good and indefeasible title to all goods furnished hereunder, and that the goods are free and clear of all liens, claims, security interests and encumbrances. Vendor shall indemnify and hold the District harmless from and against all adverse title claims to the goods.

Vendor shall be responsible for all claims against the carrier for all freight and/or drayage damage. The

District assumes no liability for goods delivered in damaged or unacceptable condition. Vendor shall ship replacement goods immediately upon notification by District of damage. In such cases, the bidder must provide a sample/demo of the product at no charge to the

District within three (3) business days of the request and must pick up the product after the evaluation, upon notice, within ten (10) business days. The District reserves the right to keep any samples provided in order to compare the quality of goods being purchased to those samples provided prior to award. Failure to provide an evaluation product within the three (3) day period may disqualify the Bidder from further consideration.

During the life of the contract, the District may require samples of products and vendor agrees to provide those samples at no additional cost to the District. Samples will be returned to the vendor upon request.
