About this file
This document is a Justification and Approval (J&A) for a sole source contract issued by the Naval Air Systems Command (NAVAIR). The contract is for Performance Aircraft Services Inc. (PASI) to perform sealant removal, primer application, and reapplication services on one E-6B aircraft at Tinker Air Force Base in Oklahoma. The procurement is urgent and compelling due to ongoing depot maintenance schedules, with the work to be completed within 12 months and the next aircraft induction scheduled for Q4FY2024.
The total estimated requirement is funded through Aircraft Procurement, Navy (APN) and Operations and Maintenance (O&M) funds. NAVAIR is simultaneously conducting a competitive procurement for future E-6B sealant removal and replacement, but this urgent sole source contract is necessary to meet immediate fleet maintenance needs. The contract is being awarded under 10 U.S.C 3204(a)(2) for unusual and compelling urgency, with PASI selected based on their nine years of prior experience and current on-site work with E-6 aircraft. A presolicitation notice was posted on SAM.gov on 17 May 2024 indicating the intent to award a sole source contract to PASI.

J&A No. 24-0178
4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C 3204(a)(2), Unusual and compelling urgency.
5. Rationale Justifying Use of Cited Statutory Authority.
PASI has been performing the above-described requirements for over nine years and most recently under Indefinite Delivery Indefinite Quantity (IDIQ) contract N0001918D0118 for fiscal year 2018 through 2023 requirements. The Government is currently working on a full and open competition for the follow-on procurement of these services and supplies. However, the anticipated award schedule of the competitive procurement shifted several months while the Government adjudicates Contractor proprietary assertions. Subsequently, aircraft inductions into depot maintenance have continued with the next aircraft to be inducted Q4FY2024. This has created an urgent and compelling requirement for these services and supplies for the next aircraft. It shall be noted that the sealant removal and replacement Contractor must be in place prior to the induction of an aircraft into depot maintenance and these efforts must be sequenced in the schedule maintenance in order to comply with Non-Destructive Inspection which occurs within the first 90 days. PASI is currently completing work on open Task Orders (TO) under the aforementioned IDIQ. Given their experience, familiarity, and the fact that they are currently on-site working other E-6 aircraft, it is necessary to award this Urgent and Compelling Sole Source to PASI.
Without this contract being in place, the depot maintenance schedule on subsequent E-6 aircraft would be delayed not less than 90 days. This would impact the completion of required service bulletins, causing the aircraft to not be in compliance with service maintaining requirements,
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
A sources sought notice is not required as this J&A is being executed under unusual and compelling urgency. In accordance with FAR 5.201(a), a presolicitation notice was posted to SAM.gov on 17 May 2024 that indicated NAVAIR’s intention to award a sole source contract to PASI, and no responses were received. Any responses received will be evaluated by the Contracting Officer prior to award. Additionally, parties interested in subcontracting opportunities will be referred to PASI to maximize competition in subcontracted efforts.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the services and supplies covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
J&A No. 24-0178
NAVAIR is currently conducting a competitive procurement for the E-6B sealant removal and replacement. A draft Request for Proposal (RFP) has been released to Industry, however due to the maintenance schedule this urgent and compelling sole source procurement is necessary to meet the Fleet needs.
