PART I – SECTION C – SPECIFICATIONS / STATEMENT OF WORK (SOW)

C.1. Background The National Oceanic and Atmospheric Administration (NOAA) is an agency that enriches life through science. Our reach goes from the surface of the sun to the depths of the ocean floor as we work to keep citizens informed of the changing environment around them.

The National Environmental Satellite, Data, and Information Service (NESDIS) is dedicated to providing timely access to global environmental data from satellites and other sources to promote, protect and enhance the Nation's economy, security, environment and quality of life. To fulfill its responsibilities, NESDIS, informally known as the NOAA Satellite and Information Service—acquires and manages the Nation's operational environmental satellites, operates the NOAA National Data Centers, provides data and information services including Earth system monitoring, performs official assessments of the environment, and conducts related research.

NESDIS’ ability to achieve its goals and objectives depends heavily upon the continued strengthening and integrations of our enterprise-wide science and technology, stronger partnerships and stakeholder engagement, and effective organizational and administrative functions.

C.2. Objective The contractor shall provide the NESDIS office-wide onsite administrative, technical, and non-scientific support services that are necessary to enable NESDIS program units to accomplish their mission objectives. Specific requirements will be further identified and defined at the task order level.

C.3. Scope This Statement of Work (SOW) broadly defines the services required to help meet the mission needs of NESDIS. This non-inherently governmental support area includes day-to-day assistance to management and supporting personnel. The contractor shall exercise judgment, initiative and tact, while making decisions and taking action based on knowledge of the organization, policies, plans, and personnel.

The Government shall neither supervise contractor employees nor control the method by which the contractor performs Task Orders. Under no circumstances shall the Government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor’s responsibility to notify the NOAA Contracting Officer immediately.

Contractor employees shall not perform services that provide inherently governmental functions. In performing Task Orders, the Contractor shall immediately stop work and notify the Contracting Officer in writing regarding situations where they believe, or have reason to believe, they have been tasked to perform an inherently governmental function as defined by FAR Subpart 7.5 or OMB Office of Federal Procurement Policy Letter 11-01 (September 12, 2011), Performance of Inherently Governmental and Critical Functions.

PAGE 7 OF 85 AB-133E-16-RP-0022

C.4. Performance Requirements The Contractor shall provide the necessary personnel to perform the requirements in this statement of work, as ordered in separate task orders.

The Contractor shall be required, at all times, to:

● Maintain confidentiality in all aspects of staff and agency information.

The Contractor shall be required, as specified in individual task orders, to perform the following:

● Work independently on administrative projects requiring research and preparation of materials, including but not limited to briefing charts and other presentation materials, and providing technical and editorial support for drafting and issuing correspondence and messages.

● Provide administrative/operational support including processing, scanning and indexing/filing of all contract deliverables and task orders; archiving paper files; assisting with documentation for ordering supplies, preparing folders and filing; providing general office administrative tasks;

answering office phones and directing calls as appropriate for incoming calls; and handling outgoing contact requests.

● Perform other general clerical duties to include but not limited to: photocopying, scanning, faxing, mailing, and filing.

● Monitor e-mail for key issues, actions, follow-ups, milestones, meetings & events. Provide input to prioritize activities for senior staff.

● Prepare administrative documents including general correspondence, talking points, presentations, meeting reports, technical summaries, graphics, and other written communications as necessary.

Meeting reports may be expected to be an information push (rather than information pull such as web-based tools or multiple party e-mails) as a notice to the responsible parties and persons responsible for oversight.

● Provide program management support, including execution of day-to-day activities as well as long term planning. Ensure overall coordination for all tasks supporting the designated office.

● Monitor and highlight critical issues, actions and follow-ups, summarize materials, facilitate and manage post-meeting requirements. Initiate, assign, track and respond to administrative actions originating from internal and external drivers. Maintain all supporting documentation.

● Review administrative forms and documents for completeness and quality when submitted.

● Provide planning, preparation, and input for briefings, meetings, working groups, and conferences.

Support includes but is not limited to, creation and delivery of briefing materials, event coordination/logistics, supporting the setup and coordinating of Video Teleconference Calls (VTCs), and tracking of action items and associated documentation.

PAGE 8 OF 85 AB-133E-16-RP-0022

● Interact with outside customers, stakeholders, government, and civilian agencies. Interaction normally requires the ability to gain cooperation of others conducting presentations of technical information concerning specific projects/schedules and related engagements.

● Provide technical assistance that includes developing and maintaining spreadsheets of ongoing projects; coordinating with NESDIS staff to obtain updates on projects on a continuing basis; tracking project status on a daily/weekly basis utilizing Microsoft Project; assisting with updating individual project schedules; preparing and formatting documents in Microsoft Word, PowerPoint, Excel;

assisting with typing or editing documents; maintaining project-related and workforce-related files.

● Perform duties of a confidential nature that may require comprehensive knowledge of organizational policies, practices, and procedures involving Personally Identifiable Information (PII).

● Assist with workforce management processes in the areas of federal employee and contractor background investigation packages and the issuance of federal and contractor employee identification badges through the Defense Enrollment Eligibility Reporting System (DEERS) and the Real-Time Automated Identification System (RAPIDS) Site Security Manager.

● Assist with maintaining personnel files and in-processing of new federal or contract employees with regard to equipment and process guidelines.

C.5. Points of Contact The Contractor shall identify a Program Manager for each task order and that person shall be capable of providing all technical assistance and clarification required to perform the task.

Individual task orders will be managed, monitored, and evaluated by the federal employee assigned by the office requiring support services, hereafter referred to as the Federal Task Manager. The Federal Task Manager may or may not be the Contracting Officer Representative (COR). The Task Manager will be identified at the time of task order award.

C.6. Quality Assurance Surveillance Plan Each Task Order may outline a Quality Assurance Surveillance Plan (QASP) for the Contractor.

In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.

G.2. CAR 1352.201-72 – Contracting Officer’s Representative (COR) (APR 2010)

(a) TO BE DESIGNATED AT AWARD BY SEPARATE LETTER is hereby designated as the Contracting

Officer’s Representative (COR). The COR may be changed at any time by the Government without prior notice to the contractor by a unilateral modification to the contract. The COR is located at: TO BE DESIGNATED AT AWARD BY SEPARATE LETTER.

ii. The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor.

(7) Performance period; and

(8) Any other information or documentation required by other requirements of the contract.

PAGE 14 OF 85 AB-133E-16-RP-0022

To constitute a proper invoice, the contractor’s invoice shall be prepared in accordance with, and contain all elements specified in FAR 52.212-4(g).

If the invoice does not comply with the applicable prompt payment provision of the contract, the COR will return it to the contractor within seven (7) calendar days after the date the designated office received the invoice along with a statement as to the reasons why it is not a proper invoice.

(b) Invoices shall be submitted with an original signature to the COR for approval, i.e., a certification by a Contractor official authorized to bind the Contractor. Contracting Officer's Representative (COR) mailing address will be provided at award. A copy of the invoice shall also be emailed directly to the Contract Administrator referenced in CAR 1352.201-72 CONTRACTING OFFICER'S

REPRESENTATIVE (COR).

(c) Invoices shall be submitted no more than once a month. Payments shall be based upon measurable or quantifiable performance or accomplishment of the defined elements.

(d) The Contractor shall not be entitled to payment of a request prior to verification by the COR of successful accomplishment of the performance criterion applicable to the requested items.

(e) Payment addresses must reflect the mailing/billing information registered in the System for Award Management (SAM) database to avoid processing delays.

(f) A request for final payment must be accompanied by a release of claims. A Release of Claims form will be provided to the contractor upon request.

(g) The "Final" payment request will be rejected and returned to the Contractor if all items required under the contract have not been completed, submitted, approved, and accepted by the Government prior to the receipt of the request.

(h) If the contractor is a small business concern, the invoice shall be annotated with an "SB" in the upper right hand of the invoice document.

G.4. NOAA Limitation of Funds Applicable to Labor-Hour or Time & Materials task orders issued under this contract.

It is estimated that the total cost to the Government for the performance of this contract shall not exceed the ceiling price of _To be completed at time of Task Order Award__. Funds in the amount of __To be completed at time of Task Order Award___ are hereby allotted. The balance of this contract’s estimated ceiling will be allotted upon availability of funds through a unilateral modification(s).

Limitation of Funds

(a) The parties estimate that performance of this contract will not cost the Government more than the ceiling amount specified in the contract. The Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within the ceiling amount.

(b) The Schedule specifies the amount of funds presently available for payment by the Government and allotted to this contract as well as the items covered. The parties contemplate that the Government will allot additional funds incrementally to the contract up to the full estimated cost to the Government specified in the Schedule, provided that funds become available. The Contractor agrees to perform work on the contract up to the point at which the total amount paid and payable

PAGE 15 OF 85 AB-133E-16-RP-0022

by the Government under the contract approximates but does not exceed the total amount actually allotted by the Government to the contract.

(c) The Contractor shall notify the Contracting Officer in writing whenever it has reason to believe that the costs it expects to incur under this contract in the next 60 calendar days, when added to all costs previously incurred, will exceed 85% of the total funded amount so far allotted to the contract by the Government. The notice shall state the additional funds required to continue performance for the period specified in the Schedule.

(d) Except as required by other provisions of this contract, specifically citing and stated to be an exception to this clause –

(1) The Government is not obligated to reimburse the Contractor for costs incurred in excess of the total amount allotted by the Government to this contract; and

(2) The Contractor is not obligated to continue performance under this contract or otherwise incur costs in excess of the amount then allotted to the contract by the Government until the Contracting Officer notifies the contractor in writing that the amount allotted by the Government has been increased and specifies an increased amount, which shall then constitute the total amount allotted by the Government to this contract.

(e) Change orders shall not be considered an authorization to exceed the amount allotted by the Government specified in the Schedule, unless they contain a statement increasing the amount allotted.

(f) Nothing in this provision shall affect the right of the Government to terminate this contract. If this contract is terminated, the Government and the Contractor shall negotiate an equitable distribution of all property produced or purchased under the contract, based upon the share of costs incurred by each.

(End of Clause)

G.5. Hours of Work The work week and daily hours of work will be defined in each individual task order. If hours of work are not specified in a task order, the hours of work shall be eight-hour shifts, completed between the hours of 6:30 AM and 6:00 PM, totaling 80 hours per two-week period, excluding Government legal holidays as indicated in the clause entitled ''Holidays.'' Work schedules shall be in accordance with the Contractor’s company policy and the Fair Labor Standards Act (FLSA).

Work schedules, including alternative work schedules, will be in writing and coordinated with the Contractor’s management and the federal Task Manager (to include telework agreements).

When specified in the task order, hours of work may require shift work, odd hours, and weekend work.

(End of clause) G.6. Holidays

(a) The Government hereby provides NOTICE and Contractor hereby acknowledges RECEIPT that Government personnel observe the listed days as holidays: New Year’s Day, Birthday of Martin Luther King, Jr., Washington’s Birthday (Presidents Day), Memorial Day, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving Day, Christmas Day,

(b) In addition to the days designated as holidays, the Government observes the following: Any other day designated by federal Statute; Any other day designated by Executive Order; or Any other day designated by the President's Proclamation.

(c) When any such day falls on a Saturday, the preceding Friday is observed. When any such day falls on a Sunday, the following Monday is observed. Observance of such days by Government

PAGE 16 OF 85 AB-133E-16-RP-0022

personnel will not be cause for an extension to the delivery schedule or period of performance or adjustment to the price, estimated cost, or fee(s), if any, except as set forth in the contract.

(d) Except for designated around-the-clock or emergency operations, Contractor personnel shall not be able to perform on-site under this contract with National Oceanic and Atmospheric Administration (NOAA) on holidays set forth above. The Contractor shall not charge any holiday as direct charge to the contract. In the event Contractor personnel work during a holiday observed by the Contractor other than those above, no form of holiday or other premium compensation will be reimbursed as either a direct or indirect cost. However, this does not preclude reimbursement for authorized overtime work.

(e) In the event NOAA grants administrative leave to its Government employees at the site, on-site Contractor personnel shall also be dismissed if the site is being closed. However, the Contractor shall continue to provide sufficient personnel to perform around-the-clock requirements of critical efforts already in progress or scheduled and shall be guided by the instructions issued by the Contracting Officer and her/his duly appointed representative. In each instance when the site is closed to Contractor personnel as a result of inclement weather, potentially hazardous conditions, explosions, or other special circumstances, the Contractor will direct its staff as necessary to take actions such as reporting to its own site(s) or taking appropriate leave consistent with its policies. The cost of salaries and wages to the Contractor for the period of any such site closure shall be a reimbursable item of direct cost under the contract for employees whose regular time is normally a direct charge, if they continue to perform on contract work; otherwise, the costs are reimbursable as indirect costs in accordance with the Contractor's established accounting policy.

(f) In the event the facility is not available for operations for an extended period of time (e.g., greater than 72 hours), the Contractor personnel may be required to temporarily relocate to an alternate facility as directed by the COR.

(End of clause) G.7. Financial Reporting

(a) General: Financial reports for each task order are to be submitted on a monthly basis.

(b) The Contractor shall complete and submit financial reports on the attachment [PROVIDED AT

TIME OF AWARD] entitled 'Financial Report of Individual Project/Contract' in accordance with the attachment [PROVIDED AT TIME OF AWARD] entitled "Instructions for Completing the Individual Financial Project/Contract" in an original and one copy no later than the 30th working day after the close of the reporting period. The line entries for subdivisions of work and elements of cost (expenditure categories) which shall be reported within the total contract are listed on the report. Subsequent changes and additions to the line entries shall be made in writing.

(c) The Contracting Officer may require the Contractor to submit detailed support for costs contained in one or more interim financial reports. This clause does not supersede the record retention requirements in FAR 4.7.
