STATEMENT OF WORK (SOW)

SECTION 1 – Subject Identification & General Information

Identification Case Name Mogote Ridge

Location Rio Arriba County, NM

Acreage ±115 acres

Property Type Vacant Land

Case Type Purchase

Purpose The purpose of this appraisal is to estimate the market value of the real property herein described.

Client USDA Forest Service

Intended Users The intended users of the appraisal report are the USDA Forest Service lands management staff, the Office of the General Counsel, and Box M Ranch, LLC.

Intended Use The intended use of the appraisal is to provide a basis for the offer of the proposed voluntary acquisition of the subject property by the USA.

Property Description

The property is located in Rio Arriba County, New Mexico and lies ±7 air miles east of Canjilon.

It contains ±115 acres adjacent to the Carson National Forest and is located at 9,200 feet. The subject property had been grazed by livestock since the 1970s until 2019 when ownership sold their herd of cows. Improvements include wire fences, corral, and tanks for watering livestock.

The Carson National Forest will acquire these improvements as a part of the property acquisition as they will be used as part of their range management program.

All site characteristics are to be independently researched and verified by the Contracted Appraiser.

Mogote Ridge Purchase

Property Access

The physical access to the subject property is generally described as: From Canjilon, NM, take NM-110E/County Road 280 east 11.1 miles. Turn right onto FR408A and travel 0.8 miles. Turn right onto a dirt two track road and go 0.4 miles, and park and walk onto subject property just to the west. The property is located at 9,200 feet. 4WD is recommended due to occasional muddy conditions.

Legal Description (pursuant to Land Description Verification)

The legal description is lengthy and the Land Description Verification will be provided.

Property Interest

The interest to be appraised is the fee simple estate subject to the reservations and outstanding rights listed as exceptions in Schedule B-II of the Rio Arriba Title & Escrow Company, Inc., title commitment RA-2303006, dated March 6, 2023.

NOTE: Any additional outstanding rights, encumbrances, or unauthorized occupancies discovered during the appraisal process are to be brought to the attention of the review appraiser.

NOTE: The appraiser must address what affect, if any, the outstanding rights have on market value.

Reservations

The property owner is not reserving any rights.

Personal Property

None.

Oil, Gas, Mineral, Sand/Gravel Rights

The mineral estate is not outstanding and will be conveyed with the subject property.

Water Rights

Per a water rights analysis by the Forest Hydrologist, dated February 23, 2023, there are no water rights associated with the subject property.

Larger Parcel

As this request is for a proposed federal acquisition, the Appraiser must identify the larger parcel, or larger parcels (should multiple larger parcels be determined), which satisfies the tests of title, unity of highest and best use, and contiguity as it relates to highest and best use in accordance with the Uniform Appraisal Standards for Federal Land Acquisitions 2016, The Appraisal Foundation (UASFLA), Sections 1.2.7.3.1, 1.4.3-1.4.7, 2.3.3.1, & 4.3.

The Appraiser must conduct all research necessary for a well-supported larger parcel(s) conclusion presented in the appraisal. UASFLA requires that the Appraiser’s analysis that leads to the larger parcel determination and the determination itself be reported and is considered an integral part of the highest and best use analysis. The highest and best use analysis is to be comprehensive, reasonable and thoroughly supported.

It is ultimately the Appraiser’s responsibility to identify any and all lands having unity of ownership in conjunction with unity of highest and best use for the purposes of determining the larger parcel(s).

The Appraiser is to notify the Review Appraiser in advance concerning any preliminary larger parcel determination issues. Communication between the Review Appraiser and the Contracted Appraiser is essential since the Appraiser’s larger parcel conclusion may require a modification of the appraisal assignment.

NOTE: If the Appraiser determines that there are separate larger parcels, the Appraiser is reminded to opine in the report whether any discount or premium would be appropriate if the parcels were placed on the market at the same time. The discount or premium, if any, must be supported and the potential impact on market value if all the parcels sold together must be indicated in the report.

Highest and Best Use

Section 1.4.4 of UASFLA defines highest and best use as “The highest and most profitable use for which the property is adaptable and needed or likely to be needed in the reasonably near future.”

Ownership/Occupant

The interest is presently titled in the name of Box M Ranch, LLC.

The property is not currently listed for sale.

Tenancies

Grazing still occurs on the property under an oral lease that will be terminated prior to closing.

Appraiser’s Use of Consultant’s Reports

Based on currently known information, no need is anticipated for sub-specialty or consultation reports within this assignment. If your inspection of the property reveals the need for any additional reports or studies, please communicate immediately with the Review Appraiser. Ultimate use of consultant reports will require compliance with Section 1.13 of UASFLA which states:

The Appraiser cannot merely accept such consultant reports as accurate, but rather must review such reports and adopt them only if reasonable and adequately documented and supported. The results of secondary valuation reports, such as mineral, fixture, or timber valuations, cannot simply be added to the value of the land to arrive at a value of the property as a whole without proper analysis by the Appraiser. To do so is a violation of the unit rule and professional standards. The Appraiser must consider these components of the property in light of how they contribute to the market value of the property as a whole.

Subject Property Exhibits

The following Subject Property Exhibits are being provided as attachments to this SOW:

1. Recent Deed

2. Property Map(s)

The following additional exhibits will be provided to the Contract Appraiser upon award:

3. Land Description Verification Form- Must be included in the addenda of the appraisal report.

4. ALTA Commitment for Title Insurance - Must be included in the addenda of the appraisal report.

5. Minerals Letter

6. Water Rights Analysis

7. Basic Specification for Real Property Appraisal - Must be included in the addenda of the appraisal report.

8. Property Inspection Permission – Received from property owner allowing access for inspection purposes.

SECTION 2 – Appraisal Requirements & Instructions

Appraisal Standards

1. Uniform Standards of Professional Appraisal Practice (USPAP current edition)

2. Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA 6th edition, 2016)

3. FSH 5409.12, Chapter 40

Market Value

The amount in cash or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property. (UASFLA 2016, Section 1.2.4.

page 10)

Date of Value

The date of value is the date of the last property inspection unless the Review Appraiser approves in advance other conditions in writing.

Extraordinary Assumptions (EA’s)

The following extraordinary assumption is authorized to be used in the appraisal report:

The appraiser assumes the subject property is unaffected by hazardous materials and, if found to be so affected, the property shall be cleaned or the effect of such hazardous substances or petroleum products(s) be remediated prior to the conveyance.

If the Appraiser determines that any additional extraordinary assumptions are necessary for the completion of the assignment, the Review Appraiser must be contacted for prior written approval.

Hypothetical Conditions (HC’s)

None.

If the Appraiser determines that hypothetical conditions are necessary, the Review Appraiser must be contacted for prior written approval.

Jurisdictional Exceptions (JE’s)

The only jurisdictional exception authorized for use is regarding the definition of market value and the development and reporting of a reasonable exposure time linked to the value opinion.

Contrary to USPAP, Section 1.2.4 of the 2016 Uniform Appraisal Standards for Federal Land

Acquisition states an estimate of market value linked to exposure and marketing time “… is inappropriate for, and must not be included in appraisal reports prepared for federal land acquisitions under these Standards.” Because the Appraiser is performing the appraisal in compliance with UASFLA, the Jurisdictional Exception Rule is being invoked. Section 4.2 of UASFLA provides the legal authority for invoking the Jurisdictional Exception Rule to void Standard Rules 1-2(c) and 2-2(a) (v) of USPAP.

Placement in Report

The Appraiser must clearly identify all Extraordinary Assumptions, Hypothetical Conditions (including a statement that their use might have affected the assignment results), and Jurisdictional Exceptions wherever the final value conclusion is stated, including the Letter of Transmittal and the Summary of Salient Facts. These must also be communicated with any General Assumptions and Limiting Conditions.

Property Inspection

The Appraiser must inspect the subject property and all the market properties used in direct comparison unless the Review Appraiser has approved other conditions in writing.

For appraisals with an intended use of acquisition or exchange, the Appraiser must certify in the report that he/she extended an offer to the property owner (or the owner’s representative) to accompany him/her during the property inspection. (UASFLA, Section 2.3.1.4, page 58).

Permission to enter upon and appraise the property has been granted. The permission document will be provided to the assigned Appraiser. To meet federal appraisal standards, please contact the owner representative directly after notification of the assignment to arrange a date and time for inspection. Other persons to be notified in advance of the inspection will be provided upon contract award.

Pre-Work Meeting

The Appraiser is required to attend a pre-work meeting with the assigned Review Appraiser. The Review Appraiser will coordinate the date, time, and place of the meeting. The pre-work meeting will likely take place proximate to the site inspection via phone.

Controversies/Issues

None. Should the Appraiser identify controversies or issues during the assignment, he/she must immediately notify the Review Appraiser.

Legal Instructions

None.

Special Appraisal Instructions

1. Even though communication is encouraged with the property owner and the client agency, only the assigned Review Appraiser can modify appraisal instructions (in writing).

2. The Appraiser may not communicate assignment results to any party except the USDA

Forest Service until authorized to do so in writing by USDA.

3. Any communication (verbal or written) with the Client Agency Realty Contact shall include the assigned Review Appraiser.

General Appraisal Requirements & Instructions

1. The Appraiser must hold a valid license as a Certified General Appraiser for the jurisdiction in which the subject property is located. (Valid credentials include those obtained directly from the jurisdiction, those issued under a reciprocity agreement, and/or those characterized as “temporary” under the jurisdiction’s licensing and certification statutes.)

2. The Statement of Work, any other written assignment instructions must be included within the Addenda to the appraisal report.

3. All appraisals complying with UASFLA should reasonably conform to the sequence and content outlined in UASFLA, Appendix A, B, C and D, depending on applicable type of acquisition.

4. The appraisal is to be presented in an “Appraisal” reporting format (USPAP Standard 2-2

(a)). UASFLA (Page 56), Section 2.2 states that a report prepared in accordance with UASFLA reporting formats set forth under Sections 2.3, 2.4, and 2.5 (Appendix B, C, and D) is consistent with and/or exceed the requirements for an appraisal report under Standard 2 of USPAP.

5. The appraiser must appraise the subject property in its “As Is” condition unless authorized in writing by the Review Appraiser to do otherwise.

6. Color photographs and maps of comparable properties shall be included in the appraisal report. Aerial photographs for comparable properties are acceptable, unless the aerial photographs do not accurately represent the property as of the date of inspection. The Appraiser must photograph any unusual property features from the ground.

7. The appraisal report will be reviewed for compliance with the terms of this Statement of

Work (including all cited standards). Any findings of inadequacy will require clarification and/or correction.

8. The Appraiser shall consider the appraisal report and all FS internal documents furnished to the Appraiser to be confidential. Refer all requests for information concerning the appraisal to the Review Appraiser.

9. The Forest Service normally will not accept custody of confidential information. Should Appraiser find it necessary to rely on confidential information, he/she will contact the Review Appraiser for instructions. The Review Appraiser will view the information and provide further instruction to the Appraiser regarding handling and storage of the confidential information.

10. While the public is not an intended user of the appraisal report, the Freedom of Information

Act (FOIA) and Agency policy may result in the release of all or part of the appraisal report to others.

11. If including any proprietary information in the appraisal, Appraiser must gain concurrence from the Senior Review Appraiser and deliver the proprietary information in a separate binder.

12. The Appraiser must indicate whether he/she has (or has not) performed any services, as an Appraiser or in any other capacity, regarding the subject property within the three-year period immediately preceding submitting the bid for the assignment. If a service has been provided regarding the subject property, the service provided must be specified and appropriately disclosed following the direction of the USPAP Ethics Rule, Conduct Section. This disclosure must be made within the bid proposal and noted on the signed certification page of the completed report.

SECTION 3 – Performance & Submission Requirements

Performance

The appraisal reports and all copies are to be sent directly to the review appraiser who will distribute copies of the appraisal reports after the appraisal review process is complete. Under normal circumstances, no more than 45 days should elapse between the date of value and the date the report is submitted for review. The appraisal reports should be completed within 45 days of receiving the notice to proceed.

One appraisal report (electronic PDF) is to be submitted for review to the Review Appraiser and no copies of the appraisal are to be provided to any other party until the appraisal review has been completed.

Please note that general statements such as the appraisal is of the “fee simple subject to outstanding rights of record” are not acceptable. The appraisal reports must reflect the precise title to be conveyed to the United States of America.

The reports must include a ten-year ownership history of all real property transactions pertaining to the subject property and documentation of the last sale of the subject regardless of when it occurred and an opinion concluded in regards to whether these property transactions were representative of the market at the time of sale. The reports should also consider any current agreements of sale, options, or listings of the subject property, as appropriate, according to appraisal standards cited in UASFLA/USPAP.

Please make careful note of the requirements for sale documentation and verification.

Comparable sales should be delineated on a topographic map to allow for field review if necessary. In the sales comparison approach to value, please pay close attention to UASFLA requirements as to proper treatment of sales. Quantified adjustments are preferred, if they can be adequately supported with market data. Market data is required to support all adjustments in the sales comparison approach.

A copy of this Statement of Work is to be included in the addenda of the appraisal report. If it is necessary to include, within the reports, any confidential information, it should be submitted as a confidential addendum. The confidential nature of the information should be clearly noted and a signed request from the provider to maintain its confidentiality should be included. As much as possible, analysis of sales and other data within the body of the reports should be written in such a manner so that release of the reports will require a minimum of redaction in order to protect the privacy rights of the information providers.

The appraisal report will be reviewed for compliance with the terms of this Statement of Work, UASFLA, USPAP, and the FSH 5409.12, Chapter 40(C). Findings of inadequacy, if any, will require clarification, revisions and/or correction.

Upon completion of the review and acceptance of the appraisal report, the appraiser will provide one signed electronic (PDF) copy to the Review Appraiser. The Forest Service will be responsible for any further distribution of the appraisal report.

Upon award, the Forest Service Review Appraiser will be the point of contact for the appraiser during the entire appraisal process and report delivery. Any questions regarding appraisal matters and/or technical requirements will be addressed by the Forest Service Review Appraiser.
