BIDDING SCHEDULE NOTES

1. All quantities shown on the BIDDING SCHEDULE are estimated quantities except when the unit is shown as job, "JB".

2. When bids are solicited on a unit price basis, bidders shall insert in the spaces provided therefor in the SCHEDULE both the "unit price" and the "estimated amount" resulting from applying the said unit price to the estimated quantity shown. In event the bidder quotes only a total price ("estimated amount") in its bid and fails to quote the unit price, the Government will determine such unit price by dividing the total price quoted by the quantity of the item set out in the SCHEDULE. The bidder agrees that the unit price so determined shall be used for the purpose of bid evaluation, award and all payments to the Contractor including final payment.

3. All extensions of the unit prices shown will be subject to verification by the Government. In case of variation between the unit price and the extension, the unit price will be considered to be the bid and the extension will be corrected accordingly.

4. If a modification to a bid based on unit prices is submitted, which provides for a lump sum adjustment to the total estimated cost, the application of the lump sum adjustment to each unit price in the bid schedule must be stated. If it is not stated, the bidder agrees that the lump sum adjustment shall be applied on a pro rata basis to every unit price in the bid schedule.

5. Bidders are required to bid on all items listed on the Bidding Schedule in addition to inserting a total quoted bid in the appropriate space provided. Failure to do so will be considered good cause to disqualify the bid.

6. Bidders are encouraged to pay particular attention to the requirements on lab “validation” in Section 01 45 00.00 10 of the contract specifications.

7. EVALUATION OF SUBLINE ITEMS (DEC 2019) 5152.211-9000

Item Nos. 0004, 0005, 0006, 0007, 0008, 1004, 1005, 1006, 2005, 2006, 2007, and 2008 are subdivided into two or more estimated quantities and are to be separately priced. The Government will evaluate each of these items on the basis of total price of its subline items.

8. VARIATIONS IN ESTIMATED QUANTITIES - SUBLINE ITEMS. 5152.211-9001.

This variations in estimated quantities clause is applicable only to Item Nos. 0004, 0005, 0006, 0007, 0008, 1004, 1005, 1006, 2005, 2006, 2007, and 2008.

(a) Variation from the estimated quantity in the actual work performed under any second or subsequent subline item or elimination of all work under such a second or subsequent subline will not be the basis for an adjustment in contract unit price.

(b) Where the actual quantity of work performed for Item Nos. Item Nos.

0004, 0005, 0006, 0007, 0008, 1004, 1005, 1006, 2005, 2006, 2007, and 2008 is less than 85 percent of the quantity of the first subline item listed under such item, the Contractor will be paid at the contract unit price for that subline item for the actual quantity of work performed, and, in addition, an equitable adjustment shall be made in accordance with the clause at Federal Acquisition Regulation (FAR) 52.211-18, Variation in Estimated Quantities.

(c) If the actual quantity of work performed under Item Nos. Item Nos. 0004, 0005, 0006, 0007, 0008, 1004, 1005, 1006, 2005, 2006, 2007, and 2008 exceeds 115% or is less than 85% of the total estimated quantity of the subline item under that item, and/or if the quantity of work performed under the second subline item or any subsequent subline item under Item Nos. Item Nos. 0004, 0005, 0006, 0007, 0008, 1004, 1005, 1006, 2005, 2006, 2007, and 2008 exceeds 115% or is less than 85% of the estimated quantity of any such subline item, and if such variation causes an increase or a decrease in the time required for performance of this contract, the contract completion time will be adjusted in accordance with the clause FAR 52.211-18, Variation in Estimated Quantities.

9. PROPOSALSUBMISSION REQUIREMENTSANDINSTRUCTIONS

a. REQUIREMENT FOR SEPARATE TECHNICAL AND PRICE PROPOSALS.

DO NOT MIX CONTENTS OF VOLUME 1 (Technical) AND VOLUME 2 (Price) IN THE SAME

BINDER.

(1) Each Offeror must submit a Technical Proposal and a Price Proposal. The Technical Proposal and the Price Proposal must be submitted as separate volumes. Both the Technical and Price Proposal shall be paginated (contain consecutive page numbers on each page).

The outside cover of each separate volume (Vol 1 – Technical; Vol 2 – Price) must be clearly marked to indicate its contents and the identity of the Offeror. Additionally, identify the “original” Technical proposal and the “original” cost/price proposal on the outside cover.

(3) Both the Technical Proposal and the Price Proposal must be received by the closing date and time set for receipt of proposals.

(4) Pricing Schedule, Vol 2, shall be completed in full.

(5) Do not include any dollar amounts in the Technical Proposal that are taken from the Price Proposal.

(6) All information intended to be evaluated as part of the Technical Proposal must be submitted within the Technical Proposal. Do not cross-reference material in the Price Proposal, or vice versa. Also, do not include links to websites in your proposal. Technical Proposals will not be provided to the price team and Price Proposals will not be provided to the technical team. Therefore, information submitted in the wrong volume could lead to the proposal being determined “unacceptable” if materially incomplete in any aspect.

(7) Do not attempt to modify the terms and conditions of the solicitation in either the technical or price proposal or add conditions or qualifications to your offer. Should the offeror include terms and conditions that conflict with the terms and conditions of the Solicitation, the offer may be determined "unacceptable" and thus ineligible for award. Any questions related to specific terms and conditions contained within the Solicitation should be resolved prior to submission of the offer. Notwithstanding the above, the offeror must clearly describe on the Proposal Cover Sheet submitted with the Price Proposal any modifications to the contractual and/or technical terms and conditions of the solicitation contained in the Offer.

(8) Failure to submit required documents or failure to properly complete documents may result in rejection of the offer without further evaluation. Therefore, offerors are urged to follow instructions carefully and to speak with the Contracting Officer if the offeror does not understand any part of the Solicitation.

b. DISCUSSIONS.

The Government intends to evaluate proposals and award a contract without discussions with offerors.

Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary

c. GENERAL INST RUCTIONS.

(1) Submit only the documents specifically required in this section. Do not submit excess information; do not include audio-visual materials, electronic media, etc.

(2) Use only 8 ½ by 11 inch paper or A4 paper for hard copy submissions, unless another paper size is specifically authorized elsewhere in this section for a particular submission. Do not use fold-outs (e.g., 11” x 14” or 11” x 17” sheets). Do not use a font size smaller than 10, an unusual font style such as script, or condensed print for any submission. All page margins must be at least one inch wide, but may include headers and footers. All pages must be numbered.

(3) The preferred method for assembling your proposal is to use three-ring binders; however, the use of pressboard or other report covers with compression or other type fasteners is acceptable. Do not use spring clamps or exceed the recommended capacity of the fastener or binder. Do not use plastic multi-hole/spiral binding systems, heat binding systems, or other systems which do not facilitate the ready insertion of additional pages. Do not include loose papers.

(4) References to “Confidential” projects cannot be submitted to demonstrate capability unless all of the information required for evaluation as specified herein can be provided to the Government as part of the offeror’s technical proposal. Offerors that include in their proposals information they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, must clearly mark their proposals in accordance with the instructions at FAR 52.215-1, “Instructions to Offerors— Competitive Acquisition,” paragraph (e), “Restriction on disclosure and use of data.”

(5) In the case of an offeror that is part of a large, multi-segmented business concern, provide information directly pertaining to the specific segment of the business concern (i.e., the division, group, unit, etc.) that will perform work under the prospective contract.

(6) For submissions with page limitations, the pages will be counted as follows: One side of the paper is one page; information on both the back and front of one sheet of paper will be counted as two pages. Pages furnished for organizational purposes only, such as a “Table of Contents” or divider tabs, are not included in the page limitation.

10. INSTRUCTIONS FOR SUBMISSION OF JOINT VENTUREAGREEMENTS

a. A Joint Venture offeror must submit with its technical proposal a copy of the joint venture agreement upon which the Joint Venture organization has been formed. The joint venture agreement must indicate that the joint venture is in existence as of the date and time that proposals are due to be submitted; or, alternatively, that the joint venture will automatically take legal effect immediately upon notification to the joint venture of contract award.

b. The joint venture agreement must be signed by a representative of each joint venture partner who has the requisite authority to bind the partner to the agreement, with the chief executive of each entity identified.

c. To be acceptable to the Government, the joint venture agreement must clearly state within its terms that each member of the joint venture is jointly and severally liable for all of the obligations of the joint venture itself with respect to completion of all work and services under the contract expected to result from the Solicitation.

d. The terms of the joint venture must detail, in terms of percentages, where appropriate, the relationship of the joint venture parties in terms of business ownership, capital contribution, and profit distribution or loss sharing.

e. Additionally, the joint venture agreement must specify who among the joint venture partners is authorized to sign the Solicitation, acknowledge the amendments to the Solicitation, if any, and bind the entire joint venture to its obligations under any contract which may result from the Solicitation.

11. SUB-CONTRACTOR CONTRACTORS

If an offeror wishes to receive credit for the experience or past performance of a Sub-Contractor, including a firm that is a proposed Sub-Contractor to the prime Contractor or a joint venture partner, the offeror must submit a letter of commitment to subcontract under the proposed project, signed both by the Sub-Contractor and the offeror.

b. For purposes of this Solicitation, such a Sub-Contractor shall be considered to be a “qualified Sub- Contractor.”

c. The commitment letter must be submitted even if the Sub-Contractor is in some way affiliated with a joint venture partner (for example, the Sub-Contractor is a subsidiary of a joint venture partner, or a subsidiary of a firm to which the joint venture partner is also a subsidiary).

12. TEAMING ARRANGEMENT

If a contractor wishes to receive credit for the experience or past-performance from a teaming arrangement with another small business, provide the complete information on the arrangement, to include any relevant and recent past/present performance information on previous teaming arrangements with same partner.

TO BEST REFLECT

YOUREVALUATIONOFTHECONTRACTOR’S

PERFORMANCE

RATING DEFINITION NOTE

(E) Exceptional

Performance meets contractual requirements and exceeds many to the Government/Owner’s benefit. The contractual performance of the element or sub-element being assessed was accomplished with few minor problems for which corrective actions taken by the Contractor was highly effective.

An Exceptional rating is appropriate when the Contractor successfully performed multiple significant events that were of benefit to the Government/Owner. A singular benefit, however, could be of such magnitude that it alone constitutes an Exceptional rating. Also, there should have been NO significant weaknesses identified.

(VG) Very Good

Performance meets contractual requirements and exceeds some to the Government’s/Owner’s benefit. The contractual performance of the element or sub-element being assessed was accomplished with some minor problems for which corrective actions taken by the Contractor were effective.

A Very Good rating is appropriate when the Contractor successfully performed a significant event that was a benefit to the Government/Owner. There should have been no significant weaknesses identified.

(S) Satisfactory

Performance meets minimum contractual requirements. The contractual performance of the element or sub-element contains some minor problems for which corrective actions taken by the Contractor appear or were satisfactory.

A Satisfactory rating is appropriate when there were only minor problems, or major problems that the Contractor recovered from without impact to the contract. There should have been NO significant weaknesses identified. Per DOD policy, a fundamental principle of assigning ratings is that Contractors will not be assessed a rating lower than Satisfactory solely for not performing beyond the requirements of the contract.

(M) Marginal

Performance does not meet some contractual requirements. The contractual performance of the element or sub-element being assessed reflects a serious problem for which the Contractor has not yet identified corrective actions. The Contractor’s proposed actions appear only marginally effective or were not fully implemented.

A Marginal is appropriate when a significant event occurred that the Contractor had trouble overcoming which impacted the Government/Owner.

(U) Unsatisfactory

Performance does not meet most contractual requirements and recovery is not likely in a timely manner. The contractual performance of the element or sub-element contains serious problem(s) for which the Contractor’s corrective actions appear or were ineffective.

An Unsatisfactory rating is appropriate when multiple significant events occurred that the Contractor had trouble overcoming and which impacted the Government/Owner.

A singular problem, however, could be of such serious magnitude that it alone constitutes an unsatisfactory rating.

(N) Not Applicable

No information or did not apply to your contract Rating will be neither positive nor negative.

EVALUATION CRITERIA

PART II - PROPOSAL EVALUATION AND CONTRACT AWARD

(SECTION M)

LOWEST-PRICED, TECHNICALLY ACCEPTABLE (LPTA)

1. ELIGIBILITYFOR CONTRACT AWARD.

In accordance with the FAR, no contract shall be entered into unless the Contracting Officer ensures that all requirements of law, executive orders, regulations, and all other applicable procedures, including clearances and approvals, have been met. This includes the FAR requirement that no award shall be made unless the contracting officer makes an affirmative determination of responsibility. To be determined responsible, a prospective Contractor must meet the general standards in FAR Part 9 and any special standards set forth in the solicitation.

2. LOWESTPRICE TECHNICALLY ACCEPTABLE (LPTA) SOURCESELECTION PROCESS.

The proposal that provides the lowest price and is otherwise technically acceptable in all factors will be accepted for award. To be considered technically acceptable, no technical factor in the proposal may be rated as “Unacceptable.” The failure of a proposal to meet all of the requirements under any Factor will result in a technically unacceptable rating and preclude award.

After the receipt of quotes, the Government will calculate the Total Proposed Price (TPP) of all Offerors and list them in ascending order. The technical evaluation will begin with the proposal calculated to have the lowest TPP.

If the lowest priced Offeror has an Acceptable rating in all Non-Priced Factors; Technical (Work Plan), Past Performance and their pricing is determined fair and reasonable, that offer represents the best value for the Government and the evaluation process stops at this point. Award will be made to the Offeror without further consideration of any other offers. If the lowest priced offer is rated Unacceptable the next lowest priced offer will be evaluated and the process will continue until an Offeror is determined technically acceptable or all offers are evaluated.

The Contracting Officer reserves the right to open discussions with the offerors should it be required. At that time the Contracting Officer may establish a competitive range consisting of the most highly rated proposals after the initial review of both the technical and price proposals. Once the competitive range is established, the Government will engage in Discussions with all offerors included in the competitive range. After receipt of the offeror’s responses raised during Discussions, responses will be rated again in the same manner as described above for the initial evaluation.

3. BASIS OF AWARD.

Subject to the provisions contained herein, award will be made to one (1) offeror who is deemed responsible in accordance with the FAR, who conforms to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, meets the technically acceptable standard for the non-cost factors and provides the lowest evaluated price.

4. EVALUATION OF THE PRICE PROPOSALS

Price will be evaluated and considered but will not be scored or combined with other aspects of the proposal evaluation. The Government will conduct a price reasonableness analysis; it may also conduct a price realism analysis. The otherwise technically-acceptable lowest-priced offeror may be required to confirm/validate its price on a Contract Line Item Number (CLIN), element, or total price basis, and/or provide additional information in support of their price, prior to contract award at the Government’s request and discretion.

5. EVALUATION OF THE TECHNICAL PROPOSAL.

The Technical Proposal will be evaluated based on the following evaluation criteria on an Acceptable/Unacceptable basis. Ratings are defined as;

Technical Ratings

Ratings Description Acceptable Proposal meets the requirements of the solicitation

Unacceptable Proposal does not meet the requirements of the solicitation

FACTOR 1 – WORK PLAN:

1. The Government shall evaluate the work plan to determine whether the offeror’s proposal will satisfy the Government’s minimum requirements.. This description shall be clearly stated, complete, and accurate.

2. The government shall evaluate the detailed work schedule to determine whether the offeror’s work plan is clearly stated, complete and accurate and the proposal will satisfy the Government’s minimum requirements for providing resources (labor, equipment and materials) in order to perform the project work within the required timeframe. The Government shall verify that the minimum required quality and safety standards have been addressed.

3. The government shall evaluate that the work plan and schedule plan are specific to this solicitation project and verify that it addresses the technical approach in which they will accomplish construction in a manner that meets the Government’s minimum requirements.

4. The government evaluation shall verify that the following minimum requirements have been addressed:

a.) Excavation of the inspection trench and levee slide for the slide repair and excavation of the slide repair within the pipeline crossing.

b.) Contractor staging areas, stockpile areas, and laydown areas for processing embankment.

c.) Placement of compacted embankment.

d.) Contractor-furnished borrow sources.

e.) Restore level of protection to existing level within 3 calendar days.

Failure to demonstrate the minimally acceptability standards under this factor shall result in an “UNACCEPTABLE” rating and elimination from further consideration for contract award.

FACTOR 2 - PAST PERFORMANCE

The Government shall evaluate offeror past performance either as acceptable or unacceptable considering the submitted Past Performance Questionnaire (PPQ) forms at the end of Section 00100, representing the offeror’s relevant Past Performance. Specifically, the offeror shall provide past performance with the following:

1. The offeror shall submit description of projects where expertise in levee construction and repairs or like construction was demonstrated.

2. The offeror shall submit description of projects where expertise in the construction of lime treated embankment was demonstrated.
