NOTES:

(a) This MATOC is being advertised as an unrestricted procurement and will have a combined not to exceed capacity of $45,000,000.00.

In accordance with FAR 15.304(c)(1)(ii)(A)(3), this Request for Proposals (RFP) will result in award of a contract to each and all qualifying offerors. Qualifying offerors, as used in FAR 15.304, means an offeror that is determined to be a responsible source, submits a technically acceptable proposal that conforms to the requirements of the solicitation, and the contracting officer has no reason to believe would be likely to offer other than fair and reasonable pricing.

The MATOC has a term of 5 years from the date of award(s).

The government reserves the right to make award without discussions.

There is a $1,000 minimum guarantee for MATOC Awardees.

The estimated value of proposed work for each Dredging Task Order is between $5,000,000.00 and $10,000,000.00.

(b) This MATOC will be awarded based on the evaluation factors detailed in Section 00130 of this solicitation. Price will not be an evaluation factor in this solicitation.

(c) Each Task Order issued under the resulting contract will contain a separate Bid Schedule. Each Bid Schedule will be project specific for each Task Order.

(d) The above sample Bid Schedule is representative of the Bid Schedule that will be included in all subsequent Task Order solicitations. This sample bid schedule is not to be filled out and returned as price will not be an evaluation factor in this solicitation.

(e) All technical inquiries and questions relating to this solicitation are to be submitted via offeror inquiry in Projnet at http://www.projnet.org/projnet. See Section 00100 entitled “Technical Inquiries and Questions”.

(f) Regarding solicitations for all subsequent Task Orders issued from this MATOC, offerors shall furnish unit prices for all items listed on the schedule of proposal items which require unit prices. If the offeror fails to insert a unit price in the appropriate blank for required items but does furnish an extended total or an estimated amount for such items, the Government will deem his unit price to be the quotient obtained by dividing the extended estimated amount for that line item by the quantity. If the offeror omits both the unit price and the extended estimated amount for any item, his proposal will be declared nonresponsive.

(g) Regarding solicitations for all subsequent Task Orders issued from this MATOC, all quantities shown on the BIDDING SCHEDULE are estimated quantities except when the unit of measure is shown as "job" or “each”.

(h) If a proposal or modification to a proposal based on unit price is submitted which provides for a “job” adjustment to the total estimated cost, the application of the “job” adjustment to the unit price in the schedule must be stated. If it is not stated, the offeror agrees that the “job” adjustment shall be applied on a pro rata basis to the unit price in the Bid Schedule.

(i) All extensions of the unit price shown will be subject to verification by the Government. In case of variation between the unit price and the extension, the unit price will be considered to be the proposal.

(j) Regarding solicitations for all subsequent Task Orders issued from this MATOC, except for the subdivided proposal items as noted in paragraph (j) above, Offerors shall include a proposal price for all items in the base period. Failure to provide proposal prices for all payment items will render the proposal non-responsive.

(k) Award of subsequent Task Orders issued from this MATOC will be made as a whole to the lowest responsive, responsible offeror as may be in the best interest of the Government. The Government reserves the right to utilize a best value tradeoff analysis on any task order award when the Contracting Officer determines it to be in the Government’s best interest to do so.

(l) Lack of registration in the SAM database will make an offeror ineligible for award. SEE CONTRACT CLAUSE 52.204-7 ENTITLED, "System for Award Management".

(m) Required documents listed in Section 00130 of this solicitation must be accurately completed and returned with your proposal, or it may be rejected as nonresponsive.

(n) DEMOBILIZATION: Only ONE demobilization will be paid on each Task Order issued from this

MATOC.

(o) If a contractor submits a proposal on this solicitation to use a dredge that is currently under another contract, then the contractor may not be eligible for award unless they submit a detailed plan demonstrating how they plan to successfully complete multiple contracts using one dredge. Any plan submitted must be accepted and approved by USACE prior to award.

(p) The Government reserves the right, as the interests of the Government may require, to postpone or delay the date and/or time set for opening of proposals. Revisions or amendments to the proposal due date and/or time, if any, will be announced by amendment or amendments to request for proposal.

(q) All work under these specifications shall be performed in accordance with the provisions of EM 385-1-1 "CORPS OF ENGINEERS SAFETY AND HEALTH REQUIREMENTS MANUAL", Dated November 2014.

(r) The contractor will be given fair opportunity to receive Task Order awards. Individual Task Orders issued under this contract may be signed by any contracting officer of this agency, within the authority of their warrant. The contractor may appeal the explanation, or decision of the contracting officer to the USACE Ombudsman, who is at the following address:

JOHN A. JACOBSON EXECUTIVE DIRECTOR

U.S. ARMY CORPS OF ENGINEERS

441 G STREET NW

WASHINGTON, DC 20314-1000

202-761-0567

(s) Pursuant to FAR 22.503, a PLA may be considered for certain projects as task orders meeting the criteria set forth in Executive Order 13502. Each Task Order may be evaluated on a project-by-project basis for possible application of a PLA.
