About this file
Summary
This document is a set of supplementary general conditions and amendments to AIA Document A201 (2017 Edition) issued by Hanover County, Virginia, establishing modified contract terms for construction projects. The amendments address general provisions, owner and contractor responsibilities, architect roles, subcontractor requirements, changes in work, payment procedures, insurance and bonding, claims and disputes, and termination provisions. Key modifications include requirements for the contractor to provide a superintendent with minimum five years of commercial experience and a project manager with similar qualifications, both subject to owner approval. The contractor must maintain regular working hours between 7:00 a.m. and 6:00 p.m., Monday through Friday, with any deviation requiring 48 hours' advance notice to the program manager. The contractor is responsible for locating all underground utilities and paying associated costs, obtaining all permits except specific county fees, and maintaining a project schedule with penalties if work falls more than 10 percent behind the approved schedule. Substantial completion must occur within the timeframe designated on the bid form, and the contractor must provide proof of complete release or satisfaction of all claims before final payment.
Payment terms specify that the owner will pay 95 percent of progress payments with 5 percent retainage, with final payment occurring approximately 30 days after architect approval. Markup for changed work is limited to 15 percent for the general contractor's direct work, 15 percent for subcontractors with 10 percent additional markup by the general contractor, and similar limitations for lower-tier subcontractors. The contractor must carry comprehensive insurance including worker's compensation, commercial general liability with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate, automobile liability of $1,000,000, and umbrella coverage of $10,000,000. Performance and payment bonds equal to 100 percent of the contract price must be provided and maintained for 12 months after final payment. Liquidated damages apply for delays beyond the substantial completion date, with the contractor also responsible for extended architectural and engineering services beyond 61 days from the required completion date. The contract is governed by Virginia law with disputes litigated in Hanover County courts, and contractual claims must be submitted in writing no later than 60 days after final payment with notice given at the time of occurrence.
