(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6 of the Federal Acquisition Regulation, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) This solicitation is issued as an Request for Quotation (RFQ).
(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2023-04.
(iv) This procurement is set aside for 100% small business concerns. The NAICS code is 481212 and the Small Business Size Standard is 1,500.

Provide the USDA Forest Service (FS) with all supervision, labor, and materials necessary to provide Log Delivery in support of the USDA FS Willamette National Forest objective to transport trees from various staging sites to sites near the North Fork Willamette River and Middle Fork Willamette River. This project will take place on the North Fork Willamette River and Middle Fork Willamette River Area in accordance with requirements of the Performance Work Statement (PWS), or other attachments and notes attached hereto.
To be considered responsive, the quoter shall offer on all items in the quantities stated in the schedule.
The resulting contract will be a firm fixed-price purchase order.

a) One award will be made from this solicitation, quoters must submit pricing for all items.
b) Quoters shall submit pricing for each line item in the above schedule. Failure to quote in this manner may result in quotation rejection. All quoted prices are to be inclusive of all costs, e.g., wages, direct costs, G&A expenses, profit, etc.
c) The contractor shall provide miscellaneous materials necessary to accomplish the work specified in the solicitation and resulting purchase order contract. All materials not referenced as Government Furnished Material (GFM) shall be considered contractor furnished.

(viii) 52.212-1 Instructions to Offerors – Commercial Products and Commercial Services (MAR 2023) (Provision) Addenda to provision 52.212-1:
Addenda to Provision 52.212-1 paragraph (b) Submission of Offers:
1) Offerors must have an active entity registration in the System for Award Management in order to submit an offer. https://www.sam.gov/SAM/
2) Offers submitted in response to this solicitation shall include a technical proposal, a price proposal, and contractor representations and certifications.
a) Non-Price Quote– The non-price quote shall address the evaluation factors in 52.212-2. At a minimum it shall include:
i) Evaluation Factor 1 – Technical Requirements
Describe in detail the quoter’s ability to meet or exceed the requirements set forth in the Price Schedule, the Performance Work Statement (PWS), and other attachments and notes attached hereto to meet the needs of the customer.
ii) Evaluation Factor 2 – Past Performance
The quoter may provide past performance references in their quote that can include both Government and commercial contracts and subcontracts. The quoter may provide the quoter’s and any major subcontractors' past performance on related relevant contracts, similar in size and scope, in whole or in part, to the PWS herein over the last 3 years describing as appropriate, successful performance of contract requirements, quality and timeliness of delivery of goods and services, effective management of subcontractors, cost management, level of communication between the contracting parties, proactive management and customer satisfaction.
Please note, the Government may use its discretion to determine the sources of past performance information used in the evaluation, and the information may be obtained from references provided by the quoter, the agency’s knowledge of contractor performance, other Government agencies or commercial entities, or past performance databases.

b) Price Proposal – Include the following: 1) the completed Schedule of Items from Section B of this solicitation, and 2) acknowledgement of any amendments to this solicitation by following the instructions that accompany the amendment(s). Quoters are required to quote on all items. Each quoter's price quote must be based on the quoter’s own non-price quote, the Government's PWS and other contractual requirements. The unit prices shall be fully loaded and shall include costs for labor, overhead, G&A, and fringe benefits and profit, etc.
c) Representations and Certifications – Fill in the check boxes for provisions 52.204-2, and 52.212-3, and Employment of Eligible Workers-Workforce Certification found in paragraph x of this solicitation and include a copy with your quote.
3) Submit offer by email to john.nix@usda.gov so that it is delivered into this inbox by the August 31, 2023 @ 10AM Central Standard Time. Emails should contain 3 separate attachments (Non-Price Quote, Price Proposal, and Representations and Certifications) in Microsoft Word, Excel, or Adobe PDF format. Be aware that large attachments may increase the time required to deliver an email. It is the offerors responsibility to confirm receipt of the offer from john.nix@usda.gov.

Addenda to Provision 52.212-1 paragraph (f) Late submissions:
Replace (f)(2)(i) with the following:
Any quote, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. Delete 52.212-1 (f)(2)(i) paragraphs A, B, & C.

EVALUATION UTILIZING SIMPLIFIED ACQUISITION PROCEDURES
The Government will issue a single purchase order contract resulting from this request for Quote to the responsible quoter whose quote results in the best value to the Government, considering both price and non-price factors. The following factors will be used to evaluate Quotes:

The technical requirements factor will be evaluated on how the quoter describes in detail the quoter’s ability to meet or exceed the requirements set forth in the Price Schedule, the Performance Work Statement (PWS), and other attachments and notes attached hereto to meet the needs of the customer.
Evaluation Factor 2 - Past Performance
The quoter and any major subcontractors' past performance on related relevant contracts, similar in size and scope, in whole or in part, to the PWS herein over the last 3 years will be evaluated to determine, as appropriate, successful performance of contract requirements, quality and timeliness of delivery of goods and services, effective management of subcontractors, cost management, level of communication between the contracting parties, proactive management and customer satisfaction. Prime contractor past performance questionnaires will be given more consideration than subcontractor past performance questionnaires.
The Government reserves the right to assess the past performance of proposed subcontractors. The Government will use its discretion to determine the sources of past performance information used in the evaluation, and the information may be obtained from references provided by the offeror, the agency’s knowledge of contractor performance, other Government agencies or commercial entities, or past performance databases.
If a quoter does not have a history of relevant contract experience, or if past performance information is not available, the offeror will receive a neutral past performance rating.
Price
Quoted prices will be evaluated but not scored. The price evaluation will determine whether the quoted prices/costs are realistic, complete, and reasonable in relation to the solicitation requirements. Quoted prices must be entirely compatible with the non-price quote.
The Government may use the results of price realism analysis to adjust the quoter’s quote to a most probable cost to the Government. The analysis may include information from a government auditing agency, Government technical personnel, and other sources.
Prices must be entered on all items included in the Price Schedule (Schedule of Items).
The price which will be considered for the purpose of determining the award price will be the cumulative sum price for all line items appearing on the pricing schedule.
Quoters are cautioned that failure of the prices to fully reflect the effort described in the non-price portions of the quote, or take exception to the Government’s terms and conditions, may be grounds for the Government to determine that the quoter does not adequately understand the effort required under the solicitation, and, therefore, may result in a determination that the

Quoters are further cautioned that submission of a price quote which is determined by the Government to be unreasonably high or unreasonably low may result in rejection of the Quote in its entirety, regardless of the merits of the non-price portions of the quote.
A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful quoter within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party. Before the quote’s specified expiration time, the Government may accept a quote (or part of a quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

AWARD BASIS
The purchase order contract award resulting from this solicitation will be awarded to that responsible Offeror whose quote, conforming to the solicitation instructions, is deemed the best value, meeting or exceeding the Government’s requirements.
The price that will be considered for the purpose of determining the best value quote to the Government will be calculated by determining the cumulative sum price for all line items appearing on the pricing schedule.

52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (NOV 2021) (Provision)
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, 12048923Q0026
Offeror Representations and Certifications-Commercial Products or Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision—
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".
(d) Representation. The Offeror represents that—
(1) It ☐ will, ☐ will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that—

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and
(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

CONTRACTING OFFICER'S REPRESENTATIVE (COR)
(a) [TO BE ASSIGNED BY SEPARATE LETTER AT CONTRACT AWARD] is hereby designated as the Contracting Officer's Representative (COR). The COR may be changed at any time by the Government without prior notice to the Contractor by a unilateral modification to the contract. The COR is located at:
(b) The responsibilities and limitations of the COR are as follows:
(1) The COR is responsible for the technical aspects of the contract and serves as technical liaison with the Contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.
(2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the Contractor.

GOVERNMENT-CONTRACTOR RELATIONSHIP(S)
The Government and the Contractor understand that the services to be provided under this purchase order by the Contractor are non-personal services and that no employer-employee relationship exists between the Government and the contract-employees assigned as key personnel under this contract. The Contracting Officer's Representative (COR) may provide technical direction, which will assist the Contractor in accomplishing the PWS.
QUALITY CONTROL/ASSURANCE MEASURES
The Contractor shall ensure that it has sufficient internal quality control measures to provide the Government with the highest quality deliverables noted in the call order.
QUALITY ASSESSMENT
The Government, through its COR, will be monitoring the contractor's standards of performance on a continuing basis over the call order performance period. The volume of work performed by the contractor may make technical inspections of every step impractical. Accordingly, the Government will use a quality-assurance review process, to monitor the contractor's performance under the call order. The contractor's performance standards will be evaluated by the COR.

The Government will contact the contractor to discuss any "Unsatisfactory" rating received during any of the quality-assurance review rating areas prior to making a final determination on that element of call order performance. The contractor may respond in writing to each "Unsatisfactory" rating within five (5) working days after the discussion, and the Government will consider such responses before making a final rating determination. Performance at the "Satisfactory" level is expected from the contractor and may not be documented in detail.
In general, the work will be evaluated in terms of how well the requirements of the individual work items are satisfied, the extent to which the contractor independently performs, generation of high-quality deliverable(s), the timeliness of scheduled task(s) accomplishment, and the ability of the contractor to meet the fleet requirements in concert with other ongoing task assignments.
