About this file

This Sole Source Justification document details a sole-source procurement by the U.S. Department of Labor's Employee Benefits Security Administration (EBSA) for expert witness support services related to an investigation of Western Global Airlines' Employee Stock Ownership Plan (ESOP). The contract will be awarded to Kirkland Messina Inc. for one 12-month base period with two 12-month option periods, with a primary objective of determining the fair market value of a minority interest in a cargo airline company and providing expert analysis for potential litigation.

The expert will perform three key tasks: (1) analyze and provide an independent opinion on the ESOP's stock purchase valuation, including assessing transaction fairness and potential damages, (2) prepare a detailed written report compliant with Federal Rule of Civil Procedure 26(a)(2)(B), review opposing expert reports, and potentially create a rebuttal report, and (3) prepare for and provide trial testimony. After conducting market research involving 15 potential vendors, EBSA selected Kirkland Messina Inc. based on the founder's extensive experience with ESOP transactions, aviation industry knowledge, and demonstrated ability to serve as a testifying witness. The procurement is being conducted under FAR 6.302-3(a)(2)(iii) to acquire expert services for anticipated litigation.
