SECTION 01020 – GENERAL PROVISIONS AND COVENANTS
Part 1 - INSTRUCTIONS TO BIDDERS
1.1 GENERAL
A. This section incorporates the Instructions to Bidders. Bidders shall comply with the provisions of the Instructions to Bidders. The Instructions to Bidders in this section are also included in the contract document package issued by the Jurisdiction for this project.
B. Bidders submitting bids on this project must be the Prime General Contractor.
No subcontractor shall bid this project directly to the owner.
1.2 PREPARATION OF BIDS
A. Unless otherwise directed in the advertisement of bids, bids shall be submitted in single copy and forms furnished or copies thereof shall be used. Strict compliance with the requirements of the advertisement, these instructions and the instructions printed on the forms are mandatory for all bidders. Special care should be exercised in the preparation of bids. All designations and prices shall be fully and clearly set forth. The proper blank spaces in the Bidder's Bid Form shall be suitably filled in. If bid is submitted by an artificial entity, it must be executed by an officer of such entity with authority to bind such bidder to perform contract upon award. Business address of bidder shall be typed or printed on bid.
B. Bidders shall fully inform themselves of all the conditions under which the work is to be performed or which might affect the work, including but not limited to, the site of the work, the structure of the ground, the obstacles which may be encountered above and below ground and all other relevant matters concerning the work to be performed. If awarded the contract, a bidder shall not be allowed any extra compensation by reason of any matter or thing concerning which such bidder might or should have fully informed himself, or because of the bidder's failure to have so informed himself prior to the bidding.
C. Where borings, test piles, and existing underground and overhead structures locations are shown, they are for the information of the Jurisdiction; their correctness is not guaranteed by the Jurisdiction, and in no event is this information to be considered as a part of the contract. If this information is used by a bidder in preparing the bid, the bidder must assume all risks resulting from conditions differing from the approximation shown. If bidders desire to obtain such data, the Jurisdiction will afford them the opportunity, at their own expense, to make borings or soundings, to drive test piles, or to dig test pits on the site of
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 2
the work.
D. The bidder is expected to base the bid on materials and equipment complying fully with the plans and specifications, and in the event the bidder prepares the bid based on materials or equipment which do not conform, the bidder will be responsible for furnishing materials and equipment which fully conform at no change in the bid price, and to remove at no cost to the Jurisdiction any nonconforming materials placed.
E. All items shown in the Bidder's Bid Form MUST be bid upon unless otherwise directed in the General Requirements, Special Provisions, General Conditions, or Supplementary Conditions. Prices shall cover complete work and include all costs incidental thereto. Bidder will indicate its bid price in dollars.
F. Alternative bids will not be considered unless called for.
G. Erasures or other changes in the bids must be explained or noted over the signatures of the bidder.
H. The bidder shall not stipulate in the Bidder's Bid Form any conditions not already contained in the Form.
I. Attention of bidder is directed to the fact that contracts for work other than proposed work may have been awarded or may be awarded in the future.
Completion of proposed work may be contingent upon certain work by others or covered by other contracts being performed on the project in advance of this work, likewise, completion of work by others or covered by other contracts may be dependent upon completion of proposed work. Bidder is expected to become familiar with work already in progress or previously let on this project, contract periods, progress being made, and any other conditions regarding that work which may affect bid or bidder's performance under this contract.
1. The successful bidder must employ, so far as possible, such methods and means in the carrying out of the work as will not cause any interruption or interference with any other contractors.
2. In event disputes arise between contractors or other agencies, or both, doing work on project as to their mutual rights or obligations, Contracting Officer will act as referee and define rights of all interested parties with regard to conduct of work, which decision will be final.
1.3 INTERPRETATION OF CONTRACT DOCUMENTS
A. If any person contemplating submitting a bid for this project becomes aware of an error in or is in doubt as to the true meaning of any part of the plans, specifications, or other proposed contract documents, the person should submit to the Contracting Officer a written request for a correction or an interpretation thereof. The person submitting the request will be responsible for its prompt delivery, which must be not later than 5 days prior to the specified bid opening
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 3
date or in the case of an error as soon as discovered. Any interpretation of the proposed documents will be made only by addendum duly issued or delivered to each person receiving a set of such documents. The Jurisdiction will not be responsible for any other explanations or interpretations of the proposed documents.
1.4 INTERPRETATION OF ESTIMATES
A. An estimate of quantities of work to be done and materials to be furnished under these specifications will not be provided for this project.
1.5 LABOR AND MATERIALS NOT TO BE FURNISHED BY THE OWNER
A. The Jurisdiction will not furnish any labor, material or supplies unless specifically provided for in the contract.
1.6 TAXES
A. Bidder shall include in its bid all amounts payable by bidder or Jurisdiction on account of taxes imposed by the Tribe and the State of South Dakota on the sale, purchase, or use of materials, labor, and equipment covered by contract documents. This is also true for the bidder’s subcontractors. All sales of foregoing description shall be paid by bidder.
1.7 TRIBAL FEES AND AGREEMENTS
A. Bidder shall include in its bid all amounts payable by bidder or Jurisdiction on account of fees and agreements imposed by the local Tribe that include the following:
1. TERO fee of 4% on the total contract amount paid to the Tribal Employment Right Office (TERO). Contact the TERO office for the amount required per project.
2. Solid Waste fee of 1% on the total contract amount paid to the Tribal Employment Right Office (TERO). Contact the TERO office for the amount required per project.
3. TERO excise tax shall be paid to the Tribal Employment Right Office
(TERO).
4. Business License fee for each company that works on the project, both contractor and subcontractors paid to the TERO office. This fee will grant the contractor and subcontractors the right to work on the Tribal land.
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 4
Contact the TERO office for the amount required.
5. Annual Individual Work Permit fee paid to TERO. Contact the TERO office for the amount required per person.
6. The contractor is required to comply with all TERO Regulations. Contact the TERO office for a copy of the TERO Regulations.
7. Davis Bacon or TERO wages, whichever is higher apply to this project.
Davis Bacon wages applies to “contractors and subcontractors" performing on federally funded or assisted contracts in excess of $2,000 for the construction, alteration, or repair (including painting and decorating) of public buildings or public works”… and the State of South Dakota on the sale, purchase, or use of materials, labor, and equipment covered by contract documents. This is also true for the bidder’s subcontractors. All sales of foregoing description shall be paid by bidder.
1.8 BID SECURITY
A. Each bid shall be accompanied by cash or a bid bond, a certified check or a cashier's check drawn on a South Dakota bank or any bank located outside of South Dakota which is chartered under the laws of the United States, or a certified union share draft drawn on a credit union in South Dakota or chartered under the laws of the United States, for the amount specified in the "Advertisement for Bids" and made payable to the Owner. Should the bidder receiving the award fail to execute a satisfactory contract and file an acceptable contract bond and insurance within 10 days after tender of prescribed forms to the Contractor, unless additional time is allowed by the CO/COR, the cash or bond shall be forfeited or the check shall be cashed and the full amount retained by the Jurisdiction as fixed and liquidated damages
B. If security is in the form of a certified or cashier's check, or a union share draft, the Jurisdiction may make such disposition of the same as will accomplish the purpose for which submitted. Certified or cashier's checks or union share drafts may be held uncollected at the bidder's risk.
C. If the bidder chooses to submit a "Bid Bond" with the bid, the "Bid Bond" form included in these specifications must be used.
D. The checks or bid bonds of the two lowest bidders will be held until the contract is approved, signed and delivered to the successful bidder. The balance of such checks submitted will be returned within 3 days after the opening of bids. If all bids are rejected, all bid security will be promptly released.
1.9 "STATEMENT OF INTENT" AND EQUAL OPPORTUNITY STATEMENT
A. The bidder must complete and sign the "Statement of Intent", Non-discrimination
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 5
Equal Opportunity Statement included in the back of the bid documents. This signed statement must be submitted with the bid.
1.10 BIDS SEALED
A. Bids, with the bid security, must be securely sealed in suitable envelopes, addressed and marked ON THE OUTSIDE with the project number, name of the project and name of the bidder. A corporation, limited liability company, or limited partnership shall bid the name under which it is registered with the South Dakota Secretary of State. A partnership shall bid in name under which it is registered with the County Recorder. An individual operating under a trade name shall bid using trade name registered with County Recorder if such registration is required. Bidder's exact name as registered, if required, shall appear as the "principal" on any Bid Bond and shall appear on any cashier's check or share draft submitted to fulfill bid security requirements. A bidder's failure to satisfy these requirements may be grounds for rejection of bidder's bid.
1.11 ERRORS IN BID
A. Bidders or their authorized agents are expected to examine the contract documents pertaining to the work, which will be open to their inspection. Failure to do so will be at the bidder's own risk, and he cannot secure relief on the plea of error in the bid. All figures shall be in ink or typed. If there is a discrepancy between the written unit price, the unit price in figures, extensions, or the total amount of the bid, the written unit prices shall govern.
1.12 TIME FOR RECEIVING BIDS
A. Bids received prior to the time of opening will be securely kept, unopened. The official whose duty it is to open them will decide when the specified time has arrived, and no bid received thereafter will be considered. No responsibility will attach to Jurisdiction for the premature opening of a bid not properly addressed and identified. Unless specifically authorized, telegraphic bids will not be considered.
1.13 WITHDRAWAL OF BIDS
A. Bids may be withdrawn on written or telegraphic request received from bidders prior to the time fixed for opening. Negligence on the part of the bidder in preparing the bid confers no right for the withdrawal of the bid after it has been opened.
B. Modifications or corrections to bids may be made on withdrawn bid provided
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 6
such modifications or corrections are initialed by bidder and are received by Jurisdiction prior to time set for receiving bids. Modifications or corrections to a bid will not be accepted if modifications or corrections render bid security inadequate or if not accompanied by sufficient additional bid security.
C. If a bidder has requested in writing to withdraw its bid, said bidder may submit a different bid and bid security at that time or any time prior to time set for receiving bids.
D. A bidder shall not withdraw its bid for a period of 30 days after date designated for opening of bids, or such other period of time specified in notice. However, in those projects involving special assessments and confirmation by district court, no bidder shall withdraw its bid for a period of 30 days after confirmation of assessments by the court.
1.14 BIDDER'S QUALIFICATIONS
A. Bidder must be qualified by experience, financing and equipment to do work described in contract documents. Whenever required in Special Provisions, bidder shall furnish a statement of its construction experience and its general ability to perform work contemplated and shall submit same along with its bid.
B. Jurisdiction shall have right to take such action as it may deem necessary in determining ability of bidder to perform work satisfactorily. Jurisdiction reserves right to reject any bid which is not responsive to Bid Form or contract documents, or not submitted by a responsible bidder.
C. Upon request of Contracting Officer, bidder whose bid is under consideration for award of contract shall submit evidence of its financial resources, construction experience, and organization available for performance of proposed work.
Bidder's inability to promptly secure required bonds and insurance coverage for proposed work as well as bidder's demonstrated inability to continuously maintain insurance coverage on past projects, may be considered as an indication of financial irresponsibility and bidder's disqualification as a responsible bidder.
1.15 BIDDER'S CERTIFICATION
A. By submission of its bid, bidder certifies that its bid is genuine and is not made in the interest of, or in behalf of, any undisclosed person, firm or corporation; is not submitted in conformity with any agreement or rules of any group, association, organization or corporation; that bidder has not directly or indirectly induced or solicited any other bidder to put in a false or sham bid; that bidder has not solicited or induced any person, firm or corporation to refrain from bidding; and that bidder has not sought, by collusion or otherwise, to obtain for itself any advantage over any other bidder or over Jurisdiction.
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 7
1.16 DISQUALIFICATION OF BIDDERS
A. Any one or more of the following causes may be considered as sufficient for the disqualification of bidder and the rejection of his bid or bids:
1. More than one bid for the same work from an individual, firm, partnership or corporation under the same or different names.
2. Evidence of collusion among bidders. Participants in such collusion may receive no recognition as bidders for any further work.
3. Lack of responsibility as shown by past work judged from the standpoint of workmanship and progress.
4. Incomplete work which in the judgment of the Owner might hinder or prevent the prompt completion of additional work if awarded.
5. For being in arrears on existing contracts, in litigation with the Jurisdiction, or having defaulted on a previous contract.
1.17 IRREGULAR AND NONRESPONSIVE BIDS
A. Bids may be considered irregular and may be rejected for any unauthorized changes in Bid Form or for any of the following reasons:
1. If submitted on a form other than that furnished by Jurisdiction, or if form is altered or any part hereof is detached or missing.
2. If bidder submits an obviously unbalanced bid. An unbalanced bid shall be defined as a bid containing lump sum prices or unit prices which do not reflect reasonable actual costs plus a reasonable proportionate share of bidder's anticipated profit, overhead costs, and other indirect costs to complete that item.
3. If bid does not contain a unit price for each pay item listed, except in case of authorized alternate pay items; or
4. If bidder submits more than one bid for same work under same or different names.
B. Bids may be considered nonresponsive and shall be rejected for any of the following reasons:
1. If there are unauthorized additions, conditional or alternate bids, or irregularities of any kind which may tend to make bid incomplete, indefinite, or ambiguous as to its meaning.
2. If bidder adds any provisions reserving right to accept or reject an award or to enter into contract pursuant to an award.
3. If a bid on one project is tied to a bid on any other project, except as specifically authorized on Bid Form by Jurisdiction.
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 8
4. If bidder makes corrections or alterations to unit prices it submits and such corrections or alterations are not initialed by bidder. Jurisdiction may require bidder to identify any corrections or alterations so initialed.
5. If bidder makes any omission of prices on items shown on bid forms, or any addition in writing to form of bid, or any condition or limitation on its bid.
6. If the bid is accompanied by unacceptable bid security.
7. If the bid does not acknowledge addenda to contract documents issued by Jurisdiction it will be rejected, except in those instances where addendum not acknowledged by a bidder will have no effect on bid price or where low bidder agrees to perform work called for in addendum at price bid.
Acknowledgment of receipt of each addendum shall be made by inserting the number of each addendum in the appropriate blank provided for such acknowledgment in bid.
8. If the bidder specifies the use of materials, workmanship, methods or equipment which are not in conformance with contract documents.
C. If bidder notes a requirement in contract documents which it believes will require a conditioned or unsolicited alternate bid, it shall immediately notify Jurisdictional Engineer in writing identifying such requirement. If Jurisdictional Engineer finds that such a requirement does exist in contract documents, Jurisdiction will make corrections thereto by addendum.
D. Bids will be evaluated by Jurisdiction pursuant to provisions of 1.18 - Award or Rejection of Bids.
1.18 AWARD OR REJECTION OF BIDS
A. At the time and place set forth in notice to bidders, bids will be opened. The bids will be opened and read in public meeting at the Engineer’s office.
B. The bid prices will be made public. Jurisdiction reserves right to accept bid which, in its judgment, is lowest responsible, responsive bid provided the bid is reasonable and in the interest of the Jurisdiction to accept the bid; to award contract by sections, if so specified in Special Provisions; to reject any or all bids; to reject irregular or nonresponsive bids as defined in 1.17 - Irregular and Nonresponsive Bids; and to waive irregularities and/or technical deficiencies in bids to extent allowed by law.
C. The bidder to whom the award is made will be notified at the earliest possible date. The contract will be awarded by Jurisdiction.
1. Jurisdiction reserves right to defer award of any contract for a period not to exceed 60 days from date of opening bids. No claims for compensable delay shall arise as a result of delays in approval of award.
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 9
2. The awarded bidder shall be required to submit, for approval by Jurisdiction, a list of names and subcontract amounts of all subcontractors who are expected to work on project. If after award of contract a subcontractor is replaced, or subcontract price or work under subcontract is changed, bidder shall disclose name of new subcontractor or revised subcontract price or change in scope of subcontract work. If a new subcontractor is added after award of contract, bidder shall disclose name of new subcontractor.
3. No contract is binding upon the Jurisdiction until the signed contract, surety bond, and insurance documents have been filed with the Jurisdiction, approved by the Jurisdiction Attorney, the contract executed by the person designated in the award resolution and the Owner and delivered to the Contractor.
4. The Contractor must start the work within 10 days of the date set by the CO/COR in written "Notice to Proceed" to be issued shortly after execution of the contract.
1.19 CORPORATIONS
A. A corporation, limited liability company, or limited partnership submitting a bid to perform work must be registered with South Dakota Secretary of State, must be authorized to do business in South Dakota, and must be registered as a contractor with South Dakota Department of Labor. A partnership or company operating under a trade name must be registered in the Office of County Recorder where it is located, or where work is to be performed, and must be registered as a contractor with South Dakota Department of Labor. A bidder's failure to satisfy these requirements shall be grounds for rejection of bidder's bid.
1.20 DEALERS OR MANUFACTURERS
A. In bids for supplies of manufactured articles, bidders will state whether they are manufacturers of or regular dealers in the articles. If practicable to do so, bidders who are not manufacturers will give the name of the manufacturer from whom the articles are to be obtained, including catalog references. No prototypes will be accepted.
1.21 MATERIAL GUARANTEE
A. Before any contract is awarded the bidder may be required to furnish a complete statement of the origin, composition or manufacturer of any or all materials proposed to be used in the construction of the work, together with samples, which may be subjected to the test provided for in these specifications and such other tests that may be necessary to determine their quality and fitness for the
GENERAL PROVISIONS AND COVENANTS - 1 01020 - 10
work.
1.22 SAMPLES
A. When samples are required, they must be submitted by the bidder so as to reach the office designated prior to the hour set for opening the bids. Samples shall be furnished free of expense to the Jurisdiction, properly marked for identification, and accompanied by a list when there is more than one sample. The Jurisdiction reserve the right to mutilate or destroy any sample submitted whenever it may be considered necessary to do so for the purpose of testing. Samples not so mutilated or destroyed, when no longer required to be retained in connection with the award or delivery of supplies, will be returned at the bidder's expense, if such return is requested in the bid.
1.23 EXECUTION OF CONTRACT AND BOND
A. The bidder to whom award is made must enter into a written contract on the approved contract form, present a certificate of insurance and bond in the amount required and any other required documents within 10 days after the prescribed forms are presented to him for signature unless a longer period of time is permitted by the Contracting Officer. The successful bidder to whom the contract is awarded will be required to file a performance and payment surety bond in a sum equal to the total amount of his bid including accepted alternates, which bond shall be on forms supplied by the Jurisdiction and in a form complying with the laws of the State of South Dakota relating thereto, and shall be conditioned upon the completion of the contract in accordance with the specifications. When required by law, or by the specifications, this bond shall include a clause guaranteeing maintenance of the work for the period stipulated.
B. Each contract must be executed in at least 5 original counterparts and there shall be executed original counterparts of the Contractor's performance and payment bond and maintenance bond in equal number to the executed original counterparts of the contract. The successful Contractor must provide the required insurance coverage as outlined in the General Conditions of the contract at the time of execution. The cost of executing the bonds and contract and insurance, including all notarial fees and expenses, are to be paid by the Contractor to whom the contract is awarded.
C. Failure to comply with any of the requirements of these Instructions to Bidders, to execute contract within 10 days after tender of the forms as specified or to furnish security or proof of insurance coverage as required shall at the option of the Jurisdiction be just cause for the annulment of the award. In the event of such annulment of the award, the amount of bid guarantee shall become the property of the Jurisdiction, not as a penalty but as liquidated damages. Award may then be made to the next best qualified bidder, or the work readvertised, or handled as the Jurisdiction may elect.
