ii. Indemnify the United States and the Grantor against all liabilities or costs relating to the use, handling, treatment, removal, storage, transportation, or disposal of hazardous materials, or release or discharge of any hazardous material from the premises that occurs during the term of the grant, regardless of fault, with the exception that the GRANTEE is not required to indemnify the Grantor for liability or cost arising from Grantor negligence or willful misconduct.

8. AMENDMENT (§169.204)
An amendment is required to change any provisions of the ROW grant. If the change is a material change, the BIA may require an application for a new ROW. The GRANTEE may request the BIA to amend a ROW to make an administrative modification that is clerical in nature, without meeting consent requirements, as long as the GRANTEE provides the Grantor with written notice. For all other amendments, the GRANTEE must meet the consent requirements in §169.107 and obtain BIA approval under §169.205 & §169.206.
9. ASSIGNMENT (§169.207)
The GRANTEE may assign the ROW with the consent of the Grantor and with BIA approval. The GRANTEE and Assignee are required to provide a copy of the assignment and supporting documentation to BIA for recording in the Land Titles and Records Office (LTRO) within 30 days of the assignment. Failure to do so may be considered a violation. Assignments that are the result of a corporate merger, acquisition, or transfer by operation of law are excluded from these requirements, except for the requirement to provide a copy of the assignment and supporting documentation to BIA for recording in the LTRO within 30 days.
10. MORTGAGES (§169.210)
The GRANTEE may not mortgage the ROW without Grantor consent. The GRANTEE must obtain BIA approval under §169.211 & §169.212. Within 30 days, a copy of the mortgage and supporting documents must be sent to BIA for recording in the LTRO.
11. EFFECTIVENESS (§169.301)
The ROW grant will be effective on the date it is approved by the BIA or on the date given under the DURATION section.
12. COMPLIANCE & ENFORCEMENT (§169.401 & §169.402)
Any abandonment, nonuse, or violation of the ROW grant, including but not limited to encroachments beyond the defined boundaries, accidental, willful, and/or incidental trespass, unauthorized new construction, changes in use not permitted in the grant, and late or insufficient payment may result in enforcement actions including, but not limited to, cancellation of the grant.
The BIA may promptly investigate compliance with a ROW if it has been notified by the Grantor that a specific abandonment, non-use, or violation has occurred. The BIA may enter the premises at any reasonable time, and may give notice to the GRANTEE and Grantor, to protect the interests of the Grantor and to determine if the GRANTEE is in compliance.
13. NEGOTIATED REMEDIES (§169.403)
The Grantor and GRANTEE may negotiate remedies, so long as the agreement specifies the manner in which the remedies may be exercised by or on behalf of the Grantor. The Grantor does not have the power to terminate the ROW. The GRANTEE does not have the power to terminate the ROW. The GRANTEE must give proof to the BIA that the GRANTEE notified any surety of any violation that may result in termination of this ROW. The Grantor may request BIA assistance in enforcing negotiated remedies.
14. VIOLATIONS (§169.404)
The BIA will consult with the Grantor and determine whether a violation has occurred. If the BIA determines there is a violation of the conditions of this grant, the BIA will promptly send the GRANTEE a written notice of violation and will provide constructive notice to the Grantor. The notice of violation will advise the GRANTEE that, within 10 business days of the receipt of a notice of violation, the GRANTEE must either: (1) Cure the violation and notify the BIA in writing that the violation has been cured; (2) Dispute BIA’s determination that a violation has occurred;
(3) Request additional time to cure the violation. The notice of violation may order the GRANTEE to cease operations.
GRANTEE failure to pay compensation in the time and manner required is a violation, and the BIA will issue a notice of violation. The BIA will send the GRANTEE a written notice of violation promptly following the date on which the payment was due. The BIA will provide constructive notice to the Grantor. The notice of violation will require the GRANTEE to provide adequate proof of payment. The GRANTEE is responsible for the obligations of payment until the grant expires, is cancelled, or terminated, as well as any reclamation or other obligations that survive the end of this ROW grant.
15. UNCURED VIOLATIONS (§169.405)
If the GRANTEE does not cure a violation within the required time period, or provide adequate proof of payment as required in the notice of violation, the BIA will consult with the Grantor and determine whether: (1) The BIA will cancel the grant; (2) The Grantor wishes to invoke any remedies; (3) The BIA will invoke other remedies available under applicable law, including collection on any available bond or, for failure to pay compensation, referral of the debt to the Department of the Treasury for collection; or (4) The GRANTEE should be granted additional time in which to cure the violation. Following consultation with the Grantor the BIA may take action to recover unpaid compensation and any associated late payment charges. The BIA need not cancel the grant or give any further notice to the GRANTEE before taking action to recover unpaid compensation. The BIA may take action to recover any unpaid compensation even if BIA cancels the ROW. If the BIA decides to cancel the grant, they will send the GRANTEE a cancellation letter by certified mail, return receipt requested, within five (5) business days of the decision. The BIA will send a copy of the cancellation letter to the Grantor. The cancellation letter will explain the grounds for cancellation; if applicable, notify the GRANTEE of the amount of any unpaid compensation or late payment charges due; notify the GRANTEE of their right to appeal under Part 2, Title 25, CFR, Appeals from Administrative Actions, including the possibility that the official to whom the appeal is made may require the GRANTEE to post an appeal bond; order the GRANTEE to vacate the property within thirty-one (31) days of the date of receipt of the cancellation letter, or within a longer period of time due to extraordinary circumstances that consider the protection of trust resources and the best interest of the Grantor, if an appeal is not filed by that time; and will order the GRANTEE to take any other action the BIA deems necessary to protect the Indian land. The BIA may invoke any other remedies available, including collecting on any available bond, and the Grantor may pursue any available remedies. The BIA will issue an appropriate instrument cancelling the ROW and transmit it to the LTRO for recording.
16. ROW CANCELLATION DUE TO NONUSE OR ABANDONMNET (§169.408)
The BIA may cancel, in whole or in part, the ROW 30 days after mailing written notice to the GRANTEE at its latest address, for a nonuse of the ROW for a consecutive 2-year period for the purpose for which it was granted. If the GRANTEE fails to correct the basis for cancellation within 30 days after BIA mailed the notice, the BIA will issue an appropriate instrument cancelling this ROW and transmit it to the LTRO for recording.
The BIA may cancel, in whole or in part, the ROW immediately upon abandonment of the ROW by the GRANTEE. The BIA will issue an appropriate instrument cancelling the ROW and transmit it to the LTRO for recording. The cancellation notice will notify the GRANTEE of the right to appeal under part 2, Title 25, CFR, Appeals from Administrative Actions, including the possibility that the official to whom the appeal is made will require the GRANTEE to post an appeal bond.
17. CANCELLATION (§169.409)
Cancellation of this ROW grant will not be effective until 31 days after the GRANTEE receives a cancellation letter from the BIA, or 41 days from the date the BIA mailed the letter, whichever is earlier. The cancellation decision will not be effective if an appeal is filed unless the cancellation is made immediately effective under part 2, Title 25, CFR, Appeals from Administrative Actions.
When a cancellation decision is not immediately effective, the GRANTEE must continue to pay compensation and comply with the other terms of the grant.
18. TRESPASS (§169.410)
If the GRANTEE remains in possession after the expiration, termination, or cancellation of this ROW, and is not accessing the land to perform reclamation or other remaining grant obligations, the BIA may treat the unauthorized possession as a trespass under applicable law and will communicate with Grantor in making the determination whether to treat the unauthorized possession as a trespass. Unless the parties have notified us in writing that they are engaged in good faith negotiations to renew or obtain a new ROW, the BIA may take action to recover possession on behalf of the Grantor, and pursue any additional remedies available under applicable law, such as a forcible entry and detainer action. The holdover time will be charged against the new term.
