About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) for a sole-source contract with ManTech Advanced Systems International, Inc. for SENTRIS software subscriptions and support for the Department of Defense (DoD) Chief Information Office (CIO) Special Access Programs (SAP) community. The five-year contract, valued at an undisclosed amount, will cover a 12-month base period and four 12-month option periods from March 26, 2025, to March 25, 2030.

The SENTRIS software is a proprietary platform critical for secure information exchange within the DoD SAP environment, currently supporting over 100,000 licenses across three SAP networks. Extensive market research confirmed ManTech as the sole provider, with no commercially available alternatives meeting the DoD's specific requirements. The software provides classification level controls, access management, and establishes trusted connections between DoD SAP organizations. The contract will include enterprise-wide premium Tier III support, with the option for DoD Mission Partners to procure additional on-site support, streamlining previous individual task order arrangements.

WASHINGTON, DC 20301-1155

Control # 2025-

JUSTIFICATION FOR

OTHER THAN FULL AND OPEN COMPETITION (JOFOC)

UNDER FEDERAL ACQUISITION REGULATION FAR SUBPART 6.3

1. AGENCY AND CONTRACTING ACTIVITY: The Department of Defense (DoD) Chief

Information Office (CIO) for Special Access programs (SAP) is the requiring activity. The DoD Washington Headquarters Services (WHS), Acquisition Directorate (AD), Enterprise Office of the Secretary of Defense Division (EOSD) is the contracting activity.

2. DESCRIPTION OF ACTION: This Justification and Approval supports a sole source, firm-fixed price contract award to ManTech Advanced Systems Internationals, Inc. for the renewal of SENTRIS software subscriptions and support. The estimated contract value is for a five-year Period-of-Performance (POP), consisting of a 12-month base period and four (4) 12-month option periods. Funding will be FY25 Operations and Maintenance appropriation.

3. DESCRIPTION OF SUPPLIES/SERVICES: DoD CIO for SAP requires the continuation of

SENTRIS software and support to provide an essential solution of exchanging secure voice, video, and data within the DoD SAP community. Specifically, SENTRIS software provides:

Defines classification levels, handling caveats and control markings.

Controls access to information based on classification label.

Authorizes users and network locations for specific classification levels, handling caveats and control markings.

Provides users with utilities to associate classification labels with the information that they create.

Establishes trusted connections with other DoD SAP organizations to allow for the sharing of classified information across DoD SAP organizational boundaries.

As stated herein the POP is 5-year as outlined in the following table.

4. AUTHORITY CITED: This action is authorized under the authority of 10 U.S.C. 3204(a)(1) and the regulatory authority of FAR 6.302-1/Defense FAR Supplement 206.302-1, only one responsible source and no other supplies or services will satisfy agency requirements. The software subscriptions and support are peculiar to a specific brand name, SENTRIS Software solution. For over a decade, the SENTRIS software tool has played a vital role in the SAP community, providing support through individual contracts and task orders with ManTech. In 2018, a significant step was taken to streamline this support: the established an enterprise agreement. This agreement consolidated licenses and Tier I/II support, covering up to 20,000 users across the SAP community.

Today, SENTRIS has far surpassed initial projections, now supporting over 100,000 licenses across three SAP networks. This growth highlights the critical role SENTRIS plays in fulfilling the DoD SAP community's need for a secure system to exchange voice, video, and data within and between multiple SAP environments. To meet evolving needs, the DoD SAP community requires continued access to SENTRIS and its advanced capabilities. This includes implementing enterprise-wide premium Tier III support, with the option for DoD Mission Partners to procure additional, individualized Tier III on-site support. This strategic approach will streamline operations by reducing reliance on individual task orders currently contracted through ManTech for this premium service.

5. REASON FOR AUTHORITY CITED: ManTech is the sole provider of the SENTRIS software platform, a proprietary system crucial to the DoD CIO SAP's Enterprise environment. This exclusivity is supported by FAR 6.302-1 and market research confirms no other commercially available alternative integrates with the DoD CIO SAP's existing infrastructure. While the initial 2018 SENTRIS Enterprise Software Agreement was awarded to ManTech through open competition, the software's proprietary nature necessitates continued sole-source procurement.

Only ManTech, as the OEM, can provide and support the SENTRIS platform; no other entity can fulfill the DoD CIO SAP's specific requirements. Discontinuing SENTRIS procurement would severely impact the DoD CIO SAP community. Users would lose workstation access, and critical classification controls would revert to manual processes, jeopardizing the security of classified information and increasing the risk of unauthorized disclosures.

6. EFFORTS TO OBTAIN COMPETITION: A notice of the proposed contract action was posted on

SAM.gov on February 13, 2025, as required by FAR 5.2, with the intention to award a sole source contract to ManTech Advanced Systems International, Inc., a subsidiary to ManTech International Corporation. In addition, a redacted JOFOC will be published on SAM.gov website, as required by FAR 6.303-1 and 6.305.

7. FAIR AND REASONABLE COST DETERMINATION: I hereby determine that the anticipated price for this contract action will be fair and reasonable. The techniques identified at FAR 15.404- 1(b) will be used to ensure the award will be at a fair and reasonable price. These techniques include:

Comparison of the proposed prices to historical and existing prices paid, whether by the

Government or other than the Government, for the same or similar items.

Comparison with competitive published price lists and published market prices of the same commodities.

Comparison of proposed prices with the independent Government cost estimate.

Certified Cost or Pricing Data are not required for this commercial item acquisition, in accordance with FAR 15.403-1(b)(3).

8. MARKET RESEARCH:

Extensive market research conducted throughout August and September 2024 confirms that ManTech International Corporation is the sole provider of the SENTRIS software platform and associated training. This conclusion is firmly supported by:

Comprehensive Information Gathering: The research encompassed a review of existing market analyses, consultations with government and industry experts, examination of commercial product catalogs and government contracts, direct engagement with ManTech, and analysis of their past contract awards.

Direct Confirmation from ManTech: A formal letter received on January 30, 2025, from ManTech unequivocally states their exclusive ownership and control over the SENTRIS platform and training, without reliance on distributors, resellers, or third-party training providers.

Further investigation revealed:

Absence of Alternatives: No other commercially available solutions currently meet the DoD’s minimum requirements for this specific functionality.

Procurement Limitations: SENTRIS is not offered through standard DoD acquisition channels, including the DoD Enterprise Software Initiative or General Services Administration contract vehicles, and ManTech does not authorize reseller distribution.

Consequently, the SENTRIS software platform, classified as a commercial item under FAR 2.101, represents a sole-source procurement requirement. The government remains committed to continuous market monitoring for the emergence of potential alternative solutions in the future.

9. OTHER FACTS: The DoD CIO SAP office has been successfully utilizing the SENTRIS software subscription since September 2018, no other third-party resellers are available on the market for this software subscription.

10. INTERESTED SOURCES: None. When market research was conducted, no other sources expressed interest in this requirement. As stated in Paragraph 6 above, a synopsis was published prior to issuance of solicitation or contract award.

11. ACTIONS TO INCREASE COMPETITION: The market research revealed ManTech as the sole provider capable of fulfilling this specific requirement, with no other entities expressing interest.

Should ManTech opt to relinquish its proprietary rights – including legal ownership, copyright, and intellectual property – in favor of a fully open-source solution, the DoD CIO SAP will pursue a competitive acquisition strategy.

12. Is this acquisition for a non-competitive follow-on acquisition previously awarded on a non-competitive basis?

Yes. A copy of the previous justification is attached. The actions to remove any barriers to competition cited on the previous justification were were not completed but no other product was found to meet the current government requirements.
