About this file

This is a Justification for Other Than Full and Open Competition (JOFOC) filed by the Department of War's Washington Headquarters Services, Acquisition Directorate on March 5, 2026, to support a sole-source bridge contract award.

The Government seeks to award a bridge contract to the incumbent contractor, CeLeen, LLC, to provide specialized technical and staff support to the Office of the Under Secretary of War for Intelligence and Security (OUSW(I&S)) Programs, Resources, and Enterprise Management (PREM). The previous task order (HQ003421F0371) expired on February 28, 2026. A follow-on PREM Call Order (HQ003426FE077) was awarded to Comprehensive Approach Solutions, LLC on February 20, 2026; however, Sancorp Consulting, LLC filed a post-award protest on March 2, 2026, requiring the Government to suspend performance pending resolution by April 6, 2026. The bridge contract will maintain continuity of services during the protest resolution period. The contract utilizes a firm-fixed-price structure with a one-month base period and three one-month option periods, running from March 6, 2026 through July 9, 2026, funded with FY 2026 Operation and Maintenance funds. The estimated total value is redacted. The services comprise a mix of DoW civilian, military, Joint Duty Assignment, and contract personnel performing technical and staff support functions for intelligence and security enterprise oversight. The justification cites the critical need to avoid service interruption, significant onboarding and transition costs, knowledge transfer requirements, and regulatory compliance risks that would result from contractor transition. Market research was limited to a Synopsis posted on SAM.GOV on March 5, 2026, which received no responses. Fair and reasonable pricing will be determined through comparison to historical pricing under the previous contract and an Independent Government Cost Estimate.

DEPARTMENT OF WAR

WASHINGTON HEADQUARTERS SERVICES

1155 DEFENSE PENTAGON

WASHINGTON, DC 20301-1155

ACQUISITION DIRECTORATE

Control No.

March 5, 2026

JUSTIFICATION FOR

OTHER THAN FULL AND OPEN COMPETITION (JOFOC)

UNDER FEDERAL ACQUISITION REGULATION FAR SUBPART 6.3

1. AGENCY AND CONTRACTING ACTIVITY: The Department of War (DoW), Washington Headquarters Services, Acquisition Directorate (WHS/AD), Enterprise Research & Engineering Directorate (ERED), Technical Analysis Branch (TAB) on behalf of the Office of the Under Secretary of War for Intelligence and Security (OUSW(I&S)) Programs, Resources, and Enterprise Management (PREM).

2. DESCRIPTION OF ACTION: OUSW(I&S) PREM has a continuing need for specialized technical and staff support provided under task order no. HQ003421F0371, which was awarded to WWC Global and then novated to CeLeen, LLC (CeLeen) in 2023 with a period of performance (PoP) that expired on February 28, 2026. The follow-on support was planned to be incorporated into the PREM Call Order award on the OUSW(I&S) Enterprise BPA. On February 20, 2026, WHS/AD awarded the PREM Call Order, HQ003426FE077, to Comprehensive Approach Solutions, LLC (CAS). On February 20, 2026, the PREM Call Order award notices were sent to all Quoters. On February 24, 2026, WHS/AD issued brief explanation letters to the three unsuccessful quoters. On March 2, 2026, Sancorp Consulting, LLC (Sancorp), filed a post-award Agency Bid Protest to the Contracting Officer. In accordance with the FAR Overhaul - FAR Part Deviation Guidance 33.104-3 post-award protests received, within 10 days after contract award or within 5 days after a brief explanations issued date offered to the protester, the Contracting Officer must immediately suspend performance, pending resolution of the protest within the agency. Therefore, WHS/AD will need to issue a stop work order to CAS and suspend call order support services while the Government works to resolve the protest. The Agency decision will be due on or before Monday April 6, 2026, per FAR Overhaul 33.104-4(c)(1).

Consequently, WHS/AD intends to award a bridge contract to the incumbent, Celeen, in order to continue services to PREM. This bridge contract will utilize a firm-fixed-price (FFP) Contract Line-Item Numbers (CLINs) structure, with a total estimated value of , using fiscal year (FY) 2026, Operation and Maintenance (O&M) Funds. The PoP for this bridge contract will consist of a one-month base period and three one-month option periods from March 6, 2026, to July 9, 2026.

3. DESCRIPTION OF SUPPLIES/SERVICES: The DDI PREM requires specialized, technical, and staff support in various functional areas to fulfill its core functions: providing end-to-end oversight and advocacy for the War Intelligence and Security Enterprises to enable timely, accurate, relevant, and secure intelligence support and resources to War activities and operations.

involves the Government paying multiple vendors for the transition of different contracts for an estimated for continued support. These multiple transitions involve additional resources and unnecessary costs for the Government, and could cause unacceptable risks, and delays in services.

Additionally, if a new contractor were to come into the environment, it would cause a minimum gap in support due to the amount of time that it would take to bring on new personnel, conduct the appropriate security indoctrination procedures, issue new accounts, and grant accesses to respective applications. This process can take at least and would not account for any ramp up or training time that would be required, this could add another , resulting in a total transition. This sort of gap or work stoppage in support is unacceptable.

In order to maintain continuity of services, the execution of a bridge contract is the most logical and cost-effective solution to the Government as a break in support would be detrimental to the mission. Continued specialized support of contractor personnel is necessary to continue PREM’s ability to meet requirements across the DoW. The potential for losing this expert contract support for any protracted period while WHS/AD works to resolve the protest against the PREM Call Order poses a serious and significant risk to PREM’s mission.

6. EFFORTS TO OBTAIN COMPETITION: Due to the urgent need to extend services to avoid a lapse in contractor support, the Government posted a Synopsis on SAM.GOV to notify industry of its intent to extend services on March 5, 2026. The notice posted did not receive any responses.

7. FAIR AND REASONABLE COST DETERMINATION: The Contracting Officer determines that the anticipated prices will be fair and reasonable by using the techniques identified at FAR 15.404-1 “Proposal Analysis Techniques”, specifically FAR 15.404-1(b)(2)(ii) and FAR 15.404- 1(b)(2)(v) to ensure award will be at fair and reasonable prices. In addition, the Government will compare proposed prices set forth by Celeen to historical prices paid by the Government under the previous contract, HQ0034-20-F-0371. The Government will also compare proposed prices with the Independent Government Cost Estimate (IGCE) prepared for the period of performance bridge contract and request price reductions or discounts.

8. MARKET RESEARCH: Market Research has been limited to the NOI to sole source this action and was posted on SAM.gov as described in paragraph 6, above.

9. OTHER FACTS: Due to the irreparable damage that may result to PREM's mission should services be interrupted; a sole source contract will be negotiated with Celeen, LLC. The bridge contract is the most efficient and logical strategy and solution to the Government to avoid unacceptable delays in fulfilling the agency’s requirement and a potential gap in performance of critical services to PREM

10. INTERESTED SOURCES: To date, other sources have expressed an interest, feedback, or challenges in writing and bids or proposals have been received to the notice required by FAR 5.201, that was published on SAM.GOV to notify industry of its intent to execute the bridge contract.

11. ACTIONS TO INCREASE COMPETITION: The PREM support services requirement was competed with fair opportunity to the four holders under the WHS-AD OUSWI Enterprise BPA via the General Services Administration (GSA) Multiple Award Schedule (MAS) 8(a) Pool.

However, due to an agency protest filed against the PREM Call Order award made from the fair opportunity solicitation, and severe time constraints due to the protest being filed just days after the previous contract’s period of performance expired, the Government must stay the current call order performance and implement a bridge contract to CeLeen. Soliciting an open competition for a bridge contract for these services will take at least which would cause a gap in services. PREM’s mission cannot afford any interruption of services or resultant gap in services to compete an additional contract during the protest. There could be irreparable damage to PREM's mission should services be interrupted and/or delayed.

12. Is this acquisition for a non-competitive follow-on acquisition previously awarded on a non-competitive basis?

Yes. A copy of the previous justification is attached. The actions to remove any barriers to competition cited on the previous justification were were not completed.

No. The original acquisition was conducted on a competitive basis.

Not Applicable. This is a new requirement.
