DOD Washington Headquarters Service
About this file
This is a Justification for Other Than Full and Open Competition (JOFOC) document for a sole source bridge contract.
The Department of War's Washington Headquarters Services is seeking to award a sole source, twelve-month bridge contract to MASY Group, LLC for administrative and educational support services to the National Defense University (NDU) and National Intelligence College (NIC) from July 1, 2026 through June 30, 2027. The original competitive contract (2023-23032700001) was awarded to MASY by the Central Intelligence Agency and expires June 30, 2026. The Government intends this bridge contract to maintain service continuity while preparing a competitive long-term follow-on contract to be awarded in Fiscal Year 2027. Services include onboarding, orientation, student enrollment and registrar support, educational technology support, institutional efficiency data assessments, senior executive support, program management, research data analysis, library operations, adjunct faculty instruction, and IT specialist services. The contract will be structured as Firm Fixed Price with an estimated total value (redacted). The Government justifies sole source award based on the incumbent contractor's existing security clearances, institutional knowledge of NDU/NIC processes, and critical expertise necessary to prevent service interruption. Without continued contractor support, the 2026-2027 academic year would be cancelled, accreditation with the Middle States Commission on Higher Education would be jeopardized, and substantial financial costs would result. A Notice of Intent to Sole Source was posted on SAM.gov for eight days with no responses from industry. Fair and reasonable pricing will be determined using price analysis comparing proposed prices to historical costs and an Independent Government Cost Estimate. NDU plans to conduct full and open competition for a new long-term contract in Fiscal Year 2027.

WASHINGTON, DC 20301-1155
Controlled by: WHS-AD CUI Category (ies): PROCURE
Limited Dissemination Control: FEDCON

ACQUISITION DIRECTORATE
Control No. WHS-2026-2104
JUSTIFICATION FOR
OTHER THAN FULL AND OPEN COMPETITION (JOFOC)
UNDER FEDERAL ACQUISITION REGULATION FAR SUBPART 6.103
1. AGENCY AND CONTRACTING ACTIVITY: The Department of War (DoW), Washington Headquarters Services (WHS), Acquisition Directorate (AD), Enterprise Research and Engineering Division (ERED), Technical Analysis Services Branch (TASB) on behalf of the National Defense University (NDU)/National Intelligence College (NIC).
2. DESCRIPTION OF ACTION: NDU/NIC has a continuing need for administrative and educational support services to provide onboarding, orientation, enrollments and registrar student services, educational technology support, institutional efficiency data assessments and senior executive support to the NIC. The initial contract was awarded under by the Central Intelligence Agency (CIA) Contracting Office under contract number 2023- 23032700001 to MASY Group, LLC “MASY” as a competitive action and expires on 30 June 2026. The Government intends to award a sole source bridge to MASY without using full and open competition, for continuity of critical services while the Government works to award a competitive, long-term, follow-on contract. The bridge contract will be awarded as a Firm Fixed Price (FFP) with a total estimated value of with a twelve-month period of performance from 01 July 2026 to 30 June 2027.
3. DESCRIPTION OF SUPPLIES/SERVICES: To accomplish NDU/NIC’s objective’s, the Government seeks to obtain the necessary non-personal support services to realize the Office of the President, Office of the Provost, Registrar / Enrollment and Library Operation’s mission critical needs. The services to be acquired include administrative, technical, and academic services. The contractor will provide experienced personnel to perform professional services, including program management, enrollment support, research data analysis, administrative executive support, library operations, adjunct faculty instruction, mission support and information technology (IT) specialist services.
Failure to extend these services would result in the cancellation of 2026-2027 academic year. If the services are not continued, this work would also have a negative impact on the university’s accreditation with the Middle States Commission on Higher Education (MSCHE). The contractor support services provided in academic administration, registering incoming students in classes, enrollment of new students for the fall quarter, preparing admissions packets for review and ranking by the admissions committee, data analysis for MSCHE mandatory reporting, and library operations are essential to uphold the academic standards and ensure the programs meet the required accreditation criteria.
Without the service support provided under the current contract, the NIC does not have the staff or faculty required to take on the additional workload. A disruption in these support services would place an additional burden on NIC faculty and staff, potentially impacting their productivity and ability to deliver the level of education that is required.
The potential financial impact of not awarding the sole-source bridge contract to the incumbent is substantial to the NDU and NIC. The estimated value of this bridge contract action in the amount of represents the cost of maintaining critical support services to the NIC during a period of transition and uncertainty. Without this support, the NIC would likely incur significant additional costs in the future to “catch-up” on the backlog of missed tasks related to the delivery of administrative and educational support during the work outage. Performance of preventative maintenance and day-to-day input of student information would also have a significant financial impact depending on the final length of a gap in services and the backfill of personnel with government personnel versus contractor personnel. With up to 90% of the NIC faculty and staff dedicated to student success, the amount of civilian pay that would be spent to backfill the vacant positions during a canceled academic year
EFFORTS TO OBTAIN COMPETITION: On , WHS/AD issued Notice of Intent (NOI) to Sole Source on SAM.gov. The NOI was posted for 8 days and closed on due to the urgency of awarding the contract for this requirement.
However, the Government received no responses back from industry in response to the
NOI.
7. FAIR AND REASONABLE COST DETERMINATION: The Contracting Officer
(CO) determines that the anticipated price for this contract action will be fair and reasonable based on the techniques identified at RFO FAR 15.404-1 “Price Analysis,” specifically FAR 15.404-1(b)(2) Comparison of the proposed prices to historical prices paid and FAR 15.404-1(b)(5) Comparison of proposed prices with independent Government cost estimates, to ensure award will be at fair and reasonable prices.
Additionally, the Government will compare proposed prices set forth by MASY to historical prices paid by the Government under the current contract as well as compare the estimated prices with the Independent Government Cost Estimate (IGCE). prepared for the bridge contract.
8. MARKET RESEARCH: Market research has been limited to the NOI to sole source this action and was posted on SAM.gov as described in paragraph 6, above. Therefore, it was determined that the current vendor is the only source that can provide the required services with the necessary continuity and expertise in such a limited amount of time.
WHS/AD will solicit this effort as a sole source bridge contract to the MASY with a POP of 12 months to maintain continuity of support being provided to the NDU/NIC. The bridge contract is the most efficient and logical strategy and solution to the Government to avoid unacceptable delays in fulfilling the agency’s requirement and a potential gap in performance of critical services to NDU/NIC.
9. OTHER FACTS: Due to the irreparable damage that may result in NDU's mission, should services be interrupted; a sole source bridge contract extension will be negotiated with MASY. MASY has been critically instrumental to the success and continuation of the DoW mission.
10. INTERESTED SOURCES: To Date, no other sources have expressed an interest, feedback, or challenges in writing and no bids or proposals have been received to the NOI required by RFO 5.002, that was published on SAM.gov to notify industry of its intent to extend services.
11. ACTIONS TO INCREASE COMPETITION: NDU plans to conduct a full and open competition for a new long term contract in the Fiscal Year 2027, allowing for a competitive procurement process without sacrificing mission success.
12. Is this acquisition for a non-competitive follow-on acquisition previously awarded on a non-competitive basis?
Yes. A copy of the previous justification is attached. The actions to remove any barriers to competition cited on the previous justification were were not completed
No. The original acquisition was conducted on a competitive basis.
Not Applicable. This is a new requirement.
