FAR Part 16 Exception to Fair Opportunity Justification Under Multiple Award Indefinite Delivery Contracts

For Actions Below the Simplified Acquisition Threshold (SAT)

1. Contracting Activity: The Contracting Activity is the United States Army Medical Research Acquisition Activity (USAMRAA). The Requiring Activity is the Walter Reed Army Institute of Research (WRAIR).

2. Description of Action: This is a modification to the Two Factor Authentication contract under W81XWH-17-P-0267. This modification is required to upgrade and replace the CAC authentication system for WRAIR’s subordinate AFRIMS laboratory in Thailand due to the Government’s loss of the master PIN codes for this system. WRAIR’s Information Management Division (IMD) requests a modification to the firm-fixed-price, contract with Identisys, Inc.

An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).

3. Description of Supplies/Services: The contractor shall upgrade an existing CAC system for the AFRIMS Thailand laboratory with the associated new Government PIN codes. CAC OCONUS contract is currently in its last option with a Period of Performance of 14 September 2019 to 13 September 2020. The cost of the CAC OCONUS upgrade is $123,208.49.

On 17 June 2020, Contract Specialist confirmed via e-mail from Vendor POC, Identisys can commit to having this system upgrade completed before 13 September 2020 POP end date as long as this modification is signed by the Contracting Officer by 30 June 2020.

4. Authority Cited:

FAR 16.505(b)(2)(i)(B)– Only one awardee is capable of providing the services required at the level of quality required because the services ordered are unique or highly specialized.

The existing equipment and software used for CAC authentication at the overseas locations is proprietary to Identysis, Inc. The OCONUS Two factor authentication system is based upon Identysis’ proprietary Hardware Security Module (HSM) and associated software AXIAD IDS, Activ Identity credential, Activ ID Middleware, and nSheild Solo remote.

Identysis, Inc. is the only vendor capable of providing CAC authentication system maintenance and upgrades as they are the only contractor who can replace the lost PIN codes that are compatible with the existing software. Without these PIN codes, the entire AFIRMS system would need to be replaced. This would cause a cascading effect of having to change out the similar Kenya and Georgia authentication systems that have not lost the Government Master PIN codes. As a result, Identysis is the only vendor capable of supporting this requirement.

5. Fair and Reasonable Determination:

This is a commercial product and services where similar products can be surveyed to determine fair and reasonableness of the prices.

6. Supporting Justification:

None

7. Removing Barriers to Competition: Market research was conducted on 8 April 2020 via internet research to identify all possible vendors to provide the necessary services, and evaluate the cost of replacing the existing system with an alternative. However, no feasible alternative vendor could be found as Identysis does not make available its proprietary information or products to other contractors. It is more advantageous to the Government to obtain the services from Identysis and the master PIN codes from the existing vendor rather than procure a replacement system.

In accordance with FAR 5.201, a notice was published on 17 June 2020 on BetaSAM announcing the Government’s intent to award a sole source contract to Identisys on a non-competitive basis.

At the closing of the synopsis on 22 June 2020, no other potential sources were obtained.

9. Technical Certification: I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.

12. Requirements Certification: I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.

11. Fair and Reasonable Determination: I hereby determine that the anticipated price to the Government for this contract action will be fair and reasonable based upon commercial products review and analysis.

I certify that this justification is accurate and complete to the best of my knowledge and belief, and that completing this purchase as a sole source is in the best interest of the Government.

Additionally, I approve this justification to limit competition subject to the availability of funds and provided that the services or supplies herein described have otherwise been authorized for acquisition.

12. Contracting Officer Certification: I certify that this justification is accurate and complete to the best of my knowledge and belief.

Contracting Officer reviewed and certified.
