The Government has unlimited rights to all documents/material and source code produced under this contract. Contractor shall give all documents and materials, to include the source codes of any software, produced under this contract to the Government owned and are the property of the Government with all rights and privileges of ownership/copyright belonging exclusively to the Government. Contractor shall not use, share, or sell any documents and materials produced under this contract without written permission from the Contract Officer. All materials supplied to the Government will be the sole property of the Government and may not be used for any other purpose. This right does not abrogate any other Government rights.
Team Arrangements:
The MATOC Holder shall be the prime contractor for any order placed under this MATOC, regardless of any teaming arrangements it may make with other firms. The MATOC Holder shall be solely responsible for providing the ordered services, and payment for the accepted services will be made only to the MATOC Holder/Contractor.
MATOC contractor Technical Staff Sub-contractors must be identified and listed within the MATOC proposal. Any new sub-contractor not listed in the MATOC contract will require approval from the Contracting Officers Representative (COR) prior to being authorized to perform services under this MATOC. All employees of the MATOC Holder, including sub-contractors, performing work on this MATOC, must be US Citizens.
MATOC Ordering Process:
Upon identifying requirements that are within the scope of this MATOC, the Government will issue Task Order Requests for Proposal (TORFPs) to the MATOC Holder. The TORFPs will include 1) a Performance Work Statement describing the work to be performed; 2) any special contractual requirements that will apply to the order, to include delivery requirements/performance schedules; 3) any applicable Service Contract Act wage determinations; and 4) quotation preparation and submittal instructions. Quotations will generally consist of 1) technical/capability information, 2) a lump sum FIRM FIXED PRICE (inclusive of all labor, materials, travel, expenses, etc), and 3) a price breakdown for the price quotation by labor categories with estimated hours at the established hourly rates and all associated Other Direct Costs, to include but not limited to travel, facilities rental, ETC. The Government will evaluate every proposal that is timely received and will select the proposal that demonstrates the best value to the Government, based on the criteria established in the TORFP. The Government will then issue the task order. All task orders will be issued on a firm fixed price basis. Upon issuance of the task order by the Contracting Officer, the order will become a binding contract between the Government and the MATOC Holder.
Other Sources: Although this MATOC will be the primary source of obtaining the required services described herein, this MATOC is not a required source for obtaining the services described herein. The determination of whether to use the MATOC to acquire services is reserved exclusively by the Government. Generally, the Government will elect to use the MATOC to obtain services but is not required to do so. The Government may perform services in-house, may solicit and award other contracts for work which could have been ordered under this MATOC, or may use other existing contracts (including Federal Supply Schedules).
Ordering Office:
Only the Humphreys Engineer Center Support Activity (HECSA) of the US Army Corps of Engineers, Contracting Officer is authorized to make awards and perform contract administration under this MATOC.
Minimum Guarantee:
A minimum guarantee of $X,XXX will be obligated at the time of award onto the base MATOC. Upon award of the first task order with a contract value of the minimum guarantee or greater, the minimum guarantee will be de-obligated. The Government is only obligated to the extent of authorized purchase actually made under the task orders. At the end of the entire contract term (including any exercised options), if no orders have been placed, the minimum guarantee will be paid to the contractor.
Term of the MATOC:
This MATOC will contain a five-year ordering period from the date established, unless terminated by the Government for Convenience or Default as applicable in accordance with applicable clauses in FAR Part 49. Should a MATOC Holder request its contract to be discontinued, all work on all existing task orders issued to the MATOC Holder requesting discontinuance shall be completed by the MATOC Holder. The Government may then elect to terminate the MATOC Holder’s contract in accordance with the applicable clauses in FAR Part 49 and no new orders will be issued to the MATOC Holder that requested discontinuance.
Period of Performance:
Each task order placed under the MATOC will have a separate period of performance. Once issued, the order and the period of performance are contractually binding.
Firm Fixed Price:
Orders placed under this MATOC will be firm fixed price. Price proposals must include all costs associated with performance of the required service, to include all labor, materials, travel, per diem, and any other direct, indirect, or incidental costs necessary for performance of the ordered services. Unless the order is modified in writing (e.g., there is a change in the scope of services ordered, travel has been underestimated), the obligated amount will not be adjusted. Price proposals for task orders under this MATOC will be evaluated to determine if a fair and reasonable price was achieved. The proposed mix of labor categories and quantity of labor hours will be evaluated against the Government’s Independent Cost Estimate and may be compared against other proposals. The Government shall not share proposals from a MATOC Holder with any other MATOC Holder. Hourly rates will be verified to ensure they math the negotiated labor rates for the SATOC.
Other Direct Costs (ODC’s):
Other Direct Costs, also known as incidental items, consist of those services and products (other than labor hours) needed to complete an order. The MATOC Holder is not required to provide a fixed price list of ODCs as part of the price proposal for the MATOC. However, each price proposal for a task order to be issued must include all ODCs required for successful performance of the required services. Additionally, the price proposal for each task order must include a breakdown to support the lump sum price quotation, which will include ODCs.
Invoices:
Contractor shall submit invoices for payment upon 100% completion of services/tasks, to include the review period as outlined in the pricing/payment schedule for each task order, unless monthly invoicing is approved. Monthly invoices will be addressed in individual task orders. Invoices must include all necessary information and shall include any necessary supporting documentation. Payment and invoicing instructions will be included in the Performance Work Statement with each order.
Contract Payments:
The Government will pay the Contractor/MATOC Holder upon submission of proper invoices for services delivered and accepted for the portion of the work performed under the order. The price for the task order may include a payment schedule based on task or product deliveries, but not for a percentage of completion. Deliverables must be accepted by the Government before payment will be made.
Partial Milestone Payments:
In general, payment will be made in arrears after completion and acceptance of ALL ordered services. However, for task orders with long performance periods the Government may consider requests for milestone payments based upon completion of specified tasks and/or receipt of deliverables. Milestone payments will not be made for orders with performance periods of 30 days or less or in amounts equal to or less than $2,500. A milestone payment schedule should be requested by the MATOC Holders as part of its proposal and an acceptable milestone payment schedule negotiated with the Government prior to the Government’s placement of the task order. Authorized milestone payments will not be made more frequently than monthly.
Safety and Accident Prevention:
In performing ordered services, the MATOC Holders/Contractors shall provide and maintain work environments and procedures which will (1) safeguard the public and Government personnel, property, materials, supplies, and equipment exposed to Contractor operations and activities; and (2) avoid interruptions of Government operations and delays in project completion dates. The Contractor shall take no direction from any Government employee or any other person other than the Government Contracting Officer that changes the terms and conditions of this contract action, the scope, or any change that impacts the cost, price, or schedule. Changes authorized by the Contracting Officer will be in the form of a written, official, signed modification to the contract action received by the Contractor before the Contractor will act upon those changes. The Contractor shall comply with the Changes clause of this contract when the contractor believes direction has been given from persons other than the Government Contracting Officer that equate to a change by notifying the Contractor Officer as directed by the clause. Any direction given by any Government employee or any other person outside their authority must be reported to the Contracting Officer. Contracting Officer Representatives (CORs) are limited to the authorities stated in the COR appointment letters. If a COR is appointed under this contract, they will be appointed by written letter from the Contracting Officer to the Contractor and COR specific to this contract only. COR appointment letters from previous contracts at this installation are not valid for this contract.
