All rights and obligations cease upon termination or expiration of this Contract, except for the rights and obligations and declarations which expressly or by their nature survive termination of this Contract, including without limitation this Section 17.4, and provisions regarding Contract definitions, warranties and liabilities, independent Contractor status and taxes and withholding, maximum compensation, Contractor’s duties of confidentiality, ownership and license of intellectual property and Deliverables, confidentiality and non-disclosure, Contractor’s representations and warranties, control of defense and settlement, remedies, return of OPRD property, dispute resolution, order of precedence, maintenance and access to records, notices, severability, successors and assigns, third party beneficiaries, waiver, headings, and integration.

17.5. Time is of the Essence. Contractor agrees that time is of the essence under this Contract.

17.6. Notice. Except as otherwise expressly provided in this Contract, any communications between the parties hereto or notices to be given hereunder must be given in writing by email, personal delivery, facsimile, or mailing the same, postage prepaid, to Contractor or OPRD at the email address, postal address or telephone number set forth in this Contract, or to such other addresses or numbers as either party may indicate pursuant to this Section 17.6. State Services Contract #9960 Page 11 of 30 effective on the day the transmitting machine generates a receipt of the successful transmission, if transmission was during normal business hours, or on the next business day, if transmission was outside normal business hours of the recipient. To be effective against OPRD, any notice transmitted by facsimile must be confirmed by telephone notice to OPRD’s Project Manager. Any communication or notice given by personal delivery is effective when actually delivered. Any notice given by email is effective when the sender receives confirmation of delivery, either by return email, or by demonstrating through other technological means that the email has been delivered to the intended email address.

17.7. No Third Party Beneficiaries. OPRD and Contractor are the only parties to this Contract and are the only parties entitled to enforce the terms of this Contract. 17.8. Severability. The parties agree that if any term or provision of this Contract is declared by a court of competent jurisdiction to be illegal or otherwise invalid, the validity of the remaining terms and provisions will not be affected, and the rights and obligations of the parties will be construed and enforced as if the Contract did not contain the particular term or provision held to be invalid.

Such waiver, consent, modification or change, if made, will be effective only in the specific instance and for the specific purpose given. The failure of OPRD to enforce any provision of this Contract in one instance will not constitute a waiver by OPRD of its right to enforce that or any other provision.

17.10. Amendments. OPRD may amend this Contract to the extent permitted by applicable statutes and administrative rules. No amendment to this Contract is effective unless it is in writing signed by the parties, and has been approved as required by applicable law.

In addition to other penalties that may be applicable, Contractor further acknowledges that if it makes, or causes to be made, a false claim or performs a prohibited act under the Oregon False Claims Act, the Oregon Attorney General may enforce the liabilities and penalties provided by the Oregon False Claims Act against Contractor. Contractor understands and agrees that any remedy that may be available under the Oregon False Claims Act is in addition to any other remedy available to the State or OPRD under this Contract or any other provision of law.

State Services Contract #9960 Page 13 of 30

EXHIBIT A

STATEMENT OF WORK

DATE(s) OR DATE RANGE OF WORK:

January 2 - June 30, 2027

Scope of Work:

Restore critical coastal prairie habitat for the Oregon silverspot butterfly, a state-listed and federally listed threatened species.

Contractor will manage this project with minimal supervision from OPRD Project Manager. This work requires professional-level knowledge and skills that include the following:

• experience implementing 10 or more habitat restoration projects at meadow sites where state-listed or federally listed species are present;

• knowledge of how to identify coastal prairie plant species, including grasses and forbs; and

• knowledge of how to map management actions using ESRI GIS mapping software provided by OPRD Project Manager and the U.S. Fish and Wildlife Service.

In addition, contractor is required to attend a mandatory pre-bid meeting on December 18th, 2023 at 11 AM.

All tasks implemented under this contract must conform with the U.S. Fish and Wildlife Service species recovery plan and management documents. Contractor shall be responsible for understanding and interpreting U.S. Fish and Wildlife Service biological opinions and Endangered Species Act requirements.

Site Description and Access:

The work outlined in this contract will primarily take place in Units 1, 2, 3, and 5 in Carl G. Washburne Memorial State Park (see attached maps). Cell service is not available along this section of the Oregon Coast.

Native plant materials for planting in January 2024 are stored at two locations: Carl G. Washburne Memorial State Park and William M. Tugman State Park. Contractor will transport all plant materials to the planting site from Carl G. Washburne Memorial State Park shop (1 mile one way) and William M. Tugman State Park (46 miles one way).

Access to the four units varies. Units 1 and 2 are steep (approximately 33% to 34% mean slope). Unit 1 is only accessible by a steep trail (a decommissioned road). From the parking area along Highway 101, plant materials, equipment, and fuel will be hauled either by hand or transported with an ATV uphill to the bottom of Unit 1. From there, all plant materials will then be carried by hand to the top of Unit 1 for planting. A pickup truck can be used to access the top of Unit 2. Because the site is “occupied” by a butterfly species that is both state-listed and federally listed as threatened, the contractor will be restricted to using tracked equipment only in designated areas that will be determined during the initial project site visit. Accessing both planting sites (Units 1 and 2) will require carrying by hand large amounts of plant material up steep slopes.

Unit 3 is flat (less than 5% slope) in topography while Unit 5 is moderately steep (approximately 30% mean slope).

Contractor will create an access point for each unit. This work will involve moving large rocks and downed trees, cutting trees, and grading an access point. After such work is done, contractor must move rocks and downed trees back to their original location (before the work began) to conceal the access point and to prevent public access.

Contractor OBLIGATIONS.

General Requirements. Contractor shall:

• Perform the work in accordance with the stated specifications, requirements, delivery schedule, and relevant industry standards;

State Services Contract #9960 Page 14 of 30

• Notify OPRD Project Manager and Washburne Management Unit Park Manager before accessing the site for any reason. Contractor shall notify OPRD Project Manager and Washburne Park Manager at least two business days before beginning a restoration treatment at the site;

• Allow only qualified staff to operate equipment on state land managed by OPRD;

• Provide all equipment, labor, materials, and supplies necessary to complete the requested work;

• Keep a record of the work performed, including sufficient detail to substantiate invoices;

• Report progress at site on a monthly basis or as needed to complete the work;

• Start date will be determined when OPRD receives clearance for work to begin from the State Historic Preservation Office (SHPO). Contractor will coordinate with OPRD’s Project Manager to determine start date of project. Once a start date is agreed upon, Contractor shall submit a work schedule to the OPRD’s Project Manager, detailing dates of work and start and stop times for work;

• Use absorbent pads or other containment devices when fueling equipment to prevent spillage;

• In the event of a fuel spill or hydraulic fluid leak, immediately notify OPRD’s Project Manager. Contractor is responsible for containment and cleanup, as required by all applicable laws and to the satisfaction of OPRD’s Project Manager;

• Carry fire safety equipment with HazMat Kit and proper spill response kit (including at a minimum two bales of absorbent pads, with a minimum size designed specifically for petroleum clean-up and an absorbent boom at least 30 feet in length) for inadvertent fuel spills;

• Operate all equipment in a safe and accident-free manner, and wear appropriate personal protective equipment (PPE) at all times while at the work site(s);

• Notify OPRD’s Project Manager in the event of an accident that did or could result in damage to OPRD property, to private property, or to the public;

• If cultural resources are discovered by Contractor, move to a different work area, flag the “suspected” area and immediately notify OPRD’s Project Manager and follow the Inadvertent Discovery Plan detailed below and in Exhibit B:

o Cultural resource means any archaeological or historical sites, buildings, structures, and artifacts that possess material evidence of human life and the culture of the prehistoric or historic past.

o Identification and Protection of Cultural Resources. Contractor acknowledges that cultural resources may exist within the project site and that the existence and location of such resources may be unknown at the time this Contract is executed. Contractor shall exercise due care in his/her operations to ensure that, in the event any such resources are discovered during or as a result of Contractor's Work, such resources may be preserved in accordance with the Inadvertent Discovery Plan and requirements of ORS Chapter 358.

o Protection of Cultural Resources. Contractor shall not remove any historic artifact or other cultural resources from the project site. If any such items are discovered, Contractor shall follow the Inadvertent Discovery Plan (IDP) and immediately notify OPRD’s Project Manager.

• Clean all vehicles prior to entering OPRD-managed properties and before leaving them to remove non-native invasive plant (weed) seed;

• Operate during the time between one-half hour after sunrise to one-half hour prior to sunset each day.

No work will be done on weekends or holidays unless approved by the OPRD Project Manager.

TASK 1. Mow and/hand-cut the powerline corridor.

• Mechanically mow and/or hand-cut shrubs and trees in the powerline corridor to reduce the height of woody vegetation to no more than 1 to 2 feet tall. The corridor is approximately 1 acre in size. Cut and stump-treat non-native invasive shrubs and trees (e.g., Scotch broom, English holly).
