Request for Quote (RFQ)

Questions & Responses (Q&A)

RFQ Number: DCO-PR-24-0172

Title of Requirement: IEPS-FIT-Multi Country Late-Stage Design & Implementation Due Diligence Support Consultancy

Item # Document Name/Page/Paragraph Question/Response 1 RFQ / Section H.1 Key Personnel / p. 26 / first paragraph in section H.1

Contractor Question: We suggest that the following sentence should be removed: "Substitutions of Key Personnel shall be equal to or have greater qualifications than the personnel being replaced." Key Personnel should fulfill the requirements outlined in section H.1 of the solicitation rather than using an existing personnel's qualifications as the benchmark for the position's requirements.

Government Response:

Agreed, replacement personnel shall meet the qualifications of the position.

2 RFQ / Section L.2.2. Volume II: Technical Capability Quote, Subfactor 3 / p. 65 / second full paragraph

Contractor Question: The solicitation states: "Quoters shall provide a Personnel Matrix that demonstrates the bandwidth of the firm to fulfill the entire SOW. The matrix should include key and non-key personnel." Should quoters provide a Personnel Matrix that includes a write up of the qualifications of each proposed personnel? Can the Matrix be submitted as an annex that does not count against the page limit? Should letters of intent for key and non-key personnel be submitted in an annex?

Government Response:

Q1. Yes.

Q2. Yes.

Q3. No but the matrix should identify if the personnel is staff or consultant or sub.

Item # Document Name/Page/Paragraph Question/Response 3 RFQ / Section L.2.3. Volume III: Past Performance

Quote / p. 65 / fifth paragraph

Contractor Question: The solicitation states: “Quoters shall provide three (3) examples of relevant contracts or task order/call orders… Please confirm that three examples can be provided for prime quoters and an additional three examples can be provided for major sub quoters (i.e., sub quoters with at least 20% of proposed budget).

Government Response:

At least one (1) of the references should be at the prime level, leaving a maximum of two (2) references executed at the sub-contractor level. The amount of work (percentage or dollar wise) preformed at all levels quoted needs to be clearly explained and specified. Only a maximum of three (3) total references will be submitted and evaluated. Do not submit more than three (3).

4 RFQ / Section L.2.4 Volume IV: Factor 3 Price / Business / Financial Quote, (1). Budget Summary /

p. 65

Contractor Question: The solicitation states: "In Excel format, with open formulas for CLINs in Section B."

Please confirm that this refers to the CLIN tables found in Section B before Section B.1 (on pp.4-5) in the solicitation, and also please confirm that these tables can be added as an additional tab in Attachment J.2 RFQ Price Template.

Government Response:

The budget summary is synonymous with Section B of the RFQ and J.2 Request for Quote (RFQ) Price Template, Excel File. Please complete J.2 excel file; if you are the winner, MCC will insert your Section B Price Quote Data from J.2, into Section B of the contract SF 1449 form prior to award, so there’s no need to any Quoter to fill in Section B of the SF-1449 PDF.

5 RFQ / Section L.2.4 Volume IV: Factor 3 Price / Business / Financial Quote, (2). Detailed Budget/Prices / p. 65

Contractor Question: The solicitation states: "Separately the contractor must provide for each fully loaded labor rate a split that consists of all elements included in the fully loaded labor rate: a) Actual labor rate (unloaded), b) Fringe benefits, c) G&A or any other indirect costs, d) Profit/Fee". Will MCC please remove this request since this is not a cost reimbursement (or CPFF) contract? This T&M contract type is not contingent on contractors having an approved accounting system for cost reimbursement contracts, nor are contractors required to build prices based on direct costs, indirect costs, and profit. In accordance with FAR 15.404-1 Proposal Analysis Techniques (a)(2), the Government is required to conduct a Price Analysis, not a Cost Analysis, for this solicitation. We believe a price analysis for such clearly defined labor categories is sufficient to satisfy the evaluation methodology described in Section M.3.3. Furthermore, the price analysis as described in FAR 15.404-1 Proposal analysis techniques (b)(3) favors the first two methods of analysis described in sections (2)(i) Comparison of proposed prices received in response to the solicitation, and (2)(ii) Comparison of the proposed prices to historical prices paid.

The RFQ remains unchanged on submittal requirements.

6 RFQ / Section M.3.3 Factor 3: Price / Business / Financial Quote / p. 70

Contractor Question: The solicitation states: "The Government will evaluate Quotes for award purposes by adding the total price for all options to the total price for the basic requirement. This includes options under FAR clause 52.217-8, Option to Extend Services, which applies to this solicitation." However, the budget template provided as Attachment J.2 with the solicitation only includes tables for a 3-year budget, not a 3.5-year budget. Please confirm whether Contractors should modify the template to include the 6-month extension period. If so, please provide ODC plugs for the 6-month extension.

Government Response:

The RFQ is modified to remove: “This includes options under FAR clause 52.217-8, Option to Extend Services”. The price quote template and period of performance parameters remain the same.

7 RFQ / Attachment J.2 RFQ Price Template (Excel), odcs tab.

Contractor Question: Please confirm that contractors should use the ODC plugs in the budget template provided with the solicitation, and those are the numbers it should enter in the Section B tables. The instructions in Section L.2.4 Volume IV: Factor 3 Price / Business / Financial Quote, (2). Detailed Budget/Prices are a bit unclear: "(2). Other Direct Costs (ODC's): The Contractor shall provide / Quote the breakdown of ODCs, as specified by the Government in Section B of the RFQ and in attachment J.2 RFQ Price Template, Excel File."

Government Response:

ODC plug figures provided in J.2 are to be left unchanged and quoted by quoters’ and serve as the common ODC evaluation framework for all quotes. Quoters’ need only decide to quote company specific/unique G&A onto ODC, if deemed applicable.

8 RFQ / Attachment J.2 RFQ Price Template (Excel), hours tab.

Contractor Question: The Base Year has a plug of 9,220 hours and Option Year 1 has a plug of 9,920 hours. Please confirm this is not a typo and the estimated hours remain as provided in the attachment.

The LoE Hours breakdown by year provided is correct. There are no typo errors.

9 RFQ / B.6 LIMITATION OF FUNDS -

INCREMENTALLY FUNDED CONTRACTS In accordance with clause 52.232-72 MCC 52.232-72

LIMITATION OF FUNDS - INCREMENTALLY

FUNDED CONTRACTS (NOV 2006) MCC 52.232-72

/ Pages 7 and 8

Contractor Question: Can MCC provide a not to exceed ceiling for quotes?

No. The Government desires competition and the commercial marketplace to set and establish contract prices. Further: Providing any labor or overall contract NTE value common to all vendors would negate (and be inconsistent with) the Section M comparative evaluation methodology described in the RFQ, which permits MCC to trade-off price, as one factor amongst the other factors in making the final evaluation selection decision. The NTE ceiling provided is only for ODCs. No labor NTE ceiling will be provided by MCC. The winning vendor’s total overall price quote inclusive of both labor and ODCs will become the overall contract NTE ceiling price.

10 Attachment J.2 RFQ Price Template (Excel) / hours tab.

Contractor Question: Can MCC provide insight on what the estimated hours are based on each year? If these estimates are based on a work breakdown structure, will the MCC provide its estimate?

Government Response:

The Level of Effort (LoE) labor hours provided are the Government’s best estimate for completing the requirements of the Statement of Work. Quoter(s)’ are responsible for any further work breakdown structure beyond what has been provided, based upon your understanding of the requirements and your unique technical approach in meeting technical and other performance requirements.

Quoters should note that Late-Stage Design work for newly selected countries will not be needed until approximately 6 months after selection and completion of PSOA Stage 2 and Concept Note development General assumptions are that a large share of the projected portfolio of countries/programs will need Task 1 due diligence support for detailed program design post PSOA Stage 2 and again after program signing during pre-EIF period. Assumptions also include Task 2 due diligence support for implementation oversight for all programs across the portfolio. Base Year and Option Year 1 will likely be weighted more heavily toward Task 1 Technical Directives (TDs), shifting toward Task 2 TDs in Option Year 2.

11 RFQ / Section H, MCC 52.204-70 Security

Requirements for Contractor Personnel / page 30

Contractor Question: Please clarify that the requirements, including U.S. citizen or permanent resident requirement, only applies to key personnel or staff that would be working permanently at MCC headquarters.

This is not applicable for this requirement.

12 RFQ / Section C, Introduction / page 8 / first paragraph of Section C

Contractor Question: Can MCC share the latest compact development guidance? The link does not work.

https://www.mcc.gov/resources/doc/guidance-compact-development-guidance

Government Response:

Disregard the link referenced in the RFQ as that URL has been taken down. RFQ provides adequate information on current compact development process -summarized on page 9 and 10.

13 RFQ / Section C, FIT and Blended Finance Tools / page 12 / third paragraph of subsection

Contractor Question: MCC references an MCC’s Blended Finance Toolkit. Can MCC share a copy of the toolkit?

Government Response:

There currently is not a fixed toolkit comprising a set of blended finance tools but rather p. 12 of the RFQ sets out the kinds of blended finance instruments that have been used by MCC and that we expect will be used in program design involving blended finance. The Background section of the RFQ provides the most current thinking on blended finance tools and instruments. We do note that by Dec 2024 we hope to have developed a Blended Finance Product Manual that defines more clearly this toolkit and that will be made available to the Consultant.

14 RFQ Contractor Question: What are the key operational controls and administrative procedures MCC expects for this project?

Government Response:

FIT staff responsible for late-stage design and implementation due diligence will issue specific TDs for each program/country in development. Tasks and deliverables will be established by the FIT Lead for each TD and finalized/agreed with the Consultant during the Inception Report phase that will kick off https://www.mcc.gov/resources/doc/guidance-compact-development-guidance each TD. The Inception Report be presented at a “kick-off meeting” for each TD and will include a Work Plan that defines timeline, key milestones, deliverables and expected LOE. Expectations are that there will be regular touch points and interim deliverables along the way.

15 RFQ / Section C, Task 1 / page 14 / 3rd bullet point Contractor Question: Are there specific guidelines or analytical methods that are preferred for the competitiveness analysis of sectors and alternatives analysis?

Government Response:

No, but Quotes should demonstrate experience and examples of analytical and methodological approaches for crowding in commercial investment. As per above, each TD will address expectations around specific program and the Inception Report will be the place for the Consultant to provide this program-specific detail. In looking at Quotes the TEP will want to see evidence of ability to analyze and propose alternative program designs across a wide range of sectors, project types.

Section H.1 Key Personnel

Contractor Question:

The government has requested a program manager with 15 years of experience. Would the government please consider reducing the required years of experience from 15 to 10 years?

Government Response:

We will reduce minimum required years of experience from 15 to 10 years but will add in the RFQ that 15 years is highly desirable and advantageous to the Government.

Clause 52.222-41, Service Contract Labor Standard

Contractor Question:

The government has checked clause 52.222-41, Service Contract Labor Standards, as applicable. If this is the case, then clauses 52.222-55, Minimum Wages for Contractor Workers Under Executive Order 14026 (Jan 2022), and 52.222-62, Paid Sick Leave Under Executive Order 13706 (Jan 2022)(E.O. 13706), must also be checked. Would the government please confirm and check clauses 52.222-55 and 52.222-62 as applicable?

Note that if the government deems clause 52.222-41 not applicable, then a Wage Determination must be assigned at award.

Government Response:

The RFQ is modified to remove: 52.222-41; No wage determination is required; the majority of contract performance will be occurring outside of the continental United States in the foreign overseas.

21 RFP, Page 10

Contractor Question:

How does MCC/FIT intend to use PSOA outputs (from PSOA Stages 1 and 2) to help inform late-stage activity?

As described in the RFQ, PSOA Stage 2 outputs include preliminary concepts and identification of blended finance opportunities that will inform development of Concept Notes. Late-Stage design activity will build on this previous work.

22 RFP, Page 11 Contractor Question:

Given the upcoming / forecast ‘pipeline’ of MCC Compacts and THPs, how many specific transaction advisory engagements does MCC/FIT expect the contractor to take on for each of the periods of performance?

Government Response:

The scope of any transaction advisory engagements will be set out in TDs as necessary. It is impossible to know how many may be needed ex-ante. Expectations are that that there would not be more than one transaction advisory engagement in a single program and that it is unlikely that such services would be needed in every program. However, it could be the case that there could be multiple transaction advisory engagements across the portfolio at the same time.

Please note that transaction advisory engagements for MCC are different from Transaction Advisors that MCC partner governments may hire to advise them on bringing to market and structuring PPPs or other transactions. The transaction advisory engagements anticipated under this contract are to help MCC in its due diligence to identify and support potential transactions as part of program design and implementation. The Consultant serving MCC under this assignment would, as part of a transaction advisory engagement, also be expected to interact with and review deliverables from Transaction Advisors advising MCC partner countries (e.g., for sell side advisory PPPs and other opportunities) as well as to provide guidance to MCC on what sort of blended finance support MCC may need to provide to ensure a successful transaction. It should also be noted that the Transaction Advisors advising MCC partner countries may, in fact, be funded by MCC.

23 RFP, Page 12

Contractor Question:

How does MCC/FIT expect its blended finance strategy (contracted through a separate / parallel vehicle to this one) to shape / inform the scope of work of this contract?

Government Response:

See response to Question # 13 above regarding toolkit. A revised/updated Blended Finance strategy for 2025 – 2026 may inform direction of program design going forward.

24 RFP, Page 14 and 15 Contractor Question:

Under this demand-driven contract, how does MCC/FIT expect demand to vary across Task 1 and Task 2 sub-activities? For example, should we expect an ‘alternatives analysis’ for every single transaction that FIT helps structure / potentially raise capital for?

See response to Question #10 above for overall expectations related to Task 1 and Task 2. It is not possible to get more specific at this point on specific needs at the sub-activity level.

Regarding the question on alternatives analysis, we anticipate the need for help with ideation on blended finance approaches. Thus, an alternatives analysis of various solutions can be a key part of the overall ideation approach, whether that is an analysis of different technical blended finance alternatives, alternative risk/reward allocations, implementation modality alternatives, etc. affecting the design of potential interventions. Given blended finance is really a structuring technique, creativity/ideation/analysis will be a key value addition to the Government and may be a key differentiating factor for Quoters.

25 RFP, Page 13

Through the execution of this contract, how will MCC interact with other USG entities (USTDA, USAID) in the same geographies – in addition to coordination with DFC through the ACFD, particularly for projects that align with the scopes of other interagency platforms / mechanisms (e.g., Power Africa, Prosper Africa)?

Government Response:

MCC always seeks to coordinate and leverage other USG agencies’ capabilities and comparative advantages through a whole-of-government approach.

26 RFP, Page 11-12 Contractor Question:

How does MCC/FIT expect to undertake project prep / transaction support in countries with high counterparty risk / low government capacity? Does MCC/FIT contemplate an ‘embedded advisor’ model within government agencies / institutions to ensure that projects move forward?

Government Response:

As noted in #22 above, MCC can as part of a Compact or Threshold Program provide funding for Transaction Advisors or coaches to advise MCC government partners, including embedding them in government agencies/institutions. . MCC can also provide funding under a program for project preparation support through technical assistance and other modalities, including recoverable grants, to help ensure sustainability. Under Task 1 of this assignment, MCC expects that some programs may need pipeline assessment and development support to inform size and scope of various interventions.

RFP, Page 13-14, Sections C. Scope, D. Tasks

How does MCC/FIT expect the contractor for this contract to coordinate with / leverage the work of other contractors at similar stages of program development (i.e., due diligence consultants for technical teams like Energy, Transport, etc.)?

The contractor will be expected to interact with other due diligence contractors, whether hired by MCC or MCC’s country partners, if appropriate. This would include interacting with and reviewing deliverables provided by Transaction Advisors assisting MCC partner countries in a sell-side capacity for PPPs as noted under #22.

28 RFP, Page 14, bullet points #5 and #6 under notional activities

What does MCC/FIT expect to see as the range (in USD) of the size / ticket of transaction(s) that MCC/FIT expects to support?

Government Response:

There is no minimum or maximum ticket size. MCC-funded interventions could vary significantly depending on the type of project and/or facility design. The contractor should be able to cater to small community/MSME-based types of interventions as well larger infrastructure projects.

RFQ page 5 and attachment J.2:

RFQ page 7 and attachment J.2: Plug-in numbers are provided for ODCs.

Vendors are asked to quote fully burdened labor rates inclusive of all direct and indirect cost for all labor categories and all contract years of the contract. RFQ page 65 (L.2.4) however indicates that the fully loaded labor rates should be broken down into a) Actual labor rate (unloaded), b) Fringe benefits, c) G&A or any other indirect costs, d) Profit/Fee and: e) Other(s). This is a contradiction. We would like to request clarification on the preparation of the financial quote as there seem contradicting instructions (see left) on whether labor rates and ODC are to be broken down.

Plug-in numbers are provided for ODCs. However, RFQ page 65 L.2.4 indicates that ODCs should be broken down. This is again a contradiction.

See A5 above. ODCs are provided as NTE with the exception of G&A or Material Handling Fees etc.
