STATEMENT OF WORK
Consultant Services for Senegal Power Compact M&E Plan Development
A. Introduction
The Millennium Challenge Corporation (MCC) is a U.S. Government corporation whose mission is to provide assistance that will support economic growth and poverty reduction in carefully selected countries that demonstrate a commitment to just and democratic governance, economic freedom, and investments in their citizenry. For more information on the MCC, please visit www.mcc.gov.
B. Background
In December 2018, MCC signed a $600 million Compact with the Government of Senegal (GoS) of which $50 million is the Government of Senegal contribution. The Compact is expected to enter into force in mid-2020. The Compact aims to address the high cost of energy, a binding constraint to economic growth in Senegal. The compact development teams further defined this constraint as the high cost of electricity to grid-connected firms, low access to electricity outside of Dakar, and to a lesser extent, the unreliability of electricity, which reduces firms’ cost-effectiveness by increasing costs and uncertainty of production. The Compact consists of three projects:
1. Modernizing and Strengthening Senelec’s Transmission Network (“Transmission Project)
2. Increasing Access to Electricity in Rural and Peri-Urban Areas (“Access Project”)
3. Power Sector Enabling Environment and Capacity Development (“Reform Project”).
These projects are described further below.
The Transmission Project Objective is to provide quality electricity from the lowest cost sources available to Senelec to meet the growing demand on the interconnected network in Senegal. To accomplish this Objective, the Project shall support ongoing efforts by Senelec to develop a reliable high-voltage transmission network in and around greater Dakar, which accounts for roughly 60 percent of the nation’s electricity demand and 20 percent of its population. This is necessary for Senegal to effectively capitalize on private sector-led investment in generation and to ensure that electricity is reliably delivered to consumers. This is particularly important since much of the private sector interest in the sector is focused on new, lower-cost generation projects including wind, solar, and natural gas, which rely heavily on a reliable, stable transmission network. The Transmission Project has three activities: Transmission Network Build-out Activity, Transformer Replacement Program Activity, and the Grid Stabilization Activity.
The Access Project Objective is to increase the supply of and demand for quality electricity in rural and peri-urban areas of Senegal. To achieve the Access Project Objective, the Project supports the extension of the electrical grid in selected areas in the southern and central regions of Senegal. Through demand-side interventions, the Access Project also aims to increase rates of adoption and consumption of electricity, facilitate opportunities for income generating activities in these regions and improve the understanding of energy efficiency at a national level. In addition, the Project aims to improve the quality of service and reduce losses in the distribution network outside of Dakar. The Access Project has three activities: Supply-Side Activity, Consumer Demand Support Activity, and Distribution Network Reinforcement Activity.
The Reform Project Objective is to create an enabling environment to improve the financial viability of, and to ensure good governance in, the power sector, with the intent of improving the quality and quantity of the electricity supply. To accomplish the Reform Project Objective, the Project shall strengthen the laws, policies, and regulations governing Senegal’s electricity sector, as well as the institutions responsible for implementing them, particularly the utility (“Senelec”), the regulator (the Commission de Régulation du Secteur de l’Electricité or “CRSE”), and the ministry responsible for energy and petroleum (“Ministry of Energy”). The Reform Project has three activities: Sector Governance Activity, Regulatory Strengthening Activity, and Utility Strengthening Activity.
Annex III of the Compact provides a summary of the Compact’s monitoring and evaluation approach and serves as the basis for the M&E plan, which is to be completed within 90 days of entry into force.
C. Scope

F. Conflict of Interest
The consultant would be precluded from bidding on work and services (design, assessment, construction and supervision) to be procured by a local MCA accountable entity or using funds advanced under a Compact in the relevant country; unless the consultant submits a mitigation plan sufficient to ameliorate any conflict of interest pursuant to the rules applicable to the procurement process. The designated Consultant would be expected to coordinate with local authorities responsible for MCC Compact development and implementation as well as other donors, where relevant. However, designated Consultant would work directly with the designated COR/PM to receive technical directives within the scope of the contract.
G. MCC Technical Direction
(a) Performance of the work under this contract is subject to the written technical direction of the Contracting Officer Representative (COR), and any Government Project Monitors, (PM), who shall be specifically appointed, and responsibilities identified, by the Contracting Officer in writing in accordance with MCC policy. "Technical direction" means a directive to the Contractor that approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work or documentation items; shifts emphasis among work areas or tasks; or furnishes similar instruction to the Contractor. Technical direction includes requiring studies and pursuit of certain lines of inquiry regarding matters within the general tasks and requirements in Section C of this contract.
(b) The COR/Government PM does not have the authority to, and shall not, issue any instruction purporting to be technical direction that—
(1) Constitutes an assignment of additional work outside the statement of work;
(2) Constitutes a change as defined in the changes clause;
(3) Constitutes a basis for any increase or decrease in the total estimated contract/Contract cost, the fixed fee (if any), or the time required for contract/Contract performance;
(4) Changes any of the expressed terms, conditions, or specifications of the contract/Contract; or
(5) Interferes with the contractor's rights to perform the terms and conditions of the contract/Contract.
(c) Technical direction may be oral or in writing; however, the COR or government PM shall confirm oral direction in writing within five workdays.
(d) The Contractor shall proceed promptly with the performance of technical direction duly issued by the COTR or PM in the manner prescribed by this clause and within the COR's/PM’s authority. If, in the Contractor's opinion, any instruction or direction by the COR/PM falls within any of the categories defined in paragraph (b) of this clause, the Contractor shall not proceed but shall notify the Contracting Officer in writing within 5 workdays after receiving it (either orally or in writing, whichever comes first) and shall request the Contracting Officer to take action as described in this clause. Upon receiving this notification, the Contracting Officer shall either issue an appropriate contract/Contract modification within a reasonable time or advise the Contractor in writing within 30 days that the instruction or direction is—
(1) Rescinded in its entirety; or
(2) Within the requirements of the contract/Contract and does not constitute a change under the changes clause of the contract/Contract, and that the Contractor should proceed promptly with its performance.
(e) A failure of the contractor and Contracting Officer to agree that the instruction or direction is both within the requirements of the contract/Contract and does not constitute a change under the changes clause, or a failure to agree upon the contract action to be taken with respect to the instruction or direction, shall be subject to the Disputes clause of this contract.
(f) Any action(s) taken by the contractor in response to any direction given by any person other than the Contracting Officer or the COR/PM shall be at the Contractor's risk.
H. Deliverables
The Consultant will provide services to MCC on an as-needed basis. No additional tasks shall imply any additional costs to the Government beyond the amount allowed for in the initial call order; however, this call order may be amended to reflect additional costs.
The specific deliverables are expected to include, but not be limited to, the following:
