USAGM may provide the Broadcaster with instruction on the proper operations and maintenance of the broadcast system.

1.0

BROADCAST SYSTEM AND PROGRAM FEED OPERATION

The Broadcaster shall operate USAGM FM broadcasting equipment, including all transmitting and related satellite receiving facilities, 24 hours a day, each day of the contract term unless stated otherwise. In the event that any USGAM transmitter system or its individual components fail, the Broadcaster shall promptly begin repairs as availability of replacement parts allow, to restore broadcast service at full-power operation as soon as possible.

1.1

DEFINITION OF OPERATION AND MAINTENANCE TASKS

Operation and maintenance tasks at each FM broadcast station shall include but not be limited to: providing personnel for operation, preventive maintenance and corrective maintenance of the broadcast equipment, program feed equipment, air conditioning equipment, power generator equipment; payment of electricity and any other utility charges; payment and supply of fuel oil for backup generators; obtaining; arranging and payment for security of the broadcast and program feed equipment; providing and payment of consumables including air filters, lubricants, cleaning supplies; arranging and payment for service contracts for air conditioning units and generators, if required; and all other services and supplies required to keep the broadcast and program feed equipment fully operational. Spare parts and assemblies for the broadcast equipment and program feed equipment will be provided by the USAGM.

1.2

TRANSMISSION OUTAGE REPORTING

In the event of a transmission outage at any operational transmitting station, the Broadcaster shall notify the USAGM Operations/Maintenance Point-of-Contact (See Section 6.0) of the nature of the problem (e.g., program feed loss, transmitter malfunction, power outage, operator error or any other reason). This shall be done within two (2) hours by telephone and/or facsimile note and/or Email, and shall include an estimate of the time to rectify the problem(s).

1.3

TROUBLE REPORT

A written Trouble Report is required for any transmission outage in excess of 15 minutes resulting from equipment failure, power outage, operator error, or any other reason. The written report shall be in English and shall describe the nature of the problem, start time of the problem, duration of the outage, and corrective actions taken to solve the problem. The report shall be submitted within seven (7) days to the USAGM Operations/Maintenance Point-of-Contact (See Section 6.0.)

2.0

FM BROADCAST SYSTEM AND PROGRAM FEED CORRECTIVE / PREVENTIVE MAINTENANCE

The Broadcaster shall provide maintenance support for the USAGM transmission system installed in Ivory Coast. The Broadcaster’s primary responsibility shall be to ensure that the broadcast signal is on the air with a minimum of downtime caused by failures or out-of-specification conditions. To accomplish this, the Broadcaster shall:

Monitor transmissions and equipment performance;

Take corrective action to repair or replace equipment or parts upon failure; and

Perform periodic preventive/corrective maintenance.

2.1

CORRECTIVE MAINTENANCE

The Broadcaster shall conduct corrective maintenance in accordance with the following guidelines:

In the event of a transmission outage, the Broadcaster shall initiate corrective action as soon as possible. USAGM will supply the Broadcaster with major spare parts and assemblies that are deemed to be critical most likely to fail and cause lengthy downtime. If the failure is identified as one that can be repaired with an available spare, the Broadcaster shall start that repair immediately and notify USAGM’s Operations / Maintenance Point-of-Contact (See Section 6.0) when it is completed and the broadcast is back on the air. The corrective action shall also be recorded as required by Section 2.4, Daily Log. If the required spare part is not on hand but is available locally, the Broadcaster shall contact USAGM’s Operations/Maintenance Point-of-Contact (See Section 6.0) for authorization to purchase that part or material. If USAGM will reimburse the Broadcaster for the cost of spare parts or material upon presentation of a proper invoice or receipt.

Since the nature of many failures is such that they cannot be corrected quickly, the Broadcaster shall use its expertise to work around the problem and, if possible, attempt to temporarily restore the broadcast – even if in a degraded mode. The Broadcaster shall use its expertise to determine the advisability of keeping the transmitter in operation while there is a failure present, and shall notify the USAGM Operations/Maintenance Point-of-Contact (See Section 6.0) immediately of any such recommended work-around solution.

If a failure is present that cannot be repaired with available parts, and which causes the broadcast to be off the air, the Broadcaster shall immediately contact the USAGM Operations/Maintenance Point-of-Contact (See Section 6.0). The purpose of this contact may be to request a replacement part or module, or to seek advice and assistance in diagnosing and repairing the fault.

NOTE: If there is no satellite feed present or if the feed is intermittent, the Broadcaster is cautioned not to assume that it is a problem in the satellite uplink and that USAGM Operations/Maintenance is aware of the problem. The Broadcaster shall report it to the USAGM’s Operations/Maintenance Point-of-Contact (See Section 6.0) within the two (2) hour reporting requirement.

2.2

PREVENTIVE MAINTENANCE

The Broadcaster shall conduct preventive/recurring maintenance in accordance with the following guidelines:

The Broadcaster shall assure that the transmitting system and the transmitting room conditions are maintained properly in order to reduce the likelihood of failures. This involves performing routine checks in order to identify and rectify conditions that can lead to problems. For example, if the VSWR of the antenna has increased but is still in an acceptable range, that may be an indication of a problem that is developing with the antenna or its feed, and which can be corrected before an outage occurs. As a similar example, if the Bit Error Rate (BER) of the satellite signal starts to increase that may be an indication that the satellite dish is drifting off the satellite. Corrective action can then be initiated before the BER becomes so excessive that the satellite feed stops. These preventive maintenance checks are very easy to perform and shall be done at least once daily.

The Broadcaster shall perform all routine (daily/weekly/yearly) preventive maintenance procedures required by the Operating and Maintenance Manual for the transmitter, as well as for any other equipment for which manuals have been provided. All routine maintenance performed shall be documented in the Daily Log.

2.3

CORRECTIVE/PREVENTIVE MAINTENANCE OF ANCILLARY/SUPPORT EQUIPMENT

The Broadcaster shall insure corrective/preventive maintenance of power generator, air conditioning and other non-broadcast equipment at the transmitting site is taken.

2.4

DAILY LOG

The Broadcaster shall keep a Daily Log to document the operational status of each broadcast system and all corrective and preventative maintenance performed. At least once each day the Broadcaster shall record operating conditions including, but not limited to, the following:

· Bit Error Rate (BER) of the program feed;

· Forward Power Level and Reflected Power Level of the transmitter;

· VSWR, if available;

· Any transmitter fault, fold-back or other indications of abnormal transmitter operation;

· Primary Mains Voltage, Critical Transmitter Voltage/Current Readings;

· Status of Ancillary/Support Equipment.

The log shall also document every transmission outage and its duration; the Broadcaster shall describe exactly what has been done or attempted to correct the failure. Keeping the log is in addition to the requirement to Telephone, FAX or Email the USAGM Operations/Maintenance Point-of-Contact (See Section 6.0) to report any outages, as required by Section 1.2, Transmission Outage Reporting. The Broadcaster shall submit Daily Log entries with the Monthly Report as specified in Section 4.0, Monthly Operations Report. In addition, USAGM shall have the right to review the Daily Log on site at any time.

2.5

SPARES

USAGM will provide the major spare parts, assemblies, and equipment to support the broadcast system(s) and the Broadcaster shall obtain all spare parts for all locally procured support equipment (e.g. power generators, air conditioning systems, etc.)

3.0

TRANSMISSION SITE SECURITY

The Broadcaster shall establish procedures including the hiring of personnel, if required, to ensure the safety and security of the USAGM broadcast transmission equipment. It is expected that these arrangements will normally be provided under the leasing/hosting arrangements for the broadcast equipment. The Broadcaster shall insure the security of the USAGM equipment.

4.0

MONTHLY OPERATIONS REPORT

The Broadcaster shall prepare and submit a Monthly Operations Report no later than the 5th calendar day of the following month. The report shall contain a narrative that summarizes the performance of each operational transmitting system for that month, the maintenance and operation activities performed, a listing of any potential problems, and a listing of the spares consumed and spares still available. The Daily Log entries required by Section 2.4 above shall also be attached to the report. Electronic submission is allowable.

5.0

DOCUMENTATION PROVIDED TO OPERATIONAL SITE

The Broadcaster shall ensure that the following documentation is delivered to each operational transmission system for use by the operation and maintenance personnel. Most of this documentation is provided with the GFE FM transmitting system kit.

Operating and maintenance manuals: Each set shall include a manual for each piece of equipment incorporated into the transmitting system.

Installation instructions: Each set shall address installation requirements for the antenna system, equipment layout diagram, set-up and preparation requirements for the generator, and any other unique installation requirements. These installation requirements may be incorporated into the operation and maintenance manuals.

Single line drawings: Each set showing power, audio and RF interconnections of all components.
