About this file

This is a Request for Proposal (RFP) from the U.S. Department of Energy (DOE) Office of the General Counsel for legal and advisory services. The solicitation seeks multiple Indefinite Delivery/Indefinite Quantity (IDIQ) contracts with a five-year ordering period, with an anticipated award of up to 10 contracts. The contract will cover specialized legal services in areas including energy law (Federal Power Act, Natural Gas Act), litigation support, intellectual property, non-profit law, and bankruptcy law.

Proposals are due by January 15, 2026, at 2:00 PM EST, with questions accepted until January 5, 2026. The contract will use a "highest technically rated fair and reasonable price" evaluation approach, with two non-price factors (Legal Experience and Approach, and Key Personnel) being significantly more important than price. The NAICS code is 541110 (Offices of Lawyers), with a small business size standard of $15.5 million. Contract types may include firm-fixed-price, time-and-materials, labor-hour, or hybrid, with a total ceiling value of $50 million. The DOE has an immediate need for legal services in energy law and litigation support, and may prioritize proposals in these areas.

Energy (DOE) Office of the General Counsel in matters involving one or more of the following areas of law:

(a) Statutory interpretation, regulatory analysis, and challenges to agency actions under the Federal Power Act (FPA), as described in the PWS.

(b) Specialized legal services related to the Natural Gas Act and 10 C.F.R. § 590.402.

This requires highly specialized knowledge of Liquified Natural Gas (LNG) markets, imports and exports of LNG, and policies and procedures related to LNG.

(c) Specialized legal services related to the Strategic Petroleum Reserve, including purchases and sales.

(d) Other areas of energy law

(e) Litigation support regarding disputes related to the termination of financial assistance awards, government contracts, or other agreements.

(f) Other litigation matters under federal laws or regulations, including but not limited to

Energy Policy & Conservation Act (EPCA) challenges; Freedom of Information Act

(FOIA) litigation; environmental compliance; and Executive Order (EO) litigation relating to funding, labor unions, and personnel issues.

(g) Financial transactions

(h) Intellectual property law, particularly patent law and copyright law.

(i) Non-profit law

(j) Bankruptcy law issues, particularly those where the Federal government is a creditor or has an interest in real or personal property of the entity in bankruptcy.

Services include oral and written analysis, advice, and recommendations, including memoranda and opinion letters, to support formal legal opinions on issues of concern to DOE. The

Contractor may also provide legal research, analysis, and drafting of procedural and substantive orders under the FPA, as well as other areas of law specified in the above list or as otherwise directed by the Agency. Attendance at meetings with DOE officials and staff may be required upon request. The Contractor shall comply with all reporting requirements outlined in the

Attachment A – Performance Work Statement (PWS), including monthly labor hour reports.

B.2 TYPE OF CONTRACT

This is an Indefinite Delivery/Indefinite Quantity (IDIQ) contract under which Firm-Fixed-Price, Labor-Hour, Time-and-Materials, and/or any hybrid of those types of task orders will be issued in accordance with the fixed labor rates specified in B.3.

ON-RAMP PROCEDURES

The Government does not guarantee exclusive membership in the IDIQ contract pool to the initial awardees. The Government may periodically review IDIQ contract performance and DOE requirements to determine the need for on-ramping. The Government reserves the right to issue a new request for proposal (RFP) to:

(i) add additional Contractors to meet DOE’s current and future requirements;

(ii) expand the small business pool of Contractors;

(iii) increase competition; or

(iv) add Contractors with newly developed or proprietary capabilities relevant to the specialized legal services described in the PWS.

On-ramp procedures may be implemented at any time by reopening the competition and using the same basis of award established in the initial RFP. Any resulting IDIQ contracts will include the same terms and conditions as the current basic contract. On-ramping will not affect the overall period of performance for the basic IDIQ contract.

OFF-RAMP PROCEDURES

The Government reserves the right to implement off-ramp procedures to remove IDIQ contract holders from the IDIQ pool. Off-ramping will prevent contract holders from receiving additional task orders under the IDIQ contract. The Government will provide a 30-calendar day written notice of its intent to off-ramp a contract holder. The contract holder may respond to the notice in writing within five business days, and DOE will consider the response in its decision.

The decision not to issue additional task orders is at the sole discretion of the Government, is not a termination of the contract, and is not subject to the Disputes Clause. The Government and the contract holder will remain bound to the terms of any task orders previously awarded under the

IDIQ contract.

Criteria for off-ramping may include, but are not limited to:

(i) failure to submit at least one proposal in response to task order requests for a period of at least two years;

(ii) failure to receive at least one task order award for a period of at least three years; or

(iii) failure to meet material SOW or PWS requirements in the performance of a task order.

The Government reserves the right to conduct formal reviews of the Contractor’s work over the life of the IDIQ contract. Based on changes in DOE needs, the Government may renegotiate labor hours, labor mix, contract pricing, or the IDIQ estimated value. Such reviews and renegotiations will be initiated by the Government and executed via bilateral modification to the IDIQ contract. By responding to this solicitation, Offerors acknowledge that post-award negotiations are within the scope of this solicitation and the resultant contract
