1. Contracting ActM!y.

Naval Air Systems Command (NAVAIA) Headquarte/S

2. Description of the Action Being Approved.

This Class Justification and Approval (CJ&A) authorizes and approves the issuance of contract orders on asole source basis under a Basic Ordering Agreement (BOA) with Bell Helicopter Textron, Inc., 600 E. Hurst Blvd., P.O. Box 482. Fort Worth, TX 76101-0482 for the non-recurring effort for Bell HerlCOpterTextron Inc. (BHTI) to provide a limited redesign of the AH-1ZJUH·l Ycommon cuff and yoke. This limited redesign is intended to improve durability and reduce aircrafllife cycle costs. Authority to ael under this CJ&A expires on 31 DEC 2015.

4. Statulory Aulhoritv Permilling Other Than Full and Open Competition.

10 U.S.C. 2304(c)(11. as implemented by Federal Acquisition Regulation (FAR) 6.302·' ,Only one responsible source and no other supples or services will satisfy agency requirements.

5. Rationale Justilving Use of Cited Statutory Authoritv.

The purpose of this effort is to affordably improve the existing cuff and yoke to increase durabirlty and life leading to reduced total ownership cost. In addition. BHTI has exprllSSed that it intends to keep these technologies and components as core elements to their business and manufacturing and wRI not selilhe rights.

I

BHTI is the sole designer and manufacturer of the H-l series helicopter and is the only known source possessing all the requisites to produce the final cuff and yoke components for the aircraft.

The existing unique design of the cuff and yoke consists of thick composite material with complex curvatures and was based on extensive development using modeling, simulation and lab testing. This effort consists of taking the existing component design and incorporating improvements based on actual flight and repair data using BHTI developed analytical tools. The planned redesigned components are expected to be 80% similar to the existing BHTI design in terms of materials, dynamic compatibility and degree of mechanical interchangeability.

The difference will be key features implemented to improve durability based on lessons leamed from the in~ial cuff and yoke manufacturing experience.

No other company possesses the peculiar expertise BHTI has with the production of thick composites w~h complex curvatures on this aircraft. Acquiring improved cuffs and yokes from another source would require BHTI to release some proprietary data from ~ commercial cuff and yoke development which BHTI is not willing to sell.

No other source has the experience, techniques, manufacturing processes and previous design data to execute an effort of this magnitude.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Per FAR 5.201 (b), a synopsis of the requirement was published on July 22,2010, and no responses were received. BHTI has been the sole source for the H-l series helicopter since the 19605. The current upgrade effort has been sole sourced to BHTI as well. BHTI is the only company with the technical data, knowledge, and program experience that can accomplish the nonrecurring effort in a timely and cost effective manner. Two other domestic mil~ary helicopter manufacturing companies were researched; neither presently builds composHe rotor hub components. There are no other manufacturers in this market.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402(a), the contracting officer must ensure all supplies and services are procured at a fair and reasonable price. The contractor will submH cost and pricing data in accordance with FAR 15.402-4.

Analysis of the proposals will be performed by technical analysts and contract specialists, wHh the assistance of the Defense Contract Management Agency analysts and Defense Contract Audit Agency auditors. The contracting officer will use cost and price analysis to determine that the final price Is fair and reasonable.

6. Actions to Remove Barriers to Future Comoetition.

For the reasons set forth in paragraph 5, NAVAIR has no plans to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges. NAVAIR will assess whether compelHion for future requirements is feasible.
