The effect of termination of the contract hereunder will be to discharge the Contractor and MSA from future performance of the contract, but not from their rights and obligations existing at the time of termination. The Contractor shall be reimbursed for the reasonable value of any nonrecurring costs incurred but not amortized in the price of the contract. MSA shall notify the Contractor as soon as it has knowledge that funds may not be available for the continuation of the contract for each succeeding fiscal period beyond the first.

Neither this IFB nor any resulting Agreement shall be construed to require

MSA to use any Bidder or exclusively use the Contractor for the services described in this IFB. Each party shall, however, be permitted to disclose relevant confidential information to its officers, agents, and employees to the extent that such disclosure is necessary for the performance of their duties under the Agreement, provided that the data may be collected, used, disclosed, stored, and disseminated only as provided by and consistent with the law. Bid, including any bid alternates accepted by MSA in its sole discretion.

The preference given will be identical to the preference that the other state, through law, policy, or practice gives to its residents.

5.3 Award Determination

a. Award will be made to the responsible Bidder who submits to the MSA the responsive Bid that has the lowest Total Bid Price. The MSA reserves the right to make the award by item, or groups of items, or Total Bid

Price if it is in the best interest of MSA to do so unless the Bidder specifies in its bid that a partial or progressive award is not acceptable.
