14. DESCRIPTION OF AMENDMENT/MODIFICATION (continued):

A. The purpose of this amendment is to respond to Request for Proposal (RFP) questions and comments in relation to the NASA Financial Support Services solicitation.

Responses to RFP questions/comments are provided in Attachment A, Clarifications to All Prospective Offerors. Resulting changes to the RFP are provided in Attachment B, Summary of Changes Between Final Solicitation and Amendment P0001.

B. In relation to Section L, Provision MSFC 52.205-90, Designated Point of Contact (NOV 2018), paragraph (c), the period for questions or comments relative to this acquisition has closed (i.e., questions and comments relative to this acquisition were previously due no later than 2:00 p.m. Central Time, November 10, 2021). At this time, the Government is no longer accepting additional questions or comments in relation to the solicitation, as released on November 5, 2021. That notwithstanding, new questions/ comments are conditionally permitted, provided they are limited to Amendment P0001 changes/information contained herein. Please provide the anticipated release schedule of WPRs by Center so that offerors have a sense of how the work/250+ WYEs will be Phased-In over time.

Attachment L-2, Anticipated NFSS FY23 WYEs, reflects potential work year equivalents (WYEs) to be included in work packages issued and effective on the first day of full assumption of the contract.

2 Section L, 1852.215-81, Proposal Page Limitations

On page L-4 of the RFP the Government states that all proposals should be submitted in MS 2016 or later formats, MS Excel for the pricing models, and pdf only for supplemental documentation. However on page L-10 the PP volume shows the file ending in .pdf.

Can the Government please confirm the file types offerors must use when submitting the required proposal narrative volumes?

Section L, Electronic Submission of Proposals - Proposal Marking and Delivery through NASA's EFSS Box, provides examples of acceptable individual file names. The examples provided for both prime offeror and subcontractor submissions serve only to indicate acceptable individual file names as indicated in this provision. The Past Performance volume shall be submitted using Microsoft Word.

5 Section L, 1852.215-81, Proposal Page Limitations

In light of the Government requesting large items such as total compensation plan information by Prime and all major subcontractors, and the restrictive Times New Roman 12-point font requirement for “all text, including text used in charts, tables, figures, illustrations, or other embedded objects (e.g., pictures or screenshots),” will the Government please consider increasing Volume I: Mission Suitability page count from 65 to 75 pages to allow for inclusion of compliant proposal items in Offeror’s proposal responses?

NASA has determined the Volume I: Mission Suitability page limit to be reasonable to meet the requirements of this solicitation. Note: In accordance with Section L, 1852.215-81, Proposal Page Limitations, Attachment L-5, Total Hourly Compensation By Employee Category Form, and copies of applicable salary surveys are excluded from the Mission Suitability volume page limitation.

Bullet F in Section L under Page Limitations states “All blank lines shall have a 12-point font size.” Can the Government please clarify or provide an example of what they consider a blank line to be?

A blank line contains no content, regardless if used in narrative, charts, tables, figures, illustrations, or other embedded objects (e.g., pictures or screenshots).

Clause MSFC 52.215-90 SUMMARY OF DEVIATIONS/EXCEPTIONS (NOV 2018) states “Highlight exceptions in the margin of the proposal where they appear in the text”.

Can the Government please confirm that using the Microsoft Office comments feature is compliant with this requirement.

The Microsoft Office comment feature shall not be utilized. Nothwithstanding the instruction provided in this provision, offerors shall explain any exceptions, deviations, and conditional assumptions with respect to this RFP as part of Volume IV - Contract, Section II. However, exceptions, deviations, and conditional assumptions taken with respect to the Price/Cost Volume, shall be explained as part of Section 1 of Volume II - Price/Cost Volume, Paragraph (2)(i)(B).

9 Section L, Subfactor 2 - Staffing and Total Compensation (STC), STC-3: Subcontracting Approach

MTA-3, bullet (1) requires the offeror to describe “Subcontracting arrangements, to include rationale for each of the arrangements, the nature and extent of the work to be performed by the subcontractor, allocation of responsibilities, how management and control policies will be implemented, and limitations or exclusions of work by subcontractors.”

Does the reference to limitation or exclusion of work by subcontractors refer to the Limitation on Subcontracting clause? If not, please clarify what the government is looking for in this section.

Offerors shall consider the Limitation of Subcontracting clause when establishing subcontracting arrangements.

Note: the offeror's response in relation to MTA- 3 shall be specific, detailed, and complete to clearly and fully demonstrate the offeror’s arrangement/rationale for these subcontractor relationships relative to satisfying Mission Suitability requirements.

10 Section L, Subfactor 2 - Staffing and Total Compensation (STC), STC-1: Staffing Approach

STC-1, bullet (1): Staffing Approach instructions requires a mapping of the contractor’s internal prime and subcontractor labor categories. Is this mapping required for major subcontractors or all subcontractors?

11 Attachment L-4, Background and Historical Data

This section contemplates offerors providing the information requested in Attachment L-5 by use of “salary survey(s)” or “salary data other than surveys.” Will the Government please disclose the applicable labor categories and compensation rates from current contractors? If not, is the Government concerned that the primary incumbent contractor has an unfair advantage in this procurement? How will the Government ensure that the non-incumbent offerors are not unduly prejudiced by a comparison of their proposed compensation plans to the incumbent’s actual compensation plan currently in place?

This contract is the first iteration of a consolidation of prior contracts. NFSS labor categories are provided in Attachment J-7, Rates Schedule and Labor Categories.

Additionally, NASA does not have insight into incumbent fixed-price rate details/compensation data.

Background and historical data is provided in Attachment L-4, Background and Historical Data, in order to provide offerors a better understanding of the requirements contained in the solicitation.

12 Attachment L-6, Cognizant Audit Office Form

Paragraph D states, “The offeror, and each major subcontractor, shall identify the cognizant audit office (name, address, and telephone number) on Attachment L-6, Cognizant Audit Office Form (CAOF), and the cognizant Government Agency:” However, Attachment L-6 states that the form should be filled out for each Teaming Member.

Please clarify that for proposal submission purposes, the form should only be filled out by the Offeror and each major subcontractor.

Attachment L-6 has been revised to be filled out by the offeror, joint venture member, and/or applicable subcontractor(s).

Paragraph H states that “Additionally, all offerors shall complete and submit the forms in Attachment L-1, Tab G, Schedule of Overhead, G&A, and Other Indirect Rates, for each proposed indirect rate and complete and submit the forms in Attachment L-1, Tab I, Fringe Benefits/Payroll Additives Rate Development, for all elements of price/cost for proposed fringe benefits.”

All EPM forms should be returned exclusively in the provided Excel format. Narrative information provided in relation to Volume II shall support information provided in the EPM.

Tab F, Part C

The offeror shall demonstrate that the estimates for fringe benefits shown in this tab are incorporated into their proposed contract cost in accordance with their normal accounting and estimating practices for each contract year and is consistent with the data provided in the Attachment L-5, Total Hourly Compensation By Employee Category Form, for each center.

This tab can be repeated to reflect different locations and rates as applicable.

Given that the salary data is different for each location, the tab will need to be repeated for each location. How do you want the offeror to label each tab?

17 Section L, Volume III - Past Performance Factor Instructions, Paragraph (d)(1)

In the interest of promoting competition and to enable Offerors to submit relevant NASA contract experience, we respectfully request that the Government lower the threshold from $2.5 to $2 million average annual value for a subcontractor’s referenced contract to be deemed relevant. As currently drafted, we believe this requirement unduly restricts competition. Lowering the threshold to $2 million average annual value per year is not only rational given the size of the incumbent contracts, but would also promote competition by allowing the top five incumbents, who were previously primary contractors for NASA, to be considered significant subcontractors who could provide past performance references.

No change has been made. NASA has determined that relative to size for offerors, a referenced contract will be determined relevant if it has an average annual value of $4,500,000 or greater, and relative to size for proposed subcontractors, a referenced contract will be determined relevant if it has an average annual value of $2,500,000 or greater.

18 Section L, Volume III - Past Performance Factor Instructions, Paragraph (b); and Section M, Volume III - Past Performance Volume Evaluation, Paragraph (b)

Context: Per L-30 of the Solicitation, all Prime Offerors must provide at least 2 of up to 5 past performances for evaluation.

Later in the section, it is stated that if using a Joint Venture (JV), the Managing Venturer must provide at least 2 of the past performances.

Question: Will the Government please remove the requirement for the Managing Venturer to provide the past performances, as this is violation of the latest SBA ruling 13 C.F.R § 125.8 by requiring the Managing Venturer (protégé) to individually meet the same evaluation criteria required of “other offerors generally”? Per 13 C.F.R § 125.8: “When evaluating the capabilities, past performance, experience, business systems and certifications of an entity submitting an offer for a contract set aside or reserved for small business as a JV established pursuant to this section, a procuring activity must consider work done and qualifications held individually by each partner to the JV as well as any work done by the JV itself previously.

A procuring activity may not require the protégé firm to individually meet the same evaluation or responsibility criteria as that required of other offerors generally. The partners to the JV in the aggregate must demonstrate the past performance, experience, business systems and certifications necessary to perform the contract.”

In relation to Section L provision Volume III - Past Performance Factor Instructions, paragraph (b) states, "… At least two past performance references should be for the offeror. …" While the solicitation recommends two past performance references from the offeror or JV managing partner, it does not require two references. Additionally, Section M provision Volume III- Past Performance Volume Evaluation, paragraph (b) states,"References for protégé members of any proposed mentor-protégé JV agreement will be evaluated in accordance with the relevancy thresholds established for proposed subcontractors (see 13 C.F.R. § 125.8(e))."

19 Section L, Volume III - Past Performance Factor Instructions, Paragraph (b)

This section states that “Performance of referenced contracts shall be limited to that which occurred within five years of the due date for receipt of proposals. Additionally, each referenced contract shall have a minimum of one year of performance within the five-year period. Performance of any effort outside the five-year period will not be evaluated.”

Will the Government accept and evaluate a past performance reference where the offeror will complete its first year of performance less than two weeks after the submission of the offeror’s proposal? If not, please explain your rationale.

NASA will not accept, nor evaluate, a past performance referenced contract that does not have a minimum of one year of performance within the five-year period, in accordance with Section L, Volume III - Past Performance Factor Instructions. NASA determined that less than one year of performance within the five year period to be insufficient to adequately assess a contractor's performance (see Section L, Volume III - Past Performance Factor Instructions).

20 Section L, Volume III - Past Performance Factor Instructions, Paragraph (b)

While it is common for solicitations to require offerors to provide information confirming at least one year of relevant prior performance, typically that year is not constrained to a limited time period like the 5-year window set forth in this section. Will the Government accept and evaluate an offeror’s past performance reference where more than six months of the offeror’s year of prior performance was within the five-year window? For example, if an offeror submitted a performance reference for a contract under which it performed from June 2016 to June 2017, will the Government accept and evaluate that reference? If not, please explain your rationale.

The Government states that the Section L Volume III Past Performance requires "at least two past performance references should be for the offeror…. While the solicitation recommends two past performances from the Offeror or JV managing partner, it does not require two references."

Q: Please confirm that a Prime offerer submitting one (1) past performance reference would not be judged non‐compliant in responding to the RFP requirements.

23 Section L, Volume IV - Contract Instructions, Paragraph (b)

Regarding Volume IV headers and footers, the RFP states “Headers and footers shall not contain any information other than the solicitation number and page number.”

This volume contains proprietary information which requires a restriction statement on every page in the document header or footer. Please modify this requirement to allow the offeror to include appropriate restriction statements in the document headers and/or footers in accordance with FAR 52.215-1(e).

Offerors shall not include any information in headers or footers, outside of the solicitation number and page number, in accordance with Volume IV, Contract Instructions. Volume IV - Contract is an official Government document subject to Freedom of Information Act release, reflecting any necessary redactions required to safeguard contractor proprietary information.

All Offeror information submitted in response to this solicitation will be safeguarded in accordance with applicable Government regulations.

The breakout of anticipated WYEs for FY23 is provided in Attachment L-2. Will the government please also provide a similar breakout of the current resources by PWS Task Area so as to level the playing field for all offerors to be able to accurately complete the PWS Percentage Assignment Table on page L-32 for the Past Performance Volume? If not, is the Government concerned that the primary incumbent contractor has an organizational conflict of interest with this procurement due to unequal access to this information?

This contract is the first iteration of a consolidation of prior contracts. As such, a break-out of current resources by NFSS PWS work elements does not exist. Work packages as outlined in Attachment J-7, Contract Administration System (CAS),will outline requirements by PWS work element.

31 Attachment L-3, Past Performance Questionnaire

Attachment L‐3 ‐ Past Performance Questionnaire states that "This evaluation should be completed by the Contracting Officer (CO) and Contracting Officer's Representative (COR), Alternate COR, Technical Point‐of‐Contact (TPOC), or other person(s) tasked with monitoring the contractor's compliance with the requirements of the contract."

Q: If a highly relevant past performance was performed as a Subcontractor who is precluded (by contract) from engaging directly with the government customer, including the CO or COR, will the Government accept the Past Performance Questionnaire to be completed by two points of contact from the Prime contractor, who were tasked with monitoring the offeror's compliance with the requirements of the contract?

In those cases where the referenced contract is provided for an entity which performed as a subcontractor on the specified effort, the person(s) tasked with monitoring the contractor's compliance with the requirements of the contract, as indicated on the PPQ, is considered to be the prime contractor with insight into the subcontractor's performance.

32 Section M, Factor I - Mission Suitability Volume Evaluation

This section states that “the Government’s evaluation of the realism and reasonableness of the offeror’s total compensation plan will include a comparison of the offeror’s proposed rates with the independent Government cost estimate and rates proposed by other offerors.” Will the Government please provide the independent Government cost estimate for the total compensation plan? If that information is not available at this time, how will the Government develop the independent Government cost estimate? What is the basis for the Government’s independent cost estimate if it is not based on incumbent offeror’s compensation rates? How will the Government evaluate the realism of an offeror’s total hourly compensation rates included in Attachment L-5?

NASA does not provide its internal estimates.

Similar to the methodoloy used by the Government in establishing adequate compensation levels as part of its internal estimate, offerors should leverage appropriate data sources such as recognized national and regional compensation surveys and studies of professional, public, and private organizations, while accounting for differences in skills, complexity of various disciplines, and professional job difficulty. In accordance with Section M, Factor I - Mission Suitability Volume Evaluation, paragraph (a), ... the offeror’s total compensation plan will include a comparison of the offeror’s proposed rates with the independent Government cost estimate and rates proposed by other offerors.

33 Section M, Factor I - Mission Suitability Volume Evaluation

This Section states that “Compensation that is unrealistically low, unreasonably high, or not in a reasonable relationship to the labor categories required by the solicitation may adversely impact the Mission Suitability score (and result in a corresponding probable cost adjustment under the Price/Cost factor for unrealistically low rates).” How will the Government make upward adjustments to an offeror’s firm-fixed-price total compensation rates provided in Attachment L-5?

NASA does not make probable cost adjustments to proposed firm-fixed-price (FFP) compensation rates.
