About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) for NASA Johnson Space Center, related to a contract modification with Outpost Technologies for quick disconnects used on the International Space Station (ISS). The modification extends the existing Contract 80JSC024CA001 to include additional design, fabrication, and testing of ½" and ¼" stainless steel and titanium quick disconnects in various sizes. The contract, originally awarded on December 4, 2023, is a Firm-Fixed-Price (FFP) contract that will be extended from July 1, 2025, to June 30, 2026, with an increased total contract value.

NASA determined Outpost Technologies is the only responsible source for this work due to their unique familiarity with the design plans, having performed previous design feasibility studies and initial contract work. Market research revealed that while several commercially available quick disconnect products exist, none incorporate the specific features required for the ISS environment. The contract modification allows Outpost Technologies to continue maturing the design of quick disconnects, including fabrication, testing, and delivery of matching male/female pairs of stainless steel quick disconnects in additional sizes.

Rev.:5/2024

Design plans would be set back over a year resulting in unacceptable delays and greater cost to the Government due to duplication of efforts.

6. FAR 6.303-2(b)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

When the supplies or services required by the agency are available from only one responsible source, or, for DoD, NASA, and the Coast Guard, from only one or a limited number of responsible sources, and no other type of supplies or services will satisfy agency requirements, full and open competition need not be provided for. Upon approval of this JOFOC, it will be made publicly available at the Government Point of Entry (GPE) https://www.sam.gov in accordance with FAR 6.305 Availability of the Justification.

7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable.

8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted (e.g., urgent, and compelling requirement):

A synopsis for the base contract was posted to SAM.gov on April 6, 2023, for interested organizations to submit their capabilities to determine whether to conduct this procurement on a competitive basis. A review of the current market for quick disconnects indicates there are several commercially available products; however, none commercially available incorporate features compatible with the design and fabrication of the stainless steel and titanium quick disconnects under the current requirement.

9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:

Outpost Technologies is classified as a small business under North American Industry Classification System (NAICS) Code 541715 – Research and Development in the physical, Engineering, and life Sciences (except Nanotechnology and Biotechnology).

Rev.:5/2024

10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:

Since this proposed action is made under the terms of the existing contact, and the existing contract was previously synopsized, a synopsis is not required per FAR 5.202(a)(11). The JOFOC will be made publicly available at the Government Point of Entry (See Section 6 above).

11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

The Agency will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
