B.8 NFS 1852.232-77 LIMITATION OF FUNDS (FIXED-PRICE CONTRACT) (MAR 1989)

(APPLICABLE ONLY TO FIXED-PRICE)

(a) Of the total prices shown in clauses B.6 (Table B.6-1, row #3), the sum of [See

Table B.7-1, row #3] is presently available for payment and allotted to this contract. It is anticipated from time-to-time additional funds will be allocated to the contract in accordance with the following schedule, until the total price of said items is allotted:

SCHEDULE FOR ALLOTMENT OF FUNDS

Date [The Government will allocate additional funds on periodic basis]

Amount [The Government will allocate additional funds on periodic basis]

(b) The Contractor agrees to perform or have performed work on the items specified in paragraph (a) of this clause up to the point at which, if this contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause would, in the exercise of reasonable judgment by the Contractor, approximate the total amount at the time allotted to the contract. The Contractor is not obligated to continue performance of the work beyond that point. The Government is not obligated in any event to pay or reimburse the Contractor more than the amount from time to time allotted to the contract, anything to the contrary in the Termination for Convenience of the Government clause notwithstanding.

B-5

(c) (1) It is contemplated that funds presently allotted to this contract will cover the work to be performed until TBD.

(2) If funds allotted are considered by the Contractor to be inadequate to cover the work to be performed until that date, or an agreed date substituted for it, the Contractor shall notify the Contracting Officer in writing when within the next 60 days the work will reach a point at which, if the contract is terminated pursuant to the Termination for Convenience of the Government clause of this contract, the total amount payable by the Government (including amounts payable for subcontracts and settlement costs) pursuant to paragraphs (f) and (g) of that clause will approximate 75 percent of the total amount then allotted to the contract.

(3) (i) The notice shall state the estimate when the point referred to in paragraph (c)(2) of this clause will be reached and the estimated amount of additional funds required to continue performance to the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it.

(ii)The Contractor shall, 60 days in advance of the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, advise the Contracting Officer in writing as to the estimated amount of additional funds required for the timely performance of the contract for a further period as may be specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (c)(3)(ii) of this clause, additional funds are not allotted by the date specified in paragraph (c)(1) of this clause, or an agreed date substituted for it, the Contracting Officer shall, upon the Contractor's written request, terminate this contract on that date or on the date set forth in the request, whichever is later, pursuant to the Termination for Convenience of the Government clause.

(d) When additional funds are allotted from time to time for continued performance of the work under this contract, the parties shall agree on the applicable period of contract performance to be covered by these funds. The provisions of paragraphs (b) and (c) of this clause shall apply to these additional allotted funds and the substituted date pertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government's failure to allot additional funds in amounts sufficient for the timely performance of this contract, the Contractor incurs additional costs or is delayed in the performance of the work under this contract, and if additional funds are allotted, an equitable adjustment shall be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the items to be delivered, or in the time of delivery, or both.

(f) The Government may at any time before termination, and, with the consent of the Contractor, after notice of termination, allot additional funds for this contract.

B-6

(g) The provisions of this clause with respect to termination shall in no way be deemed to limit the rights of the Government under the default clause of this contract. The provisions of this Limitation of Funds clause are limited to the work on and allotment of funds for the items set forth in paragraph (a) of this clause. This clause shall become inoperative upon the allotment of funds for the total price of said work except for rights and obligations then existing under this clause.

(h) Nothing in this clause shall affect the right of the Government to terminate this contract pursuant to the Termination for Convenience of the Government clause of this contract.

B.9 NFS 1852.232-81 CONTRACT FUNDING (JUN 1990) (APPLICABLE ONLY TO

COST- REIMBURSEMENT TASK ORDERS)

(a) For purposes of payment of cost, exclusive of fee, in accordance with the Limitation of Funds clause, the total amount allotted by the Government to this contract is [See Table B.7-1, row #4]. This allotment is for Cost- Reimbursement Task Orders issued within the scope of this contract defined in clause B.2 and covers the following estimated period of performance: date of award through TBD.

(b) An additional amount of [See Table B.7-1, row #5] is obligated under this contract for payment of fee.

B.10 FAR 52.216-90 IDIQ MINIMUM AND MAXIMUM ORDERING LIMITS (NOV 2018) (JSC

PROCUREMENT INSTRUCTION)

In accordance with FAR 52.216-22, Indefinite Quantity, the contract guaranteed minimum amount* to be ordered under this contract is $100,000 and the contract Not to Exceed (NTE) amount* which may be ordered under this contract is $80,000,000. The Government is not obligated to order more than the minimum specified but may order up to the NTE amount. Section 4.0 – Performance Standards Section 5.0 – Acronyms and Abbreviations

Background Information

General Information The National Aeronautics Space Administration (NASA) Johnson Space Center (JSC) White Sands Test Facility (WSTF) is a Government-owned, Government- operated facility. As such, the products and services provided under this Performance Work Statement (PWS) are related to maintaining environmental compliance and cleaning up legacy environmental contamination for the Government. Additionally, operational support and sustainability program work are included in this scope of work. All work will be performed on the contract as IDIQ Cost-Plus-Fixed-Fee or Firm-Fixed-Priced task orders.

The majority of the workforce currently adheres to a 9/80 work schedule with every other Friday off. WSTF observes standard federal holidays. During a standard two-week work period, the 9/80 work schedule is as follows:

Week 1: 9-hour days on Monday to Thursday followed by an 8-hour day on Friday Week 2: 9-hour days on Monday to Thursday followed by a Friday off

Currently, Monday June 5, 2023, would be the start of Week 1 for purposes of identifying the first full standard two-week period after the contract start date. Additionally, unless otherwise directed by the Contracting Officer (CO), the core hours for the facility are 8:30 am to 2:30 pm.

Workday start and stop times vary between groups and individuals, with variable work week schedules depending on support requirements. The Contractor may be required, on occasion, to perform PWS services outside standard hours or the 9/80 schedule to support the NASA Mission or due to other unforeseen events.

Information Technology The Government provides workstations, laptops (where appropriate), printers, and other IT equipment to on-site contractor personnel; any additional (off-site) workstation requirements are the responsibility of the contractor. The Government also provides telephones, fax machine connectivity, and copier services at the facility.

Logistics Coordination The contractor shall coordinate with the site operations contractor for support services between contractors and specific ordered services for the work described in PWS Sections 1.0, 2.0, and

3.0. For example, the site operations contractor has a facility work control system, stock supply (warehouse) operations, heavy equipment fleet, welding and machining shops, and a shipping, receiving, and property control program. These services are available to the ECO contractor.

Non-environmental contractor support to the ECO contractor Other WSTF contractors can support the ECO3 contractor with institutional and process safety, industrial hygiene, quality assurance, warehouse operations, routine shipping and receiving, mail delivery, warehouse storage areas (150 yard operations), furniture/equipment moves, recycling center support, security services, emergency services, information technology support, training coordination and training database management, environmental training attendance, work control, underground storage tank testing and recordkeeping, above ground tank recordkeeping and testing, asbestos abatement work including overall asbestos program oversight, and environmental permit documentation (discharge plans and air permits).

These contractors can also provide ISO 9001 and 14001 program support (including aspect/impact analyses and preparation, implementation, and management of Environmental

Management Plans), ISO internal and external audit support, Safety and Mission Assurance services, maintenance of area-specific environmental units, waste transfer assistance if needed (forklifts), well road upkeep, janitorial services, general building operations/maintenance, affirmative procurement data collection and reporting, recycling and waste minimization program support, sustainability team representation, preparation of area-specific metrics or other information for meetings (e.g., Management Council), RMP preparations, major spill response support, and non-routine waste disposals (e.g., large-scale hydrazine wastewater shipments).

Ordered Services The ECO3 contractor can, as needed, obtain ordered services from other WSTF contractors, using Government-initiated and issued IDIQ task orders, to support the environmental compliance and restoration program requirements, as needed. Ordered services for certain ECO3 contractor requirements that may be required are described in Table 1. Additionally, the contractor shall coordinate with the Government prior to all compliance and restoration regulatory issues that require direct contact (e.g., meetings, briefings, and teleconferences) with State or Federal regulatory agency personnel.

The contractor will inform the NASA WSTF Environmental Office Chief, COR, and CO if any non-compliance is identified with applicable permits, laws, regulations, or NASA-specific requirements and then document the non-compliance and immediate response actions. With concurrence from the Government on the response procedures, implement corrective actions to rectify non-compliance. Non-compliance, and the associated response, shall be documented and tracked to closure. A non-conformance which may be systemic, impact other areas of operations, or require extensive response actions will be documented and tracked to closure using the WSTF Corrective and Preventive Action Request (CPAR) system, which is an integral part of the WSTF quality and environmental management systems. Minor issues of non-compliance (e.g., open bung on a drum, missing label, etc.) shall be immediately rectified in the field upon discovery.
