From: BH/Contracting Officer

Subject: Draft Request for Proposal (DRFP) - NASA Open Innovation Services 2

(NOIS2)

The National Aeronautics and Space Administration (NASA), Lyndon B. Johnson Space Center (JSC), is pleased to release the DRFP, number 80JSCC020R0030 for the NOIS2 acquisition.

This effort is a follow-on to the NOIS contract.

Comments and questions are highly encouraged, and may be submitted either to the below email addresses or anonymously if desired through the NOIS2 website at https://procurement.jsc.nasa.gov/nois2/ on or before Friday, October 25th 4:00PM Central Time.

Shine Lin, Contracting Officer & Marta Choma, Contracts Specialist Email: shine.lin@nasa.gov and marta.choma@nasa.gov

Responses to questions will be available at the Federal Business Opportunities (FBO), as well as the NOIS2 website. Comments and questions will be addressed prior to release of the Final RFP.

If a respondent believes their questions/comments contain confidential, proprietary, competition sensitive, or business information, those questions/comments shall be marked appropriately.

However, questions that are marked as containing confidential, proprietary, competition sensitive or business information will not be provided a Government response.

In continuing our dialogue with industry, we would appreciate feedback you have on the DRFP.

Areas where we would appreciate specific feedback to meet our goal or to promote understanding of the requirement include:

1. Potential Organizational Conflicts of Interest (OCI) associated with NOIS2

2. Recommended terms and conditions unique to the industry

3. Section 5 Instructions to Offerors

4. Section 6 Evaluation Criteria

For use in formulating comments and questions and in the preparation of proposals, a collection of reference documents are available on FBO. After release of the final RFP, the NOIS2 Contract https://procurement.jsc.nasa.gov/nois2/ mailto:shine.lin@nasa.gov mailto:marta.choma@nasa.gov

Pre-Proposal Conference is anticipated to be held on Tuesday, November 12th, 2019, virtually.

For additional information on the conference, please refer to the NOIS2 website. More information will be available in the coming weeks.

Questions and comments submitted in response to the DRFP will be separated from, and have no bearing on, subsequent evaluation of proposals submitted in response to any resulting formal RFP. The use of ideas, questions, and comments to structure the final RFP is at the discretion of the Government. Eligibility in participating in a future acquisition does not depend upon a response to this notice. The Government will not critique a potential offeror’s comments, and the DRFP should not be used by offerors to market their products/services. The DRFP does not commit the Government to award a contract nor does it obligate the Government for costs incurred in the preparation and submittal of proposals in anticipation of a contract.

Additionally, please note that Evaluation Criteria provided in this DRFP is being provided as pre-decisional, notional information at this point in time because the Government has not yet made a decision regarding the evaluation criteria that will actually be used for this procurement.

The official evaluation criteria will be stated in the Final RFP. Please note that the DRFP is anticipated to follow Procurement Class Deviation 18-02, the Government will not be evaluating price as an evaluation for contract award. Procurement Class Deviation 18-02 amends 10 U.S.C.

2305(a)(3) to change the requirement regarding the consideration of price or cost to the Government as a factor in the evaluation of proposals for multiple-award task order contracts.

The Government will be evaluating the labor and non-labor resources proposed in the Technical Acceptability Volume for reasonableness and consistency with the Technical content. The Government intends to make an award to each and all qualifying offerors. A qualifying offeror is an offeror that is determined to be a responsible source, submits a technically acceptable proposal that conforms to the requirements of the solicitation, and the contracting officer has no reason to believe would be likely to offer other than fair and reasonable pricing. Past Performance will not be evaluated as an Evaluation Factor, but rather in the evaluation of Responsibility.

NOIS2 is anticipated to be a Multiple Award Indefinite-Delivery/Indefinite Quantity (IDIQ) contract and the authorization to perform work under the NOIS2 contract will be through the issuance of Firm-Fixed Price (FFP) task orders (TOs). The solicitation is anticipated to be issued under full and open competition. This procurement will be conducted pursuant to the authority of FAR 19.502-4 which allows the contracting officer, when conducting multiple-award procurements using full and open competition, to set-aside task orders to small business concerns. The contract is anticipated to be competed as full and open competition at the contract level with capability to set aside to small businesses at the task order level. The NOIS2 acquisition has been assigned the North American Industry Classification System code 541990, All Other Professional, Scientific, and Technical Services, with a size standard of $15 million.

The NOIS2 contract is anticipated to have a 5-year period of performance base June 4th, 2020- June 3rd, 2025, with no phase-in period.

Throughout the DRFP, the Government uses “To Be Determined (TBD)” to designate a Government Fill-in and “Offeror fill-in (OFI)” to designate a section to be filled-in by the Offeror.

Offerors must ensure its company is listed in the on-line database:

System of Award management: https://www.sam.gov

U.S. Department of Labor Veterans’ Employment and Training Service, VETS-4212 Reports: https://www.dol.gov/agencies/vets/programs/vets4212

Data Universal Numbering System: http://fedgov.dnb.com/webform/

The successful offeror must pass an Equal Employment Opportunity (EEO) clearance before contract award (See FAR 22.805).

Once again, thank you for your interest in this procurement activity and we look forward to our continuing dialogue.

The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights-

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by

33.211 if–

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2).

(b) The parties mutually agree that the original solicitation shall remain open during the life of this contract and that at any time NASA may award contracts to additional vendors for IDIQ requirements. As deemed necessary during the life of this contract, NASA will allow submission of proposals for IDIQ contracts. The requirement for submission of on-ramp proposals will be established via solicitation notice. The decision to request proposals under the clause will be solely at NASA’s discretion and will only occur after this requirement has been synopsized. Sections 4-6 will remain the factors in determining awards. If NASA issues a solicitation notice, new offerors will be allowed to submit proposals within the notice’s stated response time. Upon award of each additional contract, NASA shall notify all present Contractors of the award, and the new Contractor(s) shall thenceforth be eligible to compete with all present Contractors for the award of IDIQ task orders.

(c) Any resulting contracts awarded under this clause will follow the ordering period as set in clause 1.01 ORDERING (FAR 52.216-18) (OCT 1995).

OFF-RAMPING

If at any point during the 5-year period of performance the contractor decides that it no longer wishes to participate in the contract, then the contractor may submit a request in writing to the Contracting Officer requesting to be off-ramped. In the event the contractor is currently performing work under a task order(s), the contractor’s request for off-ramping will not be considered until the task order(s) are completed. With its request to off-ramp, the contractor agrees to forfeit the minimum stated in 52.216-90. If the Contracting Officer accepts the contractor’s request to be off-ramped, the CO will issue a bilateral modification to adjust the period of performance in Clause 1.01 to end the contract at a mutually agreed upon end date, after which the contract will be closed out.
