NATIONAL AERONAUTICS AND SPACE ADMINISTRATION

Armstrong Flight Research Center/AFRC

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

(JOFOC)

For Facilities Operations & Maintenance Services/NND13AD53C

(JOFOC #23-01)

1. Federal Acquisition Regulation (FAR) 6.303-2(b)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”

This document is a justification for other than full and open competition prepared by National Aeronautics and Space Administration (NASA) Armstrong Flight Research Center

(AFRC).

The procuring agency is the National Aeronautics and Space Administration (NASA) and the contracting activity is AFRC.

2. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved:

This justification provides the rationale for contracting by other than full and open competition to award a new work modification to contract number NND13AD53C with Helix Management Services, LLC (HMS) for Facilities Operations and Maintenance (O&M) services to support NASA-AFRC activities. It is determined that the work and services covered by current contract are vital to the NASA mission and must be maintained without interruption, both at the commencement and the expiration of this contract.

The AFRC Facilities Operations & Maintenance (O&M) contract NND13AD53C expires on November30, 2022. This document requests authority to extend NND13AD53C for up to five months (one, three-month option and two, one month option periods) to continue O&M services including janitorial and grounds maintenance services. The contract is structured with 5 Firm-Fixed Price (FFP) Contract Line Items (CLINs) for each performance period, by performance type, which includes core facilities preventive maintenance, core janitorial services, core grounds maintenance, core utility outage support, and core trouble calls for both AFRC Main Campus and AFRC Building 703, in addition to non-core preventive maintenance, non-core janitorial services, and non-core grounds maintenance. Additionally, there is a single Indefinite Delivery Indefinite Quantity (IDIQ) CLIN which is limited to ordering emergency and non-recurring facilities repair work that exceeds $2,000 in value for the materials, labor, and equipment for each requirement ordered under this CLIN.

3. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the Agency’s needs (including the estimated value):

A notice to the Government Point of Entry (GPE) website (Sam.gov) was published on November 9, 2022, in accordance with FAR Subpart 5.2. This posting will inform potential sources of NASA’s intent to award this sole-source extension to HMS. The results of this synopsis will be summarized in Section 10 below.

The Request for Proposal for the follow-on FOMS contract was posted on SAM.gov on June 2, 2022. Eight proposals were received on time. In making the selection decision, all evaluation factors (Technical, Price, and Past Performance) were considered. However, a protest was filed and a contract extension to continue the services past the end of the period of performance will be needed while the protest is being adjudicated.

7. FAR 6.303-2(b)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor shall be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable.

The award will be priced using the labor rates agreed upon in the Collective Bargaining Unit (CBA) agreement effective January 18, 2020, through January 17, 2023, and Service Contract Labor Standards Wage Determinations 2015-5603 Revision 18 (Kern County) dated June 27, 2022 and 2015-5613 Revision 21 (Los Angeles County), dated July 21, 2022. These attachments are currently incorporated into the contract; therefore, the monthly pricing is not expected to increase from the current option period and is expected to be found fair and reasonable after cost analysis.

8. FAR 6.303-2(b)(8) – Description of the market research conducted, and the results, or a statement of the reasons a market research was not conducted:

As per the results of the RFP, there are small businesses under selected NAICS 561210 (Facilities Support Services) available to fulfill the agency needs. The incumbent contractor, Helix Management Services, LLC, is a small business under NAICS 561210. The government anticipates that there will be multiple vendors who will be interested in the re-procurement opportunities under this NAICS; however, it is not in NASA’s best interest to award a five- month contract to a new contractor in the interim. Phasing in and out a new contractor for a short period of time would disrupt current services and have a significant impact to the AFRC mission.

9. FAR 6.303-2(b)(9) – Any other facts supporting the use of other than full and open competition:

Although there is a possibility of other sources capable of providing these services at AFRC for the proposed extension, it is not beneficial to NASA to award a new contract.

Continuity of services is imperative in meeting the ongoing AFRC Facilities and Operations Maintenance Services requirement to mitigate impact to the Center's daily operations. In addition, an award to any other source would result in a substantial duplication of cost to the Government that is not expected to be recovered through competition and unacceptable delays in fulfilling the agency's requirements. A competitive solicitation has concluded to procure these services (80AFRC22R0003) after expiration of this contract extension and a source selection determination has been made. However, due to the protest, a contract extension will be needed in order not to disrupt operations.

10. FAR 6.303-2(b)(10) – A listing of the sources, if any, that expressed an interest in writing in the acquisition:

A notice of NASA’s intent to award this sole-source action was synopsized on the GPE website (Sam.gov) per FAR Subpart 5.2 (See Section 6 above). At this time there have been no written expressions of interest in this acquisition.

11. FAR 6.303-2(b)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

None. The follow-on requirement has been competed. The government is simultaneously conducting protest adjudication procedures while this determination is being approved.
