JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION - ADDENDUM

PROJECT NUMBER: 7OR2242/LOR05979

Agency Name: USFS – Sandy, OR

The original JOFOC for this project was initially approved at a rate of for the requirement for a total contract value (TCV) of . The Lessor subsequently clarified the offer at a rate of that includes a step rent increase over the final two months on the current lease term and a firm sixteen month extension term. Lessor also requires an additional six month soft term at a rate yielding a total twenty-two month term with a to mitigate the risk of the Government not vacating timely and the inability to include a holdover clause in the contract. In the event the Government is not able to vacate by the end of the firm term, the soft term will provide a buffer and prevent the Government having to negotiate yet extension or reengage in condemnation discussions with the Lessor. The Government agrees that the addition of the soft term, which is not expected to be utilized, is in the best interests of both parties.

The statutory authority permitting other than full and open competition remains the same: 41 U.S.C.

3304(a)(1): Only one responsible source and no other supplies or services will satisfy agency requirements.

GSAM 570.405 provides that lease extensions may be authorized when “the Government encounters unexpected delays outside of its control in acquiring replacement space.” This extension is to provide additional time to negotiate a long term lease solution. This requirement is currently in its solicitation phase for acquisition of a twenty-year lease. It is anticipated that the new replacing lease will be awarded in March, 2017. This extension provides time to procure the new replacing lease and relocate if necessary.

In accordance with Federal Acquisition Regulation (FAR) 6.303-2(a) (7), the Contracting Officer determines by certifying this document that the anticipated cost to the Government of for the firm term and for the soft term is fair and reasonable given the lack of alternative alternatives and progress on procuring a long term solution. Should an extension not be secured then the Government would need to pursue condemnation proceedings for the building to continue occupancy. The cost of this extension is more economical than the price to condemn the property for the required amount of time needed to procure the lease and relocate if necessary.

CONTRACTING OFFICER CERTIFICATION.

By signature on this Justification for Other than Full and Open Competition, the Lease Contracting Officer certifies that the award of a twenty-two month extension for 45,943 RSF is in the Government’s best interest and that this Justification is accurate and complete to the best of the Lease Contracting Officer’s knowledge and belief.
